Common use of SECURITY FOR OBLIGATIONS TO CUSTODIAN Clause in Contracts

SECURITY FOR OBLIGATIONS TO CUSTODIAN. If the Custodian or any nominee thereof shall incur or be assessed any taxes, charges, expenses, assessments, claims or liabilities in connection with the performance of this Agreement (collectively a "Liability"), except such as may arise from its or such nominee's breach of the relevant standard of conduct set forth in this Agreement, or if the Custodian shall make any Advance to the Fund, then in such event any property at any time held for the account of the Fund by the Custodian or a Subcustodian shall be security for such Liability or for such Advance and the interest thereon, and if the Fund shall fail to pay such Advance or interest when due or shall fail to reimburse or indemnify the Custodian promptly in respect of a Liability, the Custodian shall be entitled to utilize available cash and to dispose of the Fund's property, including securities, to the extent necessary to obtain repayment, reimbursement or indemnification.
