Common use of SECURITY TRUSTEE PLEDGE NOTIFICATION EVENTS Clause in Contracts

SECURITY TRUSTEE PLEDGE NOTIFICATION EVENTS. ‌ 6.1 The CBC shall immediately notify the Security Trustee of the occurrence of a Security Trustee Pledge Notification Event. 6.2 Upon the occurrence of a Security Trustee Pledge Notification Event, unless the Security Trustee after having received Rating Agency Confirmation, instructs the CBC otherwise: (i) the CBC or, at the Security Trustee's option, the Security Trustee shall notify or ensure that the relevant Borrowers and any other relevant parties indicated by the CBC and/or the Security Trustee are forthwith notified substantially in the agreed form of (a) the assignment of the Mortgage Receivables, the Beneficiary Rights and the NHG Advance Rights to the extent that such assignment has not already been notified pursuant to Clause 3 of the Guarantee Support Agreement and (b) the right of pledge of the Mortgage Receivables, the Beneficiary Rights and the NHG Advance Rights or, at its option, the Security Trustee shall be entitled to make such notifications itself; (ii) the CBC or, at the Security Trustee's option, the Security Trustee shall forthwith notify the Insurance Company and solely in relation to the NHG Advance Rights, Stichting WEW, and any other relevant party indicated by the Security Trustee substantially in the agreed form of (i) the assignment of the Beneficiary Rights and the NHG Advance Rights to the extent that such assignment has not already been notified pursuant to Clause 3 of the Guarantee Support Agreement, (ii) the right of pledge of the Beneficiary Rights and (iii) the right of pledge of the NHG Advance Rights; and (iii) the CBC shall, if so requested by the Security Trustee, forthwith make the appropriate entries in the relevant mortgage registers with regard to the right of pledge of the Mortgage Receivables, or, at its option, the Security Trustee shall be entitled to make such entries itself, for which entries the CBC herewith grants an irrevocable power of attorney to the Security Trustee. 6.3 All costs relating to the notifications and entries referred to in Clause 6.2 (i) and (ii) will be for the account of the CBC and all costs relating to the entries referred to in Clause 6.2 (iii) will be for the account of the Security Trustee.

SECURITY TRUSTEE PLEDGE NOTIFICATION EVENTS. ‌ 6.1 The CBC shall immediately notify the Security Trustee of the occurrence of a Security Trustee Pledge Notification Event. 6.2 Upon the occurrence of a Security Trustee Pledge Notification EventEvent and (i) provided that all proceeds of the Mortgage Receivables are to be paid to the Security Trustee and the Transferor and/or the Originators, as applicable, are instructed to pay directly to the Security Trustee in accordance with Clause 7.2, and (ii) subject to the occurrence of an Assignment Notification Event and in relation to Mortgage Receivables originated by Aegon Leven or Aegon Hypotheken, respectively, both an Assignment Notification Event and an Originator Assignment Notification Event in respect of Aegon Leven or Aegon Hypotheken, respectively, having occurred, unless in each case the Security Trustee after having received requested a Rating Agency Confirmation, instructs the CBC otherwise: (i) the CBC or, at the Security Trustee's option, the Security Trustee shall notify or ensure that the relevant Borrowers and any other relevant parties indicated by the CBC and/or the Security Trustee are forthwith notified substantially in the agreed form of (a) the assignment assignment(s) of the relevant Mortgage Receivables, the Beneficiary Rights and the NHG Advance Rights to the extent that such assignment has or assignments have not already been notified pursuant to Clause 3 of the Guarantee Support Agreement and (b) the right of pledge of the relevant Mortgage Receivables, the Beneficiary Rights and the NHG Advance Rights or, at its option, the Security Trustee shall be entitled to make such notifications itself; (ii) the CBC or, at the Security Trustee's option, the Security Trustee shall forthwith notify the Insurance Company relevant insurance company and solely in relation to the NHG Advance Rights, Stichting WEW, and any other relevant party indicated by the Security Trustee substantially in the agreed form of (i) the assignment of the Beneficiary Rights and the NHG Advance Rights to the extent that such assignment has not already been notified pursuant to Clause 3 of the Guarantee Support Agreement, (ii) the right of pledge of the Beneficiary Rights and (iii) the right of pledge of on the NHG Advance Rights; and (iii) the CBC shall, if so requested by the Security Trustee, forthwith make the appropriate entries in the relevant mortgage registers with regard to the right of pledge of the relevant Mortgage Receivables, or, at its option, the Security Trustee shall be entitled to make such entries itself, for which entries the CBC herewith grants an irrevocable power of attorney to the Security Trustee. 6.3 All costs relating to the notifications and entries referred to in Clause 6.2 (i) and (ii) will be for the account of the CBC and all costs relating to the entries referred to in Clause 6.2 (iii) will be for the account of the Security Trustee.

SECURITY TRUSTEE PLEDGE NOTIFICATION EVENTS. ‌ 6.1 The CBC shall immediately notify the Security Trustee of the occurrence of a Security Trustee Pledge Notification Event. 6.2 Upon the occurrence of a Security Trustee Pledge Notification EventEvent and subject to (i) in relation to Achmea Hypotheken Mortgage Receivables only, an Achmea Hypotheken Assignment Notification Event having occurred and/or (ii) in relation to ASR Mortgage Receivables only, the relevant ASR Assignment Notification Event having occurred, unless in each case the Security Trustee Trustee, after having received notified the Rating Agency ConfirmationAgency, instructs the CBC otherwise: (i) the CBC or, at the Security Trustee's option, the Security Trustee shall notify or ensure that the relevant Borrowers and any other relevant parties indicated by the CBC and/or the Security Trustee are forthwith notified substantially in the agreed form of (a) the assignment assignment(s) of the relevant Mortgage Receivables, Receivables and the Beneficiary Rights and the NHG Advance Rights to the extent that such assignment has assignment(s) have not already been notified pursuant to Clause clause 3 of the Guarantee Support Agreement and (b) the right of pledge of the relevant Mortgage Receivables, Receivables and the Beneficiary Rights and the NHG Advance Rights or, at its option, the Security Trustee shall be entitled to make such notifications itself; (ii) with respect to Mortgage Receivables other than Achmea Hypotheken Mortgage Receivables and ASR Mortgage Receivables, the CBC or, at the Security Trustee's option, the Security Trustee shall forthwith notify the Insurance Company and solely in relation to the NHG Advance Rights, Stichting WEW, Companies and any other relevant party indicated by the Security Trustee substantially in the agreed form of (i) the assignment of the Beneficiary Rights and the NHG Advance Rights to the extent that such assignment has not already been notified pursuant to Clause clause 3 of the Guarantee Support Agreement, Agreement and (ii) the right of pledge of the Beneficiary Rights and (iii) the right of pledge of the NHG Advance Rights; and (iii) the CBC shall, if so requested by the Security Trustee, forthwith make the appropriate entries in the relevant mortgage registers with regard to the right of pledge of the relevant Mortgage Receivables, or, at its option, the Security Trustee shall be entitled to make such entries itself, for which entries the CBC herewith grants an irrevocable power of attorney to the Security Trustee. 6.3 All costs relating to the notifications and entries referred to in Clause 6.2 (i) and (ii) will be for the account of the CBC and all costs relating to the entries referred to in Clause 6.2 (iii) will be for the account of the Security Trustee.
