Select Key Employees. Manager shall select, appoint and supervise the general manager and such other personnel as are reasonably necessary for the proper operation, maintenance, repair and security of the Lounge, and the commercially reasonable compensation payable to such employees (including salaries, fringe benefits, additional allowances and other payments, including in bound moving expenses and other costs of employment) shall be an Operating Expense of the Lounge; provided, however, that Manager shall obtain PFIC’s consent to the appointment of the Lounge’s general manager (the “Key Employee”) or any replacements thereof, except that temporary appointments to such position may be made pending approval by PFIC of the person permanently assigned to such position. In the event PFIC shall, at any time, be or become dissatisfied with the performance of the general manager of the Lounge, Manager agrees to meet with PFIC to discuss said performance and, upon ▇▇▇▇’s request, to remove the general manager. Manager shall not enter into any severance agreements that are not reasonable and customary in the relevant market area, unless approved by PFIC.
