Common use of Service Coordinators Clause in Contracts

Service Coordinators. Each of Xxxxxxxx-Xxxxx and Halyard will nominate a representative to act as the primary contact with respect to the provision of the Services as contemplated by this Agreement (the “Service Coordinators”). The initial Service Coordinators shall be Xxxx Xxxxxxx for Xxxxxxxx-Xxxxx and Xxxxxx Xxxxxx for Halyard. Unless Xxxxxxxx-Xxxxx and Halyard otherwise agree, Xxxxxxxx-Xxxxx and Halyard agree that all notices and communications relating to this Agreement, other than those day-to-day communications and xxxxxxxx relating to the actual provision of the Services, shall be directed to the Service Coordinators in accordance with Section 11.10 hereof. The Service Coordinators shall meet as expeditiously as possible to resolve any dispute hereunder, and any dispute that is not resolved by the Service Coordinators within thirty (30) calendar days after their first meeting with respect to such dispute shall be resolved in accordance with the dispute resolution procedures set forth in Section 11.3. Each of Xxxxxxxx-Xxxxx and Halyard may treat an act of a Service Coordinator of the other Party which is consistent with the provisions of this Agreement as being authorized by such other Party without inquiring behind such act or ascertaining whether such Service Coordinator had authority to so act; provided, however, that no such Service Coordinator shall have authority to amend this Agreement. Unless otherwise provided herein, Xxxxxxxx-Xxxxx and Halyard shall advise each other promptly (in any case no more than three Business Days) in writing of any change in their respective Service Coordinators, setting forth the name of the replacement, and stating that the replacement Service Coordinator is authorized to act for such Party in accordance with this Section 2.2.

Each of Xxxxxxxx-Xxxxx the Noble Group and Halyard the Paragon Group will nominate a representative to act as the primary contact with respect to the provision of the Services as contemplated by this Agreement (the “Service Coordinators”). The initial Noble Group Service Coordinators Coordinator shall be Xxxx Xxxxxxx for Xxxxxxxx-Xxxxxx Xxxxx and the initial Paragon Group Service Coordinator shall be Xxxxxx Xxxxxx for HalyardXxxxxxx. Unless Xxxxxxxx-Xxxxx and Halyard the Parties otherwise agree, Xxxxxxxx-Xxxxx and Halyard agree that all notices and communications relating to this Agreement, Agreement other than those day-to-day communications and xxxxxxxx relating to the actual provision of the Services, Services shall be directed to the Service Coordinators in accordance with Section 11.10 11.4 hereof. The Service Coordinators shall meet as expeditiously as possible to resolve any dispute hereunder, ; and any dispute that is not resolved by the Service Coordinators within thirty forty-five (3045) calendar days after their first meeting with respect to such dispute shall be resolved in accordance with the dispute resolution procedures set forth in Section 11.3. Each of Xxxxxxxx-Xxxxx the Noble Group and Halyard the Paragon Group may treat an act of a Service Coordinator of the other Party Group which is consistent with the provisions of this Agreement as being authorized by such other Party Group without inquiring behind such act or ascertaining whether such Service Coordinator had authority to so act; provided, however, that no such Service Coordinator shall have authority to amend this Agreement. Unless otherwise provided herein, Xxxxxxxx-Xxxxx the Noble Group and Halyard the Paragon Group shall advise each other promptly (in any case no more than three seven Business Days) in writing of any change in their respective Service Coordinators, setting forth the name of the replacement, and stating that the replacement Service Coordinator is authorized to act for such Party Group in accordance with this Section 2.2, provided that any new or replacement Paragon Group Service Coordinator shall be subject to the approval of the Noble Group (such approval not to be unreasonably withheld).

The Service Coordinators shall meet as expeditiously as possible to resolve any dispute hereunder, and any dispute that is not resolved by the Service Coordinators within thirty (30) calendar days after their first meeting with respect to such dispute shall be resolved in accordance with the dispute resolution procedures set forth in Section 11.3. Each of Xxxxxxxx-Xxxxx and Halyard may treat an act of the Parties shall be entitled to reasonably rely upon any directions, instructions, consents, approvals, authorizations or other communications provided by a Service Coordinator of the other Party which that is consistent with the provisions of this Agreement as being authorized by such the other Party without inquiring behind such act or ascertaining whether such Service Coordinator had authority to so act, and any action taken by a Service Coordinator pursuant to this Agreement shall be deemed to have been taken on behalf of the Company or Xxxxx Xxxxxx, as applicable; provided, however, that no such Service Coordinator shall have authority to amend this AgreementAgreement except in accordance with Section 8.1. Unless otherwise provided herein, Xxxxxxxx-the Company and Xxxxx and Halyard Xxxxxx shall advise each other promptly (in any case no more than three Business Days) in writing of any change in their respective Service Coordinators, setting forth the name of the replacement, and stating that the replacement Service Coordinator is authorized to act for such Party in accordance with this Section 2.22.4.
