Service of process agent. (a) In addition to any other appropriate method of service, each of the Non-UK Obligors irrevocably agrees that any suit, action or proceeding may be served on it by being delivered to Derby Holding Limited at 00 Xxxxxxx Xxxx, Xxxxxxxxxx, XX0 0XX, Xxxxxxx or its registered office and confirms that it has appointed the Company as its agent for such purpose.
(b) Each of the Non-UK Obligors confirms that failure by its process agent to notify it of receipt of any process will not invalidate the proceedings to which it relates.
(c) If the appointment of a process agent ceases to be effective, the relevant Non-UK Obligor shall immediately appoint a further Person in England as its process agent in respect of this Agreement and each of the other Senior Finance Documents and notify the Facility Agent of such appointment. If such a Person is not appointed within 15 days of such notification the Facility Agent shall be entitled to appoint such a Person.
Service of process agent. The Chargor hereby irrevocably appoints ILFC Ireland Limited of 00 Xxxxx Xxxx Xxxx, Xxxxxx 0 as its Agent with full authority to receive, accept and acknowledge, for itself and on its behalf, service of all process issued out of or relating to any proceedings referred to in Clause 15 in the Courts of Ireland. Service of process agent. The Chargor hereby irrevocably appoints ILFC Ireland Limited of 00 Xxxxx Xxxx Xxxx, Xxxxxx 0 as its Agent with full authority to receive, accept and acknowledge, for itself and on its behalf, service of all process issued out of or relating to any proceedings referred to in clause 15 in the Courts of Ireland.
Service of process agent. To the extent that the Company wishes to terminate the Initial Affiliate Borrower as a Borrower hereunder, the Company will provide to the Administrative Agent prior to, or substantially contemporaneously with, such termination a letter from the Service of Process Agent described in clause (ii) of the definition of “Service of Process Agent” (or any other Service of Process Agent acceptable to the Administrative Agent), and such letter will confirm such Service of Process Agent’s consent to its appointment by the Parent, the Company and each Affiliate Borrower as their agent to receive service of process as specified in this Agreement.
Service of process agent. (a) Without prejudice to any other method of service permitted by law, Olive HoldCo irrevocably appoints Law Debenture Corporate Services Limited, Xxxxx Xxxxx, 000 Xxxx Xxxxxx, Xxxxxx XX0X 0XX as its agent in England for service of process in relation to any Dispute.
(b) Without prejudice to any other method of service permitted by law, Red irrevocably appoints Coca-Cola Beverages Ltd. (FAO Xxxxx Xxxxxxx, Legal Counsel) of 0/X Xxxxxxx Xxxxxx, Xxxxxx X0X 0XX as its agent in England for service of process in relation to any Dispute.
Service of process agent. Without prejudice to any other method of service permitted by law:
(a) the Company shall, as soon as reasonably practicable, appoint a person (who is not a member or Affiliate of the Group or the VIP group or the HET group), and upon such appointment shall notify the other parties of such appointment;
(b) each of VIP and the VIP Guarantor irrevocably appoint Law debenture Corporate Services Limited of 0xx Xxxxx, Xxxx Xxxxxx, Xxxxxx, XX0X 0XX, Xxxxxxx; and
(c) each of HET, HET LuxCo and the HET Guarantor irrevocably appoints Xxxxxxxxx Whampoa Agents (UK) Limited of Xxxxxxxxx House, 0 Xxxxxx Xxxx, London SW11 4AN, United Kingdom, in each case as its agent in England and Wales for service of process and any other documents in relation to any Dispute. Subject to clause 31.4, each party irrevocably undertake not to revoke its agent’s authority; and any claim form, judgment or other notice of legal process shall be sufficiently served on such party if delivered to its agent at its address for the time being.

(b) Without prejudice to any other method of service permitted by law, Red irrevocably appoints Coca-Cola Beverages Ltd. (FAO Xxxxx Xxxxxxx, Legal Counsel) of 0/X Xxxxxxx Xxxxxx, Xxxxxx X0X 0XX as its agent in England for service of process in relation to any Dispute.
Service of process agent. The Chargor hereby irrevocably appoints Skype Limited of Xxxxxx Xxx Xxxxxxxx, Xxxxxxxxx Xxxxxxx, Xxxxxx 0, Xxxxxxx as its agent with full authority to receive, accept and acknowledge, for itself and on its behalf, service of all process issued out of or relating to any Proceedings in the courts of Ireland. Skype Limited of €1.00 each 25,000 Ordinary Shares Skype Technologies S.A.
Service of process agent. Without prejudice to any other method of service permitted by law, each of HET, VIP LuxCo, H3G II and XxxXx shall at all times maintain an agent for service of process and any other documents in proceedings in England and Wales or any other proceedings in connection with this Deed. That agent shall be:
(a) in respect of HET and the HET Guarantor, Xxxxxxxxx Whampoa Agents (UK) Limited, currently of Xxxxxxxxx House, 0 Xxxxxx Xxxx, London SW11 4AN, United Kingdom;
(b) in respect of VIP LuxCo and the VIP Guarantor, Law Debenture Corporate Services Limited, currently of 0xx Xxxxx, Xxxx Xxxxxx, Xxxxxx XX0X 0XX; and
(c) in respect of XxxXx, appointed as soon as reasonably practicable and upon such appointment, notified to the other parties. Subject to clause 25.4, each party irrevocably undertake not to revoke its agent’s authority; and any claim form, judgment or other notice of legal process shall be sufficiently served if delivered to:
(d) in respect of HET, Xxxxxxxxx Whampoa Agents (UK) Limited;
(e) in respect of VIP LuxCo, Law Debenture Corporate Services Limited; and
(f) in respect of XxxXx, the agent appointed by it and notified to the other parties in accordance with sub-paragraph 12(iii) above, in each case at its address for the time being. Each of HET, VIP LuxCo, FinCo, the HET Guarantor and the VIP Guarantor waives any objection to such service.
Service of process agent. If, for any reason, the service of process agent designated in Section 13.13(b) hereof shall become incapacitated, resign or retire, a successor agent acceptable to the Lender shall promptly be designated and appointed and notice of such appointment provided to the Lender.
