SERVICES TO BE PROVIDED BY. LESSOR/LESSOR'S EXCULPATION: Subject to intervening laws, ordinances, regulations and executive orders, while Lessee is not in default under any of the provisions of this Lease, Lessor agrees to furnish, except on holidays, as set forth on Exhibit E attached hereto and made a part hereof:
a. The cleaning services, as set forth on Exhibit D attached hereto and made a part hereof, and subject to the conditions therein stated. Except as set forth on Exhibit D, Lessee shall pay the cost of all other cleaning services required by Lessee.
b. Heating, ventilating and air conditioning (herein "HVAC") as appropriate for the season, and as set forth on Exhibit C-1, attached hereto and made a part hereof, together with Common Facilities lighting and electric energy all during Building Hours, as defined in the Preamble.
c. Cold and hot water for drinking and lavatory purposes.
d. Elevator service during Building Hours (if the Building contains an elevator or elevators for the use of the occupants thereof).
e. Restroom supplies and exterior window cleaning when reasonably required.
f. Notwithstanding the requirements of Exhibit C-1 (as to HVAC) or D or any other provision of this Lease, Lessor shall not be liable for failure to furnish any of the aforesaid services when such failure is due to Force Majeure, as hereinafter defined. Lessor shall not be liable, under any circumstances, including, but not limited to, that arising from the negligence of Lessor, its agents, servants or invitees, or from defects, 13 errors or omissions in the construction or design of the Premises and/or the Building, including the structural and non-structural portions thereof, for loss of or injury to Lessee or to property, however occurring, through or in connection with or incidental to the furnishings of, or failure to furnish, any of the aforesaid services or for any interruption to Lessee's business, however occurring.

SERVICES TO BE PROVIDED BY. CONSULTANT During the Term (as defined below), Consultant shall do and perform all of the consulting and advisory services set forth in Schedule A attached hereto and made a part hereof, and shall perform any other services reasonably related to the development of the business of the Company as may be requested from time to time by the Company. During the Term, Consultant shall provide an average of at least 40 hours per month of consulting and advisory services to the Company or its designee, exclusive of, and in addition to, time spent by consultant in fulfilling his duties as a Director, or otherwise, of the Company and as a consultant to Endy. Said hours must be documented in writing and submitted on a mo▇▇▇▇y basis to Laurence A. Speiser, Esq. (or such other person as the Company shall ▇▇▇▇▇▇▇ ▇▇ ▇▇▇▇▇▇▇) at the address specified in Section 12(d) hereof. The Company and Consultant each hereby warrant and represent that they believe in good faith that the compensation to be paid by the Company to Consultant pursuant to the terms of this Agreement, which compensation was negotiated between the parties, is fair and reasonable for the number of hours to be worked, and the type of services to be provided by Consultant to the Company, and the level of experience of Consultant.

2.1 Telecommunications capacity, and related ancillary services (the "Facility" or "Facilities") available from ART are identified in the Service and Pricing Exhibit attached hereto as "Exhibit A", which is incorporated by this reference (the "Service and Pricing Exhibit"). Facilities requested by Customer shall be requested on ART's service order forms in effect from time to time (hereafter, any such order is a "Service Order(s)"). Each Service Order shall reference this Agreement and shall become a part of this Agreement when executed by a duly authorized representative of ART. ART reserves the right to reject any Service Order in areas where facilities or capacity are unavailable or the provision of service would be otherwise technically unreasonable.
2.2 Upon acceptance by ART of a duly executed Service Order during the Term (as defined in Section 4.3 of this Agreement) of this Agreement, ART shall provide to Customer those Facilities identified in the Service Order.
SERVICES TO BE PROVIDED BY. AMERITAS ----------------------------------- Ameritas shall perform necessary and appropriate duties agreed to by the Parties, which include, but are not limited to the following:
A. Provide certain administrative services, including policy administration and other insurance operation support services, claims administration, information management support and the development and maintenance of software.
B. Provide all management, administrative, legal, accounting, information technology, and other services, advice, and other accommodations reasonably necessary to effectively and efficiently manage, operate, and administer the business that is covered by this Agreement in a manner consistent with good business practice. This shall include all materials, supplies, and other sundry items reasonable necessary to provide such services.
C. Keep accurate, full, and complete books and records showing assets and liabilities, operations, transactions, and financial condition. All financial statements shall be accurate in all material respects, shall present fairly the respective financial positions and shall be prepared in accordance with GAAP and/or STAT, as applicable. Except as otherwise specifically provided, the Chief Executive Officer and/or President of each Party receiving the services of Ameritas shall determine the methods used in the preparation of financial statements and tax returns. Each Party may have access and inspect its books and records at a reasonable time and on reasonable notice. Ameritas shall make available to each Party and any government agency having jurisdiction over such Party, such information and financial statements at such times as shall be required in connection with the preparation of registration statements, current and periodic reports, audits or examinations, proxy statements, and other documents required to be filed or produced under federal or state laws and shall cooperate in the preparation and examination of any such documents.
D. The specific duties and services shall from time to time be agreed upon and appropriately documented by the Parties. Said services shall be provided by Ameritas at Ameritas' home office located in Lincoln, Nebraska, or such other place or places, as Ameritas shall determine is the most efficient location for providing such services.
SERVICES TO BE PROVIDED BY. THE BANK - The bank will use its best efforts, with its Customers, to promote, develop, and maintain accounts with RHI. The Bank will render all reasonable assistance to its Customers, as shall be necessary in order to open accounts on their behalf with RHI.
a.) The Bank shall make available to its Customers appropriate new account forms and such documentation as shall be necessary to open and maintain accounts with RHI. b.) The Bank will perform only such clerical and ministerial functions as shall be necessary to open and operate accounts on behalf of its Customers, unless those Bank employees, performing more than clerical or ministerial functions, are duly qualified and registered with RHI as registered representatives, pursuant to the appropriate regulatory requirements.
c.) Bank agrees that no employee of the bank shall receive commission related compensation for any brokerage activities unless such employee is duly licensed and registered with RHI.
d.) The Bank shall clearly identify RHI as the entity performing all such brokerage services, and will further advise its Customers that such services are being provided by RHI on a fully disclosed basis.

We assume responsibility for the initial preparation of marketing materials--saving you time and legal expense. Moreover, as your investment banker, ▇▇▇▇ ▇▇▇▇ will evaluate the financial, marketing and regulatory issues involved in the Offering. Our specific responsibilities include: . Review and advice with respect to the Plan; . Review and provide input with respect to the Business Plan to be prepared in connection with the Offering; . Participate in drafting the Prospectus and assist in obtaining all requisite regulatory approvals on terms most favorable to the Company; . Review and opine to the Board of Directors on the adequacy of the appraisal process; . Develop a marketing plan for the Offering including direct mail, advertising, community meetings and telephone solicitation; . Provide specifications and assistance in selecting data processing assistance, printer and other professionals; . Develop an operating plan for the Stock Sale Center (the "Center"); . Provide a list of equipment and supplies needed for the Center; . Draft marketing materials including letters, brochures, road show presentation and advertisements; and . Assist in arranging market-makers for post-Offering trading.
