Settlement of Option. Notwithstanding any discretion or anything to the contrary in the Plan, the grant of the Option does not provide any right for Participant to receive a cash payment and the Option will be settled in Shares only. Settlement of Option. Upon exercise of all or a specified portion of the Option, the Grantee (or such other person entitled to exercise the Option pursuant to this Agreement and the Plan) shall be entitled to receive from the Company the number of Shares for which the Option has then been properly exercised.
Settlement of Option. Contingent on and immediately prior to the consummation of the Merger, Homes shall make a cash or cash equivalent payment ("Option Settlement Amount") to the Optionee, in settlement of the cancellation of the Option, in an amount (if any) equal to: (a) the aggregate number of shares of Homes common stock that are subject to the canceled Option, (b) multiplied by the average of the closing selling price per share of such common stock as reported on the NASDAQ National Market System for the 20 consecutive trading days ending on the third trading day immediately prior to the Effective Time, and (c) less the aggregate option exercise price for the Option. For this purpose, if the Homes common stock is not traded on an applicable trading date, the closing price on that date shall be equal to the closing selling price per share on the last preceding date for which such quotation exists. The Option Settlement Amount as described in this paragraph shall be paid to Optionee by Homes as of immediately prior to the Effective Time.
Settlement of Option. Due to local regulatory requirements, notwithstanding anything to the contrary in the Agreement or the Plan, the Participant will not receive any Shares upon exercise of the Option. Instead, the Participant will receive a cash payment equal to the fair market value of the Shares on the date of exercise less the aggregate exercise price.   • Xxxxx of Option The Plan Administrator of the Company hereby grants to the Optionee named in the Notice of Grant attached as Part I of this Agreement (the "Optionee") an option (the "Option") to purchase the number of Shares, as set forth in the Notice of Grant, at the exercise price per share set forth in the Notice of Grant (the "Exercise Price"), subject to the terms and conditions of the Plan, which is incorporated herein by reference. Subject to Section 15(c) of the Plan, in the event of a conflict between the terms and conditions of the Plan and the terms and conditions of this Option Agreement, the terms and conditions of the Plan shall prevail. If designated in the Notice of Grant as an Incentive Stock Option ("ISO"), this Option is intended to qualify as an Incentive Stock Option under Section 422 of the Code. However, if this Option is intended to be an Incentive Stock Option, to the extent that it exceeds the $100,000 rule of Code Section 422(d) it shall be treated as a Nonstatutory Stock Option ("NSO").

  • Amendment of Option This Agreement and the terms of the Option may be amended by the Board or the Committee at any time (i) if the Board or the Committee determines, in its sole discretion, that amendment is necessary or advisable due to any addition to or change in the Code or in the regulations issued thereunder, or any federal or state securities law or other law or regulation, which change occurs after the Date of Grant and by its terms applies to the Option; or (ii) other than in the circumstances described in clause (i), with the consent of WGNB and the Grantee.

  • Termination of Option (a) Any unexercised portion of the Option shall automatically and without notice terminate and become null and void at the time of the earliest to occur of:

  • Settlement of the Award Upon vesting, the RSU Award will be settled by delivery of one share of Stock as of the Vesting Date, for each RSU being settled. Such settlement shall occur promptly on or following the vesting of each RSU.

  • Payment of Option Price The purchase price of Common Stock upon exercise of this Option shall be paid in full to the Corporation at the time of the exercise of the Option in cash or by the surrender to the Corporation of shares of previously acquired Common Stock which shall have been held by the Participant for at least six (6) months and which shall be valued at Fair Market Value on the date the Option is exercised, or by a combination of cash and such Common Stock.
