Common use of SEVERABILITY AND NON-WAIVER Clause in Contracts

SEVERABILITY AND NON-WAIVER. If any term or provision of this Agreement shall be held to be invalid or unenforceable, the remaining terms and provisions of this Agreement shall be valid and enforceable to the fullest extent permitted by law. The failure of either party to enforce any one or more of the provisions of this Agreement shall not be construed to be a waiver thereof, nor shall such failure affect the validity of the Agreement, Xxxxxxx’s obligations hereunder or the right of the Council to enforce any provision of the Agreement.
