SHARE CERTIFICATES AND OTHER DOCUMENTS. The Seller shall have delivered to the Buyer stock certificates evidencing the Shares duly endorsed for transfer or accompanied by stock powers duly executed in blank. The Buyer shall have received from the Seller all such other documents and instruments, duly executed where required or appropriate, as it may reasonably request in connection with the transactions contemplated by this Agreement, as set forth in Section 1.1.
