Common use of SHOP RIGHTS Clause in Contracts

SHOP RIGHTS. The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 but which are conceived or made by the Executive during the period he or she is engaged by the Company or with the use or assistance of the Company's facilities, materials or personnel.

SHOP RIGHTS. The Company Employer shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 herein but which are conceived of or made by the Executive Employee during the period he or she is engaged by the Company Employer or with the use or assistance of the CompanyEmployer's facilities, materials or personnel.

SHOP RIGHTS. The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-know how related thereto, which are not within the scope of Inventions as defined in Section 16 Paragraph 12 but which are conceived or made by the Executive during the period he or she is engaged by the Company or with the use or assistance of the Company's facilities, materials or personnel.

SHOP RIGHTS. The Company shall also have the a perpetual, royalty-free free, non-exclusive right to use in its business, and to make, use use, license and sell products, processes and/or services derived from any inventions, discoveries, concepts and designs, improvements, concepts, ideas, works of authorship, whether patentable or not patentablenot, including but not limited to processes, methods, formulas and techniquesformulae, as well as improvements thereof techniques or know-how related thereto, which that are not within the scope of Inventions “Inventions” as defined in Section 16 above, but which are conceived or made by the Executive during the period he or she is engaged by the Company regular working hours or with the use or assistance of the Company's facilities, materials or personnelpersonnel of the Company.

The Company Corporation shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas formulas, and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 Paragraph 2 but which are conceived or made by the Executive Employee during the period he or he/she is engaged by the Company Corporation or with the use or assistance of the CompanyCorporation's facilities, materials or personnel.

The Company employer shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentablepatent able, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 herein but which are conceived of or made by the Executive Employee during the period he or she is engaged by the Company Employer or with the use or assistance of the Company's Employer’s facilities, materials materials, or personnel.

The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section Paragraph 16 but which are conceived or made by the Executive during the period he or she is engaged by the Company or with the use or assistance of the Company's facilities, materials or personnel.

The Unless waived by the Board, the Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 above but which are conceived of or made by the Executive during the period he is employed or she is engaged by the Company or and with the material use or material assistance of the Company's facilities, materials materials, or personnel.

SHOP RIGHTS. The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 Paragraph 2 but which are conceived or made by the Executive Employee during the period he or he/she is engaged by the Company or with the use or assistance of the Company's ’s facilities, materials or personnel.

SHOP RIGHTS. The Promissor agrees that the Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentablepatentable or copyrightable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 2(b), but which are conceived or made by Promissor during Promissor’s relationship with the Executive during the period he Company, whether as a Promissor, employee or she is engaged by the Company or other service provider, and with the use or assistance of the Company's ’s facilities, materials or personnel.

SHOP RIGHTS. The Company Employer shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 7 but which are conceived or made by the Executive Employee during the period he or she is engaged by the Company Employer or with the use or assistance of the CompanyEmployer's facilities, materials or personnel.

The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether whetiier or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-know how related thereto, which are not within the die scope of Inventions as defined in Section 16 Paragraph 12 but which are conceived or made by the Executive during the period he or she is engaged by the die Company or with the use or assistance of the Company's facilities, materials or personnel.
