The SIGNATURE VERSION clause defines which version of a contract or agreement is considered the official, binding document based on the signatures it bears. In practice, this clause clarifies that only the version of the document that has been signed by all parties is legally effective, regardless of any prior drafts or negotiations. This ensures that all parties are bound only by the final, agreed-upon terms, preventing confusion or disputes over which version of the contract is enforceable.

As soon as reasonably practicable after execution of this Attachment, and every month thereafter, Customer shall provide IBM’s customer account representative with a Product demand forecast, which shall cover a minimum of twelve (12) rolling months, broken out by Product and month. Forecasts shall constitute good faith estimates of Customer’s anticipated requirements for Products but shall not obligate IBM to supply Product, nor obligate Customer to purchase Product.

If the Institution rejects the MEDIBUY solution or does not respond to the solution offered by MEDIBUY within ten (10) days, WebMD shall offer access to the designated GPO(s) solely by launching a new browser window in which will appear content solely served by that GPO. WebMD shall not, other than as set forth in this paragraph, advertise, promote or facilitate, directly or indirectly, to a WebMD Member or any Person qualified to become a WebMD Member access to or use of the Site of a designated GPO(s) for the procurement of medical, surgical or general office supplies.
