Site Acceptance. Test (SAT)/ pre-commissioning tests of all major substation equipment, component, system, facilities shall be successfully carried out before commissioning. The Type tests, FAT and SAT reports should be available at the substation / terminal station of HVDC installations for ready reference of operation and maintenance staff and has to be made available to the Independent Engineer appointed for quality monitoring or their authorised representatives, as and when they wish to examine the same.

Site Acceptance. Upon selection by Developer of a proposed site for a restaurant, Developer promptly shall submit to Arby's such specific site data and demographic and other information concerning the site as may be reasonably required by Arby's, utilizing such forms as may be required by Arby's. Arby's shall either accept or reject such site in accordance with Arby's then-current site selection policies and procedures. To be effective, any acceptance must be in writing. Developer understands and acknowledges that Arby's may reject any proposed site, in which event Developer will not proceed at the rejected site, but will seek to locate an acceptable site. The acquisition in any manner of any proposed site prior to acceptance by Arby's shall be at the sole risk and responsibility of Developer and shall not obligate Arby's in any way to accept same.

For purposes of Section 5.2 (Acceptance Conclusive Evidence) below, Franchisee will be deemed to have accepted an Approved Location at the time Franchisee receives the Permit for the same or commences Installation or Construction of the Telecommunications System, Facilities, Franchisee Poles, and related equipment at the Approved Location, whichever occurs first. Acceptance Conclusive Evidence. Acceptance of the Approved Location by Franchisee is conclusive evidence that Franchisee: 5.2.1 Accepts the Approved Location, or any other portion of the Right-of-Way wherein Franchisee’s Telecommunications System, Facilities and/or Franchised Poles are situated, as being suitable for the purpose for which it is franchised; 5.2.2 Accepts the Approved Location and all other portions of the Right-of-way wherein the Telecommunications System, Facilities and Franchisee Poles are situated, and any structure on the Approved Location or in the Right-of-Way and every part and appurtenance thereof AS IS, with all faults; and 5.2.3 Waives all claims against the City in respect of defects in the Approved Location or any portion of the Right-of-Way and its structures and appurtenances, their habitability or suitability for any permitted purposes.

Site Acceptance. Contractor acknowledges and agrees that for purposes of this Agreement, including Contractor’s right to the Site Acceptance Milestone payment, “Site Acceptance” will be deemed to occur when (a) Contractor has furnished all Deliverables described in Sections 15 and 16 above and the Site Acceptance Package described below; (b) Company has accepted and approved Contractor’s documentation; (c) a formal walk-through of the Site has occurred with no punch list items remaining, and (d) Company has issued an Acceptance Certificate approving the Contractor’s Work. Notwithstanding the foregoing, in the event that Work with respect to a Site that Company deems not to be material to the operation of the Site cannot reasonably be completed due to circumstances beyond the reasonable control of Contractor, such as painting or landscaping when weather conditions do not permit, the Parties will agree on a completion date for the incomplete items which is reasonable under the circumstances, and the Work at such Site will for all other purposes be deemed complete. EXHIBIT C – SITE DEVELOPMENT SCOPE OF WORK TERRESTAR NETWORKS PROPRIETARY & CONFIDENTIAL For each Site, Contractor will notify Company in writing when it has completed all Work and submitted all Deliverables, including the Site Acceptance Package, required hereunder to achieve the Site Acceptance Milestone (such notice is referred to herein as “Site Acceptance Notice To Company”). If, within seven (7) Business Days of Contractor’s Site Acceptance Notice to Company, Company does not notify Contractor of any deficiency in the Work or any Deliverable or fails to acknowledge its approval, then Site Acceptance will be deemed complete and accepted by Company. Site Acceptance. A. Within 45 days after Franchisor's receipt of the information described in Section 5.03, Franchisor shall advise Developer in writing whether it has accepted a particular site for development of a Franchised Unit. Franchisor may accept a site subject to certain conditions which Franchisor shall specify in writing. If Franchisor does not accept a completed Site Acceptance Request within 45 days, Franchisor shall be deemed to have denied acceptance of the proposed site for the Franchised Unit. Franchisor's acceptance or denial of acceptance of a proposed site for a Franchised Unit may be subject to reasonable conditions as determined in its sole discretion. B. Franchisor's acceptance of a site for a Franchised Unit is not a representation or a promise by Franchisor that a Franchised Unit at that location will achieve any particular sales volume or that it will be profitable. Similarly, Franchisor's acceptance of a site and its refusal to accept other sites is not a representation or a promise that the accepted site will have a higher sales volume or be more profitable than a site which Franchisor did not accept. Franchisor assumes no liability or responsibility for: (1) inspection of any structure on a proposed site for asbestos or other toxic or hazardous materials; (2) compliance with the Americans With Disabilities Act ("ADA"); or (3) compliance with any other applicable law. It is Developer's sole responsibility to obtain satisfactory evidence and/or assurances that the proposed site (and any structures thereon) is free from environmental contamination and in compliance with the requirements of the ADA.
