Site Acceptance Test. DigitalGlobe will provide five (5) days notice to Customer of its intent to administer the SAT. The Customer and/or End-User may, at their sole expense, participate in the SAT. The SAT will be used to verify that the DAF is performing substantially in accordance with the DAF Requirements. Subject to Section 6.2(c), upon such verification by DigitalGlobe and acceptance by the Customer and End-User of the successful completion of the SAT: (i) DigitalGlobe will accept the DAF from its Suppliers and will pass control of the DAF to the Customer and/or End-User (“Acceptance”); (ii) the DAF will be deemed accepted by the Customer and the End-User; and (iii) “ acceptance of the DAF will be deemed to occur (“Acceptance”). Upon declaration of Acceptance, the Customer and/or End-User will be able to exercise access rights to be granted under the Satellite Access Agreement. The warranty period will begin at Acceptance.
Site Acceptance Test. (SAT)
10.1. Within 14 working days as of the date on which the Supplier shall notify the IAA that the Products are assembled and ready to be tested, the IAA, in the presence of the Supplier's representatives, shall conduct a series of acceptance tests in order to confirm that the Products are in full compliance with the Technical Specification set in the SOW, as further specified in Chapter 3 (Acceptance Tests) of the SOW (the "SAT") and the IAA shall issue to the Supplier its report within such 14 working day period.
10.2. In the event that as a result of any inspection or test carried out under this section 10, the IAA's Representative has reason to believe that the Products do not fully comply with Supplier's Proposal and/or with the SOW, the IAA shall inform the Supplier immediately in writing and the Supplier shall be responsible to take all steps as may be necessary remedy any defects and/or replace any part, at its expense, in order to ensure such compliance within reasonable time table set by the IAA in accordance with the type of rejects. In such event, the IAA shall conduct repeated acceptance tests by not later than 5 business days from the date set by the IAA for remedying such rejects.
10.3. Should the Products successfully pass all SAT, the IAA will issue to Supplier a certificate of compliance with respect to the Products (the “COC”). The issuance of the COC is conditional upon the Supplier’s providing the IAA with the Warranty Guarantee as stipulated in Section 16.2 below.
10.4. All expenses incurred by the Supplier in the performance of the SAT shall be fully borne by the Supplier.
10.5. Failure by the Supplier to meet the SAT requirements as mentioned above will be regarded as a fundamental breach of the Contract.
10.6. For the avoidance of doubt, the issuance of any approval, confirmation and acceptance certificate issued by the IAA under this Section 10, shall not derogate from the full and complete responsibility of the Supplier, as stipulated in the Contract, including its responsibility for the supply of the Products in accordance with the SOW and their fitness for their intended purpose, and shall not be deemed as a waiver by the IAA of any of its rights under this Contract, including, inter alia, the right to demand from the Supplier to remedy any non- compliance, at its own expenses, even if such non-compliance is discovered after the issuance of the COC.
Site Acceptance Test. (SAT)/ pre-commissioning tests of all major substation equipment, component, system, facilities shall be successfully carried out before commissioning. The Type tests, FAT and SAT reports should be available at the substation / terminal station of HVDC installations for ready reference of operation and maintenance staff and has to be made available to the Independent Engineer appointed for quality monitoring or their authorised representatives, as and when they wish to examine the same.
Site Acceptance Test. Promptly upon taking possession of the Prototype, Isis shall conduct the testing set forth on Exhibit D (the "Site Acceptance Test"), it being acknowledged that the Site Acceptance Test shall evaluate [***]. If the Prototype fails to satisfy the Site Acceptance Test requirements, RoboDesign shall, as soon as practicable, modify the Prototype, at [***] to Isis, and Isis shall again perform the Site Acceptance Test as needed until the Prototype successfully meets the Site Acceptance Test Requirements. When the Prototype has successfully satisfied the Site Acceptance Test, Isis shall give RoboDesign written notice thereof.
Site Acceptance Test. On completion of assembly of the Equipment at the Port or place of delivery specified in Line 6, the Owners shall carry out a Site Acceptance Test. Mobilisation shall be deemed to be complete and Hire shall commence to run on successful completion of the Site Acceptance Test. The purpose of the Site Acceptance Test is to establish that the Equipment can operate in accordance with its specifications. Hirers shall be entitled, but not obliged, to witness the Site Acceptance Test.
Site Acceptance Test. To fulfil the obligation concerning delivery the Customer must perform a Site Acceptance Test of the Products. The purpose of the acceptance test is to ensure the compliance with the specifications offered by the Supplier.
Site Acceptance Test. I-SITES, INC. will be invited to conduct a detailed site acceptance test (at PTSL's Development center in VEPZ, Visakhapatnam). PTSL will coordinate with I-SITES, INC. for the acceptance test plan and execution with test cases in a step-by-step manner. Any minor changes or improvements identified would also be incorporated during test stage or soon after the test completion. I-SITES, INC. will sign the site acceptance if the specifications and requirements have been met and found to be functionally satisfactory. Note: I-SITES, INC. will provide data for testing including a spreadsheet model containing validated results for specific calculations of the system. The same will be used for internal testing by PTSL for reconciliation before site Acceptance Test is taken up.
Site Acceptance Test. I SITES, INC. will coordinate and conduct a detailed site acceptance test (to be performed at GTS's Development center at Pyxis in VEPZ, Visakhapatnam). GTS will coordinate with I SITES, INC. for the acceptance test plan and execution with test cases in a step-by-step manner. Any minor changes or improvements identified would also be incorporated during test stage or soon after the test completion. I SITES, INC. will sign the site acceptance if the specifications and requirements have been met and found to be functionally satisfactory. Note: I SITES, INC. will provide data for testing including a spreadsheet model containing validated results for specific calculations of the system. The same will be used for internal testing by GTS for reconciliation before site Acceptance Test is taken up.
Site Acceptance Test the dry and wet test to verify that the Goods meet the requirements and to confirm the Goods are installed, started-up and technically performing as defined in the contract. Upon completion of the test, the Goods Conformity and Final Acceptance Document will be signed.
Site Acceptance Test. 8.1. The SAT must be conducted by Submer or its Certified Installation Partner, as mutually agreed, within two (2) months from the Delivery Date.
8.2. The Client shall provide all reasonable cooperation in facilitating the SAT, including, but not limited to, ensuring access to the installation site, availability of necessary resources, and participation in required trainings.
8.3. The results of the SAT will serve as conclusive evidence of the test and its outcomes and, if measured results are favorable as per Submer standards, SAT will be signed with the date of performance of the test by Submer and the Client or its authorized representative.
8.4. If the Submer Product fails the SAT, Submer will determine in its discretion whether the reason of its non-conformity is covered by the Warranty.
8.5. Should the Client fail facilitate the SAT execution within the period described in Clause 8.1 then the Product will be deemed accepted.
8.6. In the event of delays due to unforeseen circumstances, including force majeure events, the SAT execution dates may be extended by a mutually agreed period evidenced in writing.
