Software License Restrictions. To use the Cloud Service, You may be required to download and install Cisco software (“Software”). Cisco grants You a limited, non-exclusive, non-sublicensable and non-transferable license to use the Software solely as required to use the Cloud Service. The Software may contain code that is subject to its own license terms. You may not and may not allow a third party to modify, reverse engineer, decompile, or otherwise attempt to derive the source code for the Software, or create derivative works of the Software except as legally permitted for interoperability purposes.

Software License Restrictions. Purchaser acknowledges that certain Software may be subject to additional terms and conditions. Purchaser may not use, copy, modify, create derivative works of, reverse engineer, decompile, disassemble, distribute, sell, assign, pledge, sublicense, lease, loan, rent, timeshare or otherwise transfer the Software, nor permit any other party to do any of the foregoing. Purchaser may not remove from the Software, or alter, any of the trademarks, trade names, logos, patent or copyright notices or markings, or add any other notices or markings to the Software. Purchaser may not (and may not attempt to) defeat, avoid, by-pass, remove, deactivate or otherwise circumvent any protection mechanisms in the Software including without limitation any such mechanism used to restrict or control the functionality of the Software.

Software License Restrictions. Company shall not (and shall not allow any third party to): (a) decompile, disassemble, translate, reverse engineer or otherwise attempt to derive source code from any encrypted or encoded portion of the Software, in whole or in part, nor will Company, its employees or Third Party Service Providers use any mechanical, electronic or other method to trace, decompile, disassemble, or identify the source code of the Software or encourage or permit others to do so; (b) sell, sublicense, rent, lease, distribute, market, or commercialize for any purpose, including timesharing or service bureau purposes: (i) the Software, (ii) any modified version or derivative work of the Software created by the Company or for the Company, or (iii) any Medcurio software, either modified or not, licensed under an open source license; (c) create, develop, license, install, use, or deploy any third party software or services to circumvent, enable, modify or provide access, permissions or rights that violate the technical restrictions of the Software, any additional licensing terms provided by Medcurio via product documentation, notification, and/or policy change posted at xxxx://xxx.Xxxxxxxx.xxx, and the terms of this XXXX; (d) remove or obscure any product identification, proprietary, copyright or other notices contained in the Software; (e) modify or create a derivative work of any encrypted or encoded portion of the Software, or any other portion of the Software; (f) publicly disseminate performance information or analysis (including, without limitation, benchmarks) from any source relating to the Software; (g) engage in any of the following prohibited activities in connection with the Software: (i) upload unauthorized Company Data, (ii) grant or provide access to unauthorized users, and (iii) any fraudulent activity; (h) market itself as a “re-seller” of the Software; or (i) create a competitive product offering to the Software.
Software License Restrictions. Except as may be otherwise provided herein: (i) Owners shall not alone or with the assistance of others, reverse compile or in any other manner attempt to decipher in whole or in part the logic or coherence of any Base Software or Third-Party Software provided hereunder in object-code or machine-readable form. (ii) Owners shall not use the Software for purposes of (A) performing a quality assurance program verification of any other computer program regardless of application, or (B) using the input or output of the Software to qualify, validate or provide credibility to any other software owned by Owners or any Third Party without the prior written consent of Consortium Members. Notwithstanding the foregoing, Owners shall have the right to use information obtained from Facility instrumentation through the use of the Software and/or Configuration Data for any purpose.

Software License Restrictions. VAR shall distribute each copy of the NES System Software and NES System Provisioning Software pursuant to a written software license agreement between VAR and the Utility that incorporates the terms and conditions set forth on Exhibit F, which terms may be incorporated into the purchase agreement between VAR and such Utility for VAR’s Value-Added Utility Solution. VAR agrees to use its best efforts to enforce such terms and to inform ECHELON immediately of any known breach of such obligations. ECHELON may modify the terms of Exhibit F upon sixty (60) days written notice to VAR. After the end of such period, the NES System Software and the NES System Provisioning Software may be distributed only pursuant to the modified terms.
Software License Restrictions. (i) Galileo hereby grants Customer a nonexclusive license to use the software during the term of this Agreement. The Software is the property of Galileo and may not be used, in whole or in part, by Customer on other than or with the Ancillary Equipment set forth on the Attachment A(s) unless otherwise agreed to by Galileo. This license automatically terminates upon termination of this Agreement. (ii) Title and full ownership rights to the Software remain with Galileo or such other party with whom Galileo has a distributorship or licensing agreement ("Licensor"). Customer shall maintain the confidential nature of the Software and related materials which are provided hereunder for its own internal use and protect them as it does its own most valuable and strategic assets and trade secrets. (i) Except with prior written consent of Galileo, or as set forth in Article 4.8(ii) hereof, Customer shall not copy, reproduce, or duplicate the Software in any way, nor shall it sell, lease, pledge, assign, license, dispose of, or otherwise transfer or encumber the Software. (ii) Any Software provided by Galileo hereunder in machine-readable form amy be copied, in whole or in part, in printed or machine-readable form solely for Customer's internal use for backup and archival purposes and may be used only in the event of damage, destruction, or loss of the original Software supplied. The original and all copies of the Software, in whole or in part, remain the property of Galileo or its licensor. (iii) Except with the prior written consent of Galileo, Customer shall not add to, modify, enhance, or alter the Software. Customer shall not disassemble, reverse assemble, reverse compile or otherwise reverse engineer any portion of the Software. (iv) Except with the prior written consent of Galileo, Customer shall not provide or otherwise make available the Software or any part thereof, including, but not limited to, programs, diagrams, flow charts, logic, and operating and training manuals, to any person other than Customer's employees, officers, or directors who require access to the Software in the normal course of Customer's business.
