Southern California. Edison Company shall be subrogated to all (if any) rights of any Beneficiary against the Trust, in respect of any amounts paid to the Beneficiaries by Southern California Edison Company under this Agreement; provided, however, that Southern California Edison Company shall not (except to the extent required by mandatory provisions of law) be entitled to enforce or exercise any rights which it may acquire against the Trust by way of subrogation or any indemnity, reimbursement or other agreement, in all cases as a result of payment under this Agreement, if, at the time of any such payment, any amounts are due and unpaid under this Agreement.

The Company also agrees that locations/facilities added to the current list which are in the jurisdiction of Local Unions not already signatory to this LOA will require the approval and signature of that Local Union to this LOA for the terms and conditions of this LOA to be applicable to that added location.
