Species at Risk and of Conservation Concern. Under XXXX an environmental assessment must always consider project impacts on listed wildlife species, their critical habitat or the residences of individuals of that species. An environmental effect is defined as any effect on species of concern and their habitat resulting from project activities. Figure 4.5 shows the various habitats associated with and surrounding the Project area. The potential for effects resulting from the execution of the Project on these areas, on listed wildlife species, their critical habitat, or the residences of individuals of that species, provides the ecological focus of this environmental assessment. The screening of the Atlantic CDC list acquired for areas within 100 km of the Donkin peninsula yielded a “long” list of 147 species that had been noted within this boundary (Appendix D). Consideration of the habitats in and adjacent to this Project site enabled this list to be reduced to 44 species, i.e., those species that might have a habitat requirement consistent with those on the Donkin peninsula. This “short” list of priority species, or species of concern, is presented in Table 4.12; the field teams were vigilant in striving to identify these species on the headland. Figures 4.5 and 4.6 illustrate key locations on the peninsula for Species of Concern as well as important habitats in the broader study area.   • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • Exclusions The Warrant Agent shall have no responsibility with respect to the validity of this Agreement or with respect to the validity or execution of any Warrant (except its countersignature thereof). The Warrant Agent shall not be responsible for any breach by the Company of any covenant or condition contained in this Agreement or in any Warrant.   • Compliance with Laws Comply in all material respects with the requirements of all Laws and all orders, writs, injunctions and decrees applicable to it or to its business or property, except in such instances in which (a) such requirement of Law or order, writ, injunction or decree is being contested in good faith by appropriate proceedings diligently conducted; or (b) the failure to comply therewith could not reasonably be expected to have a Material Adverse Effect.
