Specified Services. CARRIER’S services under this Agreement are specifically designed to meet the distinct needs of BROKER under the specified rates and conditions set forth herein.
Specified Services. Sunoco will perform for each Partnership, the treasury services described in Schedule 1.1 attached hereto and incorporated herein by reference, with such deletions, additions or modifications as the parties may from time to time agree upon (the “Treasury Services”). Sunoco makes no representations or warranties of any kind, express or implied, with respect to the Treasury Services to be provided hereunder, except that the Treasury Services shall be provided in a reasonably timely manner by personnel that Sunoco deems to be competent and qualified to perform such services.
Specified Services. Subject to this Section 2.1, to the extent permitted under any applicable Group Member Agreement, each Sponsor shall have the exclusive right to perform, itself or through one or more designees, Specified Services on behalf of such Sponsor’s Contributed Companies or any other Project Company contributed or sold to the Operating Company, directly or indirectly, by such Sponsor or any Affiliate thereof. If any Contributed Company or other Project Company desires to obtain Specified Services, the Operating Company shall notify the applicable Sponsor thereof. If such Sponsor elects, no later than thirty (30) days after receipt of such notice, to perform such Specified Services, such Sponsor and such Contributed Company or other Project Company (as applicable) shall enter into a definitive agreement with respect to such Specified Services, which agreement, unless otherwise expressly approved by the Board of Directors or a committee thereof, shall (a) be in writing, (b) contain market-based terms and (c) be administered on an arm’s length basis. Notwithstanding anything herein to the contrary, this Section 2.1 shall cease to apply to any Sponsor that does not own, directly or indirectly, at least fifty percent (50%) of the “Management Units” (as defined in the Holdings Limited Liability Company Agreement).
Specified Services. The Company shall provide the Specified Services to the Client subject to the terms of this Agreement.
Specified Services. The Consultant shall provide such services to the Company, and any Related Corporation, as the Company may from time to time direct in relation to development of the Technologies ("the Specified Services") which services shall until otherwise agreed between the parties be those services stated in the Schedule hereto under the heading "Job Description". Specified Services. 1. Provide Executive-Level Program Management (EPM) guidance and make recommendations to the Airport Director including but not limited to: i. Technical review and recommendation of project scopes and Airport industry best practices and technologies. Develop program definition documents that outline the airport owner’s scope needs, ensuring that best practices and technologies are considered. Propose efficiencies or procedural innovations to the scope of work that are in the best interest of the County. This may include but not limited to Airport Tenant Improvement Process Management, Management of Concessions Redevelopment Design/Construction Process, Strategic Business Planning, and Design Vision: Developing a Sense of Place. ii. The transition of JWA’s Capital Improvement Plan (CIP) from planning into design and into construction. Develop a comprehensive execution plan for JWA’s participation and role in implementing the capital development projects within the CIP. Assist JWA in preparing for change in areas that can create new CIP projects such as increase in the annual passenger activity cap, planning needs as part of the JWA Settlement Agreement, support in reviewing and monitoring the life cycle of existing facilities and systems. iii. Provide consultation and advice on selecting qualified consultants and firms with relevant experience in design, construction, and implementation of projects similar to the size and complexity of the applicable projects. iv. Provide assistance with the coordination of JWA’s ongoing CIP in collaboration with OC Public Works. Development of a detailed program definition for each CIP project in collaboration with JWA and OCPW. v. Participation in development of the execution plan for JWA participation in CIP delivery. Provide Project management support for JWA participation in the CIP delivery. Project controls support for monitoring and evaluating/advising on cost, schedule, risk, change, metrics, and reporting. 2. Provide recommendations to the Airport Director on the optimal use of County and contracted staff resources for collaboration and performance of services. Assist in developing a management strategy that includes a staffing plan and organizational approach. 3. Act as an advisor between the Airport Director, OC Public Works, A/E’s, and other contractors with regard to the CIP and other JWA projects. 4. Specified Services. The following specified services incorporate certain other functions, including without limitation: maintaining customer databases and other information services and office support as necessary; de-stickering and processing non-paperback titles; managing inventory and processing vendor payments, including all Source/CLCC co-op payments with respect to Book Product purchases from LHE; processing reorders and canceling Product orders and purchases for Source/CLCC that are no longer needed; receiving, handling, and warehousing inventory; creating packing lists for Source/CLCC orders; creating paperback grids and assembling pre-packs on a monthly basis; running various reports and trend information based on past practice; and assisting with promotional items, marketing, training, and special programs as needed.
