Sprint MHz-Pops. As of the Closing Date, the number of MHz-Pops covered by the Sprint Licenses and spectrum rights that are subject to the Sprint In-Leases, less the number of MHz-Pops covered by the spectrum rights that are subject to the Sprint Out-Leases (the “Sprint Closing Date MHz-Pops”), shall equal or exceed 27,539,550,000.
