Stamp duty and SDRT. It is not expected that any UK stamp duty or SDRT will be payable by the Company or the Shareholders in relation to the liquidation of the Company or on the receipt by Shareholders of New Aurora Shares under the Rollover Option. UK stamp duty and SDRT may be incurred by the Company in relation to the realignment of the Company’s investment portfolio prior to the Effective Date and by Aurora in relation to the transfer of chargeable assets within the Rollover Pool, in addition to other non-UK transfer taxes that may be payable. Non-UK transfer taxes may also be payable by the Company on the transfer of the assets comprising the Rollover Pool to Aurora.

Stamp duty and SDRT. 10.1 Each document which is in the possession or under the control of the Company or which the Company is entitled to the production of and on which the Company relies or may rely for any purpose whatsoever and which, in the United Kingdom or elsewhere, requires any stamp or mark to denote that: 10.1.1 any duty, tax or fee xxxxired to be paid by law has been paid; or 10.1.2 a duty, tax or fee referred to in paragraph 10.1.1 is not required to be paid or that the document in question or the Event evidenced by it qualifies from a relief or exemption from such duty, tax or fee; or 10.1.3 the document has been produced to the appropriate authority, has been properly stamped or marked, as appropriate, and no such document which is outside the United Kingdom would attract stamp duty if it were to be brought into the United Kingdom. 10.2 The Company does not directly or indirectly hold any interest in real property situated in the United Kingdom which was granted or transferred to it on or after 24 April 2002 and where such grant or transfer was the subject of an application for relief from stamp duty under section 42 of the FA 1930, section 151 of the FA 1995, or section 76 of the FA 1986. 10.3 The Company has complied in all respects with the provisions of Part IV FA 1986 (Stamp Duty Reserve Tax) and any regulations made under such legislation.

Stamp duty and SDRT. The Company is not, nor has at any time been, liable to pay any amounts in respect of stamp duty or stamp duty reserve tax.

  • Witness Duty An employee required to serve on jury duty, or as a witness in a case in which the Crown is a party, or as a witness at an inquest, or as a witness in a case arising out of her employment, or as a witness at a hearing of the College of Nurses of Ontario, shall not lose regular pay because of such attendance, provided that the employee: (a) shall notify the Director of Care, as soon as possible, when required to serve under any of the above circumstances; (b) presents proof of service requiring her attendance; (c) deposits with the Employer an amount equal to the jury duty attendance fees received by the employee in any above cases but not any expenses paid by the employee and received from the authorities for necessary travel, accommodations and meals; (d) will normally come to work during those scheduled hours of the day shift that she is not required to attend court. In the event that an employee is scheduled to the afternoon shift, she shall not be required to attend court and then report for duty the same day; and (e) will not be required to work on the night shift prior to such duty. Where the employee's presence is required in court past 1700 hours, she shall not be required to attend work for her night shift commencing later that day. (f) Where the Home requires an employee to attend any meetings in preparation for a case or legal proceedings or as a result of a compliance inspection which either arises from an employee’s employment with the Home or otherwise involves the Home, the Home will make every reasonable effort to schedule such meetings at the Home during the employee’s regularly scheduled hours of work. If the employee is required to attend such meetings outside of her or his regularly scheduled hours, the employee shall be paid for all hours spent in such meetings in accordance with Articles 15 and 16.
