Standards for Performance of Services. The Provider shall, and shall cause its Affiliates and the providers of Outsourced Services to, perform the Services with reasonable diligence and dispatch in a prudent, cost effective and efficient manner, in accordance with all applicable laws, regulations, codes, permits, licenses, and standards, and in accordance with the terms and conditions of this Agreement. The Provider may determine in its sole discretion whether or not to Outsource a Service.
Standards for Performance of Services. (a) The Concessionaire shall discharge its obligations:
(i) in compliance with all Applicable Laws and Applicable Permits (including renewals as required) in the performance of its obligations under this Agreement;
(ii) in accordance with the Specifications and Standards outlined in the Schedules; and
(iii) in a good and workmanlike manner in accordance with the terms of Clearances, Good Industry Practice, Good Clinical Practice and Good Healthcare Practice; and
(b) The Concessionaire shall ensure compliance with the design specification, construction specification, Equipment specification, Service specification in conformity with the Specifications and Standards as set out in the Schedule-D hereto.
Standards for Performance of Services. (a) The Manager shall perform its obligations hereunder in a prudent and efficient manner.
(b) The Manager shall use all reasonable efforts to perform its obligations hereunder in accordance with all applicable laws, regulations, codes, permits, licenses and standards.
Standards for Performance of Services. Operator shall perform the Services in a prudent and efficient manner, in accordance with all Applicable Laws, licenses and prudent industry standards, and in accordance with the applicable terms and conditions of the LLC Operating Agreement and the Facility Documents. Operator shall incur or authorize costs on behalf of Owner hereunder only in accordance with requirements of the LLC Operating Agreement and the Facility Documents.

Manager shall perform the ------------------------------------- Services with due diligence and dispatch in a prudent, cost effective and efficient manner, in accordance with all applicable laws, regulations, codes, permits, licenses, and standards, and in accordance with the Management Plan and applicable terms and conditions of the Transaction Documents. To the extent within the reasonable control of Manager, all Operating Expenses incurred or authorized by Manager on behalf of Lessee hereunder shall be in accordance with the applicable Project Operating Budget, as such Operating Budget may be amended from time to time in accordance with the Transaction Documents. Manager shall not carry out any transaction or enter into any contract or agreement on behalf of Lessee hereunder with any Affiliate of Manager except on terms no less favorable to Lessee than would be available in a bona fide arm's length transaction with a non-affiliated person.
Standards for Performance of Services. Bunge shall perform the Services in accordance with such policies and directives as may be issued from time to time by Producer. Producer shall have final decision making authority over all specific purchase, sale and hedging transactions. Producer's directions shall be given by Producer's General Manager, or in the General Manager's absence, Producer's Chief Financial Officer. The General Manager may designate in writing one or more persons to act for Producer in the absence of both the General Manager and Chief Financial Officer. Bunge shall perform the Services hereunder in accordance with and in accordance with all permits and all applicable federal, state and local laws, rules and regulations governing the Facility.
Standards for Performance of Services a. The Concessionaire shall design, finance, construct, procure, equip, operate, maintain and transfer the Project Facilities in accordance with the Applicable Laws, Applicable Permits (including renewals as required), provisions of this Agreement and any latest/applicable regulations as issued by Government of India and or Government of Madhya Pradesh.
b. The Concessionaire shall provide Radiotherapy Services at Project Facility(s) as per the Operational Specifications & Performance Standard given in Schedule-D of this Agreement, Applicable Law, Good Clinical Practice and Good Healthcare Practice. The Concessionaire will not outsource the Radiotherapy Services to any third party.
c. The Concessionaire shall undertake maintenance of Project Facility(s) by itself or through a contractor possessing requisite technical, financial and managerial expertise/capability; but in either case, the Concessionaire shall remain solely responsible to meet the O&M requirements of the Agreement.
d. The Concessionaire shall, during the Concession Period and subsistence of this Agreement:
i. shall designate and appoint suitable officers/representatives as it may deem appropriate to supervise the Project, to deal with the Authority and to be responsible for all necessary exchange of information required pursuant to this Agreement;
ii. shall, for the purposes of determining that the Project Facility(s) is being maintained in accordance with the O&M requirements as mentioned in this Agreement, carry out necessary tests with due diligence in accordance with and as per the instructions of the Authority or its Authorized representatives and such tests shall be carried out under the supervision of the Authority or its Authorized Representatives. The Concessionaire shall maintain proper record of such tests and the remedial measures taken to cure the defects or deficiencies, if any, indicated by the tests results.
iii. shall make available the Project Facility(s) and other tools, stationaries & assets as required by clinical staffs deployed by Medical Colleges for providing Radiotherapy Services in the Project Facility(s) and as required by medical students for training purpose in the Project Facility(s) Draft Concession Agreement
e. No items comprising the Project Facility(s) shall be disposed off during the Concession Period, unless specifically approved by the Authority in writing.
Standards for Performance of Services. Each Service Provider shall perform its obligations hereunder in a prudent and efficient manner and in accordance with applicable law and good industry practice. Notwithstanding anything to the contrary in this Agreement, all underwriting, claims and investment accounting provided by a Service Provider hereunder are to be based upon the written criteria, standards and guidelines of the Service Recipient. Notwithstanding anything to the contrary in this Agreement, a Service Recipient shall have the ultimate and final authority over decisions and policies with respect to insurance products issued by the Service Recipient, to include but not be limited to the acceptance, rejection or canceling of applications for insurance policies, the payment or non-payment of claims, and the purchase and sale of securities. Service Recipient shall maintain oversight of Services and shall monitor services annually for quality assurance. There shall be no advancement of funds under this Agreement by the Service Recipient to the Service Provider except to pay for Services in accordance with Article 3 hereof. All funds and invested assets of the Service Recipient are the exclusive property of the Service Recipient, held for the benefit of the Service Recipient, and subject to the control of the Service Recipient.

The Manager shall not carry out any transaction or enter into any contract or agreement on behalf of the Company or any subsidiary hereunder with any Affiliate of the Manager except on terms no less favorable to the Company or such subsidiary than would be available in a bona fide arm's length transaction with a non-affiliated person. The Manager alone may determine whether or not to Outsource a Service.

(i) in compliance with all Applicable Laws and Applicable Permits (including renewals as required) in the performance of its obligations under this Agreement;
(ii) in accordance with the Specifications and Standards outlined in the Schedules; and
(iii) in a good and workmanlike manner in accordance with the MCI Regulations, Good Industry Practice,; and
(b) The Concessionaire shall ensure compliance with the design, construction, service specification and any other specifications in conformity with the Specifications and Standards as set out in the Schedule-D hereto.
