Standards of Quality. MGMA may periodically amend its: (i) standards of quality for the goods and services offered by Affiliate in association with the MGMA Trademarks; and (ii) its mandatory usage guidelines relating to acceptable uses of the MGMA Trademarks. Affiliate agrees to meet all of MGMA’s standards of quality and mandatory usage guidelines.
Standards of Quality. Buyer agrees to comply with applicable Laws in the Territory related to the marketing, sale, and distribution of Product.
Standards of Quality. The applicable Conformance Requirements as set forth in the Certification Policy.
Standards of Quality. 4.1 In using the AMIH Marks hereunder LMGC shall comply so far as it is capable of doing so and shall ensure that all sub-licensees of the AMIH Marks appointed by LMGC comply so far as they are capable of doing so in the manufacturing and distribution, advertising, marketing and promotion of wares and services under the AMIH Marks in relation to the Programme with all applicable laws in force in the Territory and all other countries in which sub-licensees appointed by LMGC use the AMIH Marks in the manufacture and distribution, advertising, marketing and promotion of wares or services under such AMIH Marks in relation to the Programme.
Standards of Quality. The Licensee acknowledges to and covenants and agrees with the Licensor that, during the Term of this Agreement, unless the Licensor (in its sole and absolute discretion) consents otherwise in writing: (a) none of the Products or Services shall fail in any material respect to meet the standards of quality with respect to the Trademarks in place at the time of commencement of this Agreement ("Standards of Quality") if such failure would materially impair the prestige and goodwill of the Trademarks; and (b) none of the Products or Services of the Licensee shall otherwise materially impair the prestige and goodwill of the Trademarks.
Standards of Quality. All of the Licensed Products sold by Licensee under the Licensed Trademarks in the Licensed Territory shall at all times be manufactured, marketed, sold and otherwise distributed in accordance with the reasonable standards of quality and control required by Cumberland. Licensee shall not manufacture, market, sell or otherwise distribute any Licensed Product under the Licensed Trademarks if the same do not satisfy such standards of quality and control. In order to ensure that the Licensed Products meet such standards, Licensee shall permit, and shall contractually cause each of Licensee's manufacturers, brokers, salespersons and distributors to permit, Cumberland's representatives to inspect at all reasonable times, upon reasonable notice, any and all manufacturing plants, storage plants and/or shipping facilities at which the Licensed Products are manufactured, processed, packaged, stored and/or shipped, and Licensee shall have the right to be present at such inspection. Cumberland shall also have the right to obtain from time to time, without charge, a reasonable number of samples of the Licensed Product for testing purposes. Said samples shall not be distributed by Cumberland for any other purpose.
Standards of Quality. Debtor has, and will continue to use for the duration of this Agreement, consistent standards of quality in its manufacture of goods sold under the Marks. The Debtor has heretofore controlled, and will hereafter continue to control, the nature and quality of the goods and services in respect of which any Mark is used by any Person.
Standards of Quality. The Licensed Merchandise and any expression by Licensee, directly or indirectly, which by its nature conveys to others the existence of a relationship between Licensee and the Trademarks or the Licensed Merchandise (including, without limitation, all packaging, labeling, fixturing, advertising, point of sale and sales promotion materials and product literature (any such expression is herein referred to as “Trademark Use Materials”) shall be of a quality, style, appearance, distinctiveness and quality which shall be materially consistent with Licensee’s private brand merchandise of a similar price and taste level and shall in all respects (including, without limitation, the manufacture, sale, marketing and advertising) be in accordance with all of the terms and provisions of this Agreement, with all applicable laws, rules and regulations and with any approval decision made by Licensor, shall not materially and adversely affect any rights of ownership of Licensor in the Trademarks and shall not materially derogate or detract from the repute of Licensor or the Trademarks.
Standards of Quality. Licensee agrees to maintain standards of quality in products and services at or above industry standard for all products that use or are associated with the Licensed Intellectual Property, consistent with the Licensor’s specifications, to protect the reputation and value of the Licensed Intellectual Property.
Standards of Quality. To the extent that Purchaser or any of its Affiliates is using the Trademarks and/or Novartis Names and Marks licensed to Purchaser under this Agreement, Novartis shall notify the Purchaser of the reasonable standards of quality and specifications that must be adopted by the Purchaser or its Affiliates in the manufacture and handling of Marked Product(s) in the Territory and the Purchaser undertakes to, and to cause its Affiliates to, comply strictly with such standards and specifications. For the avoidance of doubt, the Purchaser agrees to, and to cause its Affiliates to, strictly comply, at least, with applicable Good Manufacturing Practice in the manufacture of Marked Product(s), as well as to strictly comply with applicable laws and regulations in the marketing, sale, and distribution of Marked Product(s). Novartis shall give the Purchaser written notice of any modifications or changes to the standards of quality or specifications relating to the Product in the Territory and the Purchaser must, and must cause its Affiliates to, use commercially reasonable efforts to implement any such modification or change as soon as possible.
