Status of Documents. Each of (a) the Organizational Documents, (b) the Construction Contract, (c) the Design Professional’s Contract, (d) the Civil Engineer’s Contract and (e) all other Project Documents is in full force and effect and free from any default on the part of Owner which would have a Material Adverse Effect. Such documents are hereinafter sometimes collectively called the “Basic Agreements”. Borrower has provided Lender with true, correct and complete copies of the Basic Agreements.
Status of Documents. 52.1 The Statutory Instruments Act, or any successor legislation, will not apply to a land code or to First Nation laws.

By countersigning this Waiver Letter, the Borrower and the Guarantors each hereby confirms its agreement to the terms of this Waiver Letter and further confirms that its obligations under the Finance Documents (including, without limitation, the guarantees and security (including the priority of ranking of such security) provided thereby) shall continue in full force and effect.

(a) Subject to Condition 8.1(c), on each application to register the transfer of any Notes or to register any person as the holder in respect of any Notes transmitted to that person by operation of law or otherwise, the Note Certificate (if any) specifying the Notes in respect of which registration is required must be delivered to the Issuer for cancellation and on registration the Note Certificate is considered to have been cancelled.
(b) Each transfer which is registered may be retained by the Issuer for any period determined by the Issuer Board, after which the Issuer may destroy it. Any transfer which is not registered will (except in the case of fraud or suspected fraud) be returned on demand to the person depositing the transfer.

Status of Documents. 4.1. In the event of any conflict between the terms of any Quote and the terms of this Agreement, the terms of this Agreement shall take precedence.
4.2. In the event of any conflict between the terms of this Agreement and the terms of the Customer Schedule, the terms of the Customer Schedule shall take precedence.
4.3. This Agreement applies to the exclusion of any document, notice, order, terms, agreement, quotation or any other document, whether past or future, which the Customer purports to apply or seeks to impose between iSanity and the Customer in respect of the Services.

Status of Documents. 2.1 The Documents have been duly authorised, validly executed and delivered (where such concept is legally relevant) by each of the parties thereto (including the Company) under all applicable laws other than Netherlands law.
2.2 The information set forth in the Extract is complete and accurate at the date hereof, which assumption is supported by the outcome of the Searches.
2.3 The Articles of Association are the articles of association of the Company in force as at the date hereof, which assumption is supported by the outcome of the Searches.
2.4 The Resolutions are in full force and effect at the date hereof and the factual statements and confirmations contained therein are complete and accurate at the date hereof.

Except as set forth on a Schedule called for by Section 5.3 hereof, with respect to each lease, agreement, contract, undertaking, commitment and arrangement described in Section 5.3: (A) the arrangement is legal, valid, binding, enforceable, and in full force and effect subject to bankruptcy, fraudulent conveyance, insolvency, moratorium or similar laws affecting the rights of creditors generally or general equitable principles; and (B) neither Seller nor, to the Knowledge of Seller, any other party is in breach or default and no event has occurred with respect to Seller or, to the Knowledge of Seller, any other party which, with notice or lapse of time, would constitute a breach or default or permit termination, modification, or acceleration, under the arrangement.
