Status of Orders. (i) An order shall be entered reversing, supplementing, staying for a period of five (5) Business Days or more, vacating or otherwise amending, supplementing or modifying the Interim Fee Order or the Final Order in a manner that is adverse to the interests of the Administrative Agent or the Lenders, or the Borrower or any Guarantor shall apply for authority to do so, without the prior written consent of the Administrative Agent or the Required Lenders, (ii) the or Final Order shall cease to create a valid and perfected lien on the Collateral or to be in full force and effect; or (iii) the Borrower or any Guarantor shall fail to comply with the Interim Fee Order or the Final Order in any material respect; or
Status of Orders. All Orders will be incorporated into, form part of and be subject to the terms of this Agreement. However, save where expressly provided to the contrary, the terms and conditions of any one Order shall not apply to any other Order.Insofar as any term and condition in an Order conflicts with this Agreement in respectof -

(i) An order shall be entered reversing, supplementing, staying for a period of five (5) Business Days or more, vacating or otherwise amending, supplementing or modifying the DIP Order in a manner that is, in the aggregate, adverse to the interests of the Lenders (taken as a whole), or the Borrower or any Guarantor shall apply for authority to do so, without the prior written consent of the Administrative Agent or the Required Lenders, (ii) the DIP Order shall cease to be in full force and effect; or (iii) the TCEH Debtors shall fail to comply in all material respects with any material provision of the DIP Order in any material respect after the entry thereof; or
Status of Orders. 21.1 Procedural Orders made by the Tribunal shall remain in force unless expressly amended or terminated by the Tribunal.
