Statutory Functions. Except as expressly varied or supplemented herein, this Agreement shall not prejudice or affect the rights and powers of the City in the exercise of its statutory functions and responsibilities including, but not limited to, the Local Government Act and its rights and powers under any enactments, bylaws, order or regulations, all of which, except as expressly varied or supplemented herein, are applicable to the Heritage Lands.
Statutory Functions. 4.1. Nothing contained or implied in this Deed shall prejudice or affect the rights, powers, duties and obligations of the County Council in the exercise of its functions as minerals and waste planning authority or under any public or private statute bylaw or regulation.
Statutory Functions. Nothing contained in this Agreement, except as expressly provided, shall impair or affect in any way the exercise by the parties of their respective functions or authority under the enactment, letters patent, bylaw, resolution or other source of authority.
Statutory Functions. 33.1 Nothing in the Agreement or these Clauses shall be read as preventing or inhibiting the Purchaser from carrying out any such statutory or regulatory duty as each may respectively be under, or as derogating therefrom, or as inhibiting or fettering the exercise of any statutory or regulatory power which either may respectively possess.
Statutory Functions. The Corporation anticipates that as a general rule all of its expenses shall be incurred in the furtherance of statutory activities pursuant to Section 215 of the Federal Power Act, and that all such expenses shall be funded by NERC, subject to FERC approval.
Statutory Functions. (a) The NOPs appreciate that TfNSW is subject to obligations in its capacity as a NSW Government agency.
(b) In executing the Project, we will ensure that our officers, employees and Subcontractors and agents do not proceed with any course of action during the execution of the Project which may prejudice or in any way detrimentally affect any of TfNSW's obligations and duties in its capacity as a NSW Government agency.
(c) Nothing in this Agreement will in any way unlawfully restrict or otherwise unlawfully affect the unfettered discretion of TfNSW to exercise any of its functions and powers pursuant to any legislation.
(d) Without limiting clause 10.19(c), anything which TfNSW does, fails to do or purports to do, pursuant to its functions and powers under any legislation, will be deemed not to be an act or omission by TfNSW under this Agreement.
(e) The NOPs waive any claims which they may have against TfNSW which arise under this Agreement as a result of the exercise by TfNSW of its functions and powers under any legislation except to the extent that this gives rise to a Target Adjustment Event.
Statutory Functions. 17.1 Nothing in this Agreement shall be construed as a xxxxxx, restriction or oblige the Government, PCC or NPTCBC to do or omit to do anything which in each case:
(a) is incompatible with the lawful exercise of its powers; or
(b) is incompatible with the lawful discharge of its functions; or
(c) divests it of its statutory powers; or
(d) obliges it not to exercise its powers, and in every instance where there is an inconsistency or conflict between the Government, PCC and NPTCBC statutory functions (whether powers or duties) and the provisions of this Agreement, the Government, PCC and NPTCBC shall not be obliged to comply with the terms of this Agreement.
Statutory Functions. Nothing contained herein shall impair or affect in any way the exercise by the Landlord of its functions and authority under any enactment, constating document, law, bylaw, resolution or other source of authority.
Statutory Functions. Nothing in or contemplated by any Project Document will be construed or interpreted as restricting or otherwise affecting the unfettered discretion of the Crown or any other Governmental Entity to exercise any of its executive or statutory powers or functions under any Law, or to require the Crown or any Governmental Entity to:
(a) interfere with or influence the exercise of any statutory power or discretion by any person, including the Crown or a Governmental Entity;
(b) exercise a power or discretion in a manner that promotes the Objectives and expected outcomes of the Project Documents if the Crown regards that exercise as not in the public interest;
(c) develop or implement new policy in a manner that is only consistent with the Objectives and expected outcomes of the Project Documents;
(d) procure legislation in the future in a manner that is only consistent with the Objectives and expected outcomes of the Project Documents; or
(e) act in any other way that the Crown regards as not in the public interest.
Statutory Functions. Subject to any amendment to the relevant enactment which comes into force on or after the date on which this Transfer Scheme is made, there shall be transferred to the Transferee all the functions of the Transferor under any relevant enactments if and to the extent that any such relevant enactment:
(a) relates to any property which is to be transferred by this Transfer Scheme; or
(b) authorises the carrying out of works designed to be used in connection with any such property or the acquisition of land for the purpose of carrying out any such works.
