Sub-Agency. The Sub-Agency is a State of New Mexico Executive Agency, under the authority of the Facilities Management Division, and is assigned by FMD as a subordinate agency to the Lead Agency for purposes of building use and/or occupancy within the Lead Agency’s assigned state-owned building(s) and grounds or real property.
Sub-Agency. Prior to any sales of Services or solicitation of orders for Services by a sub-agent of Agent ("Sub-Agent1'), Agent shall enter into an enforceable written agreement with the Sub-Agent ("Sub-Agent Agreement") that (a) requires each Sub-Agent to agree to be bound by all applicable terms and conditions of this Agreement and (b) expressly names XO as an intended third party beneficiary with the right to rely on and directly enforce the terms thereof. Agent shall enforce each Sub-Agent Agreement and shall notify XO of any breach or suspected breach of any obligation under a Sub-Agent Agreement that comes to its attention. For purposes of this sec lion, the term Sub-Agent shall include any person or entity not employed by Agent to which Agent delegates the work required or permitted under this Agreement.
Sub-Agency. If we consider it to be in your best interests, we will instruct a sub-agent to assist in the marketing of your property. No additional cost will be incurred by you and we will arrange and co-ordinate all viewings and negotiations on the Property. In order to comply with the Money Laundering Regulations 2007, we are required to obtain documents from you as evidence of your identity when taking instruction to market your property. We are required to obtain valid photographic identification and address identification from each seller. If adequate identification has not been fully provided at any point during the term of this agreement we reserve the right to cease marketing but you will remain bound by the terms of this agreement.
Sub-Agency. We may give details of your Premises on a commission sharing basis to other agents unless we receive your specific written instructions to the contrary. This involves you in no additional expense and increases the chance of letting the Premises promptly.
Sub-Agency. A sub-agent is the agent of an agent. A sub-agent owes the same obligations and responsibilities as the agent. • Disclosed Dual Agency. (Missouri only). BROKER may have Buyer clients who have retained BROKER to represent them in connection with the acquisition of property. If a Buyer represented by BROKER becomes interested in making an offer on the Property, BROKER is in the position of representing both SELLER/LANDLORD and the Buyer in that transaction. This representation, known as dual agency, can create inherent conflicts of interest. The same is true if the listing agent is also the selling agent. A Dual Agent shall be a limited agent for both the SELLER/LANDLORD and a Buyer and shall have the duties of a SELLER’S or a Buyer’s agent except that a Dual Agent may disclose any information to one client that the licensee gains from the other client if the information is material to the transaction unless it is confidential information that has not been made public or becomes public by the words or conduct of the client to whom the information pertains or by a source other than the licensee. A Dual Agent may not disclose, without the consent of the client to whom the information pertains: that a Buyer is willing to pay more than the Purchase Price offered for the property; that SELLER/LANDLORD is willing to accept less than the asking price for the property; what the motivating factors are for any client, buying or selling the Property; that a client will agree to financing terms other than those offered and/or the terms of any prior offers or counter offers made by any party. A dual Agent shall not disclose to other client any confidential information about the other client unless the disclosure is required by statute, rule or regulation or failure to disclose the information would constitute a misrepresentation or unless disclosure is necessary to defend the affiliate licensee against an action of wrongful conduct in any administrative or judicial procedure or before a professional committee. A separate Disclosed Dual Agency Amendment must be signed by the SELLER/LANDLORD and the Buyer when this form of agency is used.
Sub-Agency. 3.1. The Agent may not appoint any further agents and/or sub-contractors to perform the Services.
Sub-Agency. Agent may enter into sub-agency agreements hereunder only with the prior written consent of CBC, Principal and of Playboy as provided in the License Agreement and Master Agreement. Any sub-agency agreement Agent enters into must conform, in form and substance, to the terms of this Agreement, including, without limitation, an indemnification, in form and substance similar to Section 11 hereof, running to CBC directly.
Sub-Agency. You agree that we may use other agents to promote or market the Property and that we may pay a proportion of the agreed fees and commission for doing so to a successful sub-agent.
Sub-Agency. For purposes of the Series A Incremental Term Loans, JPMorgan Chase Bank, N.A. will act as sub-agent to the Administrative Agent, pursuant to Section 9.05 of the Credit Agreement. Article 9 of the Credit Agreement shall apply to JPMorgan Chase Bank, N.A., mutatis mutandis, solely in its capacity as Series A Incremental Administrative Agent under this Agreement.

2. The rules of the present Title shall apply, mutatis mutandis, to the relationship of sub- agency.
