SUBCONTRACT/ASSIGNMENT. None of the duties of, or work to be performed by, SUBCONTRACTOR under this Agreement shall be sub- contracted or assigned to any agency, consultant, or person without the prior written approval of the Regional Consortium. No subcontract or assignment shall terminate or alter the legal obligation of SUBCONTRACTOR pursuant to this Agreement. SUBCONTRACTOR shall ensure that all subcontracts for services and contracted staff are procured in a manner consistent with state guidelines. Upon request, SUBCONTRACTOR shall submit to Fiscal Agent copies of all subcontracts for services and contracted staff, and other agreements, as well as documentation indicating the approving authority’s approval that relate to this Agreement.
SUBCONTRACT/ASSIGNMENT. 17.1. Institution has the right to subcontract to other sites to conduct the Study in accordance with the Protocol with terms consistent with this Agreement with written approval of the Sponsor, such approval not to be unreasonably withheld. If Institution subcontracts any Study related duties, Institution shall contract with such subcontractors incorporating terms substantially similar to the terms herein. Such subcontracts may be provided to the Sponsor upon written request. Institution may not assign this Agreement without Sponsor’s prior written approval, such approval not to be unreasonably withheld.
17.2. The Sponsor has the right to subcontract to a third-party Contract Research Organization (“CRO”) or Academic Research Organization (“ARO”) and assign Study-related duties and rights to any Sponsor affiliate or third-party contractors. If Sponsor subcontracts any Study-related duties and rights, Sponsor remains responsible for any of those duties and rights. Sponsor agrees to provide Institution with prompt, written notice of any assignment and/or subcontracting in accordance with the notice requirements under this Agreement.
17.3. No assignment and/or subcontracting shall relieve either Party of the performance of any accrued obligation that such Party may have under this Agreement.
SUBCONTRACT/ASSIGNMENT. Seller shall not, without the prior written consent of Buyer, make any contract with any other legal entity for furnishing any of the completed or substantially completed Goods and/or Services covered by this order or assign this order or any right hereunder.
SUBCONTRACT/ASSIGNMENT. (a) No subcontract shall be made by Seller with any other party for furnishing any of the articles hereunder in completed or substantially completed form, or the work herein contracted for.
(b) Neither this order nor any duty or right under it shall be delegated or assigned by Seller.
SUBCONTRACT/ASSIGNMENT. No subcontract or assignment shall terminate or alter the legal obligation of SUBCONTRACTOR pursuant to this Agreement. SUBCONTRACT/ASSIGNMENT. Contractor shall not subcontract the supply of any part of the Goods or Services or assign any part of the Contract without the prior written consent of UVic.
SUBCONTRACT/ASSIGNMENT. Grantee shall not subcontract for the performance of this Agreement nor permit anyone other than Grantee’s personnel to provide any of the services required under this Agreement and shall not assign any of its rights or obligations hereunder without the prior written consent of the Department, which may be reasonably withheld.
SUBCONTRACT/ASSIGNMENT. The Company understands that the Consultant in the performance of this agreement may subcontract and/or assign portions of this Agreement provided that approval is obtained form the Company in advance.

SUBCONTRACT/ASSIGNMENT. Vendor shall obtain COMPANY's prior written consent to any proposed subcontract or assignment of any or all of Vendor's rights, duties or obligations under the Purchase/Service Order. COMPANY may assign at any time its rights and obligations under this Purchase/Service to any affiliates or to any person.
