Subcontracting and Other Arrangements. The Manager may subcontract to any other Service Provider, or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other Service Provider, and the NEP Parties hereby consent to any such subcontracting or arrangement, provided that the Manager shall remain responsible to the Service Recipients for any Services provided by such other Service Provider.
Subcontracting and Other Arrangements. Any Service Provider may subcontract to any other member of the Service Provider Group or any of its other Affiliates, or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other member of the Service Provider Group or any other of its Affiliates, and the Service Recipients hereby consent to any such subcontracting or arrangement; provided that the Service Providers will remain responsible to the Service Recipients for any Services provided by such other member of the Service Provider Group or Affiliate.
Subcontracting and Other Arrangements. The Service Provider may subcontract to any other member of the Service Provider Group, or arrange for the provision of, any or all of the Services to be provided by it under this Agreement to the Service Recipients, and the YieldCo Parties hereby consent to any such subcontracting or arrangement; provided, that (i) such other member of the Service Provider Group shall be appropriately qualified, licensed to the extent required by Laws and experienced in the duties to which they are assigned, (ii) the Service Provider will cause such other members of the Service Provider Group of any tier to perform any Services, if applicable, in conformity with all of the applicable provisions of this Agreement, (iii) arm’s length principles shall apply to the negotiation and execution of any agreement between any of the Service Provider Affiliates, on the one hand, and the Service Provider, on the other hand, for the provision of services pursuant to this Section 2.3, and (iv) such other members of the Service Provider Group shall demonstrate a creditworthiness appropriate to their respective scopes of work. Notwithstanding the foregoing, (A) no such engagement shall relieve the Service Provider of any of its obligations or liabilities under this Agreement, and (B) in no case shall any YieldCo Party be deemed to have contractual privity with any other member of the Service Provider Group solely as a result of the engagement by the Service Provider of such other member of the Service Provider Group for the provision of Services.

The Manager may subcontract to any other Service Provider or any of its other Affiliates, or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other Service Provider or any other of its Affiliates, and each of Terra, Terra LLC and Terra Operating hereby consents to any such subcontracting or arrangement; provided that the Manager shall remain responsible to the Service Recipients for any Services provided by such other Service Provider or Affiliate and provided further that any Service Provider that is not an Affiliate of the Manager shall be reasonably acceptable to the Independent Committee.

The Manager may subcontract to any other member of the Manager Group or any of its Affiliates or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other member of the Manager Group or any of its Affiliates, and CEG hereby consents to any such subcontracting or arrangement; provided that the Manager shall remain responsible to the Service Recipients for any Services provided by such Person. Any such subcontracting will be subject to the terms of this Agreement and covered by the fees payable under this Agreement. ARTICLE 3
Subcontracting and Other Arrangements. The Manager may subcontract to any of its Affiliates or, with the Company’s prior written consent (not to be unreasonably withheld), other third parties (any such parties referred to as a “delegatee”) any or all of the Services to be provided by it under this Agreement, and the Company hereby consents to any such subcontracting; provided that the Manager shall remain responsible to the Company for any Services provided by such delegatee. Where appropriate in this Agreement, all references to the Manager will include the permitted delegatees where the context makes it appropriate.

The Manager may subcontract to any other Service Provider or any of its other Affiliates, or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other Service Provider or any other of its Affiliates, and each of Global, Global LLC and Global Operating hereby consents to any such subcontracting or arrangement; provided that the Manager shall remain responsible to the Service Recipients for any Services provided by such other Service Provider or Affiliate and provided further that any Service Provider that is not an Affiliate of the Manager shall be reasonably acceptable to Global.

The Manager may subcontract to any other member of the Manager Group or any of its Affiliates, or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other member of the Manager Group or any of its Affiliates, and each of CWEN, CE LLC and CE Op hereby consents to any such subcontracting or arrangement; provided that the Manager shall remain responsible to the Service Recipients for any Services provided by such Person. Any such subcontracting will be subject to the terms of this Agreement and covered by the fees payable under this Agreement. ARTICLE 3
Subcontracting and Other Arrangements. The Manager may from time to time subcontract to any Person, or arrange for the provision of any or all of the Services to be provided by the Manager under this Agreement by any Person (referred to as a “delegatee”), provided that the prior written consent of the Trust is obtained in respect of any such subcontracting or arrangement (unless such subcontracting or arrangement is in respect of the Services set out in Section 3.1.17.8 and Sections 3.1.17.18 to, and including, 3.1.17.23 which may be subcontracted to a delegatee without the prior written consent of the Trust); and provided further that in all cases involving the subcontracting of Services (which for certainty includes the Administrative and Regulatory Compliance Services) (i) the Manager shall not be relieved of any of its obligations under this Agreement, (ii) the Manager shall remain responsible to the Trust for any Services provided by a delegatee and (iii) and any payments made by members of the BOPC Group under any such arrangement to a delegatee shall reduce the fees payable hereunder to the Manager on a dollar for dollar basis. Notwithstanding the foregoing, the Trust is hereby deemed to have consented in writing to any such subcontracting or arrangement where the delegatee is an Affiliate of the Manager. Where appropriate in this Agreement, all references to the Manager will include delegatees.
Subcontracting and Other Arrangements. Parent may subcontract to any other Services Provider or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other Services Provider (at no additional cost to the Services Recipients), and the Company hereby consents to any such subcontracting or arrangement; provided that (i) Parent shall remain responsible to the Services Recipients for any Services provided by such other Services Provider, and (ii) the Services Provider is not a competitor or an Affiliate of a competitor of the Company. Parent shall ensure that (i) the Services Provider complies with the Parents’ restrictions, obligations and undertakings hereunder in respect of such Services, and (ii) the obligations with respect to the standards of services set forth in this Agreement are satisfied with respect to any Service provided by a Services Provider, and provided further that such subcontract or arrangement does not cause any material disruption to the delivery of Services.
