The Subrecipient will not subcontract with any subcontractors where it has notice or knowledge that the latter has been found in violation of regulations under 24 CFR 135 and will not enter into an Agreement with the subcontractor unless the subcontractor has first provided it with a preliminary statement of ability to comply with the requirements of these regulations.

Subcontractor Agreements. 13.2.1. The Service Provider shall ensure that its agreement with its Subcontractors will contain materially the same terms and conditions as this Agreement, to the extent such terms and conditions are relevant to the Services to be provided by the Subcontractor. 13.2.2. The Subcontractors will not be allowed to further subcontract its obligations without Transnet’s prior written consent, and must identify Transnet as the direct and intended third party beneficiary thereof. 13.2.3. Upon reasonable notice, at the request of Transnet, the Service Provider will provide Transnet with written confirmation of its compliance with the provisions of clause 13.2.1 and when required by Transnet, allow Transnet to review the terms of any subcontract agreement for the Services.

Subcontractor Agreements. 1. Service Provider shall refer to the guidance in OMB Circular A-133 Section 210 in making a determination of whether a subcontractor and/or vendor relationship exists. Service Provider shall include the Assurances and Certifications in the award documents in all subcontracts. All applicable requirements of this Agreement shall also be a requirement of subcontractor. 3. Service Provider shall ensure that any subcontractors providing services under this Agreement shall be of sound financial status. 4. Any subcontracting private entity shall be in good standing with the Secretary of State of California and shall maintain that status throughout the term of this Agreement. Failure to maintain good standing by a subcontracting entity shall result in suspension or termination of the subcontract by the Service Provider until satisfactory status is restored. 5. Service Provider is responsible for subcontractor responsibilities and will ensure the service deliverables are being met to fulfill all of the obligations of this Agreement. 6. Copies of Subcontractor Agreements, interagency cooperation arrangements, Memorandums and/or Letters of Understanding shall be maintained and available to RCOoA for review upon request. 7. Service Provider shall monitor subcontractor(s) to ensure compliance with the service provisions and other requirements included in this Agreement, including insurance requirements. 8. Notification of any changes to subcontractors or subcontracted services shall be sent to RCOoA. 9. Agreement funds shall not be obligated for services beyond the ending date of this Agreement.

Subcontractor Agreements. Periodically, either party may approach the other with a subcontracting opportunity to provide staffing resources, technical expertise, or other services as a subcontractor associated with a larger effort. The Service Provider shall at all times be fully liable to Transnet for fulfilment of all the Service Provider's obligations under this Agreement and shall remain Transnet’s sole point of contact regarding the Services, including with respect to payment. 15.7.5 The Service Provider shall supervise the activities and performance of each Subcontractor and shall have full liability for any act or failure to act by such Subcontractor. 15.7.6 If Transnet determines that the performance or conduct of any Subcontractor is unsatisfactory or if it can be reasonably established or determined that reasons exist concerning the Subcontractor's ability to render future performance because of changes in the ownership, management, and/or financial condition of the Subcontractor, or there have been material misrepresentations regarding the Subcontractor, Transnet may notify the Service Provider of its determination in writing, indicating the reasons therefor, in which event the Service Provider promptly shall take all necessary actions to remedy the performance or conduct of such Subcontractor or, subject to the terms of clause 15.6, replace such Subcontractor with another Subcontractor or with the Service Provider Employees.
