SUBJECT AND SUBORDINATE. This Agreement and all rights of Licensee hereunder are subject and subordinate to the terms and conditions of any and all underlying leases and mortgages which may now or hereafter affect the Building.

SUBJECT AND SUBORDINATE. THIS LEASE AND LESSEE'S RIGHTS HEREUNDER AND IN THE AIRCRAFT ARE SUBJECT AND SUBORDINATE TO ALL THE TERMS OF THE MORTGAGE, INCLUDING, WITHOUT LIMITATION MORTGAGEE'S RIGHT TO TAKE IMMEDIATE POSSESSION OF THE AIRCRAFT UPON THE OCCURRENCE OF AN EVENT OF DEFAULT UNDER THE MORTGAGE. Without limiting the foregoing, solely as between Lessor and Lessee, Lessor covenants that if, and so long as, no Event of Default shall have occurred and be continuing, Lessor shall not (and Lessor shall not provide a basis for Mortgagee or any other person lawfully claiming through Lessor or Mortgagee to) disturb Lessee's quiet enjoyment of the Aircraft hereunder. If Lessor breaches the foregoing covenant or if Mortgagee improperly repossesses, seizes or attaches the Aircraft, Lessee acknowledges and agrees that Lessee's sole right and remedy shall be the right to seek to recover resulting damages from Lessor, but Lessee shall have no right to recover any damages from or otherwise sue Mortgagee in connection therewith or otherwise to rexxxn possession or use of the Aircraft in contravention of the rights, interests, benefits or remedies of Mortgagee.

SUBJECT AND SUBORDINATE. This letter agreement and all rights of the Company hereunder are subject and subordinate to the terms and conditions of any and all underlying leases and mortgages which may now or hereafter affect the Office Space, including, without limitation, the Lease. The obligations under the Lease for Barington, as tenant thereunder, to observe and perform, shall be observed and performed by the Company with respect to the Office Space during the term of the License. The Company shall not violate, or permit the violation, of any terms or provisions of the Lease. The Company may not assign or sublease this License or permit any other person or party to use or occupy all or a portion of the Office Space.

SUBJECT AND SUBORDINATE. Lessee hereby acknowledges and agrees that this Lease and all right, title and interest of Lessee in, to and under this Lease are now and shall at all times continue to be unconditionally subject and subordinate in each and every respect (i)to the lien of Fleet Capital Corporation (the “Mortgagee”) in the Aircraft, as said lien may be amended, modified or renewed from time to time, and (ii) to all of the terms and conditions of the Loan and Aircraft Security Agreement (S/N 65) dated as of December 31, 2003 (as may be amended, restated or modified from time to time, the “Loan Agreement”), between Lessor and Mortgagee, including, without limitation, all of the rights, powers and/or remedies of Mortgagee under the Loan Agreement, including, without limitation, Mortgagee’s rights of repossession and to terminate this Lease upon the occurrence of an event of default under the Loan Agreement.

SUBJECT AND SUBORDINATE. This Agreement is subject and subordinate to (i) the rights of any bank, lending, or financing institution or any other lender in connection with any Financing, including the rights of any agent or trustee; (ii) NFL Rules; (iii) the terms of any existing or future contracts and agreements entered into by an NFL Entity relating to sponsorships or the broadcast or telecast of NFL games or that otherwise restrict the visibility of signage within the Stadium during nationally televised NFL games; (iv) if and to the extent applicable, the rules and regulations of the NBA, NHL, NCAA, FIFA, CFP, U.S. Olympic Committee, International Olympic Committee, and all other similar sanctioning or governing bodies; and (v) all applicable Laws, as any of the foregoing currently exist or as they may be amended or modified from time to time after the Effective Date. If, at any time after the Effective Date, any further action is necessary or desirable to comply with the NFL Rules or the rules and regulations of the NBA, NHL, NCAA, FIFA, CFP, U.S. Olympic Committee, International Olympic Committee, or a similar sanctioning or governing body, the Parties shall take or cause to be taken all such necessary or desirable action, including the execution and delivery of such instruments and documents as may be reasonably requested by the other Party for such purpose.

SUBJECT AND SUBORDINATE. Notwithstanding anything herein to the contrary, any Right of First Offer of Tenant hereunder is subject and subordinate to the (i) expansion rights existing as of the date that the within grant of such applicable Right of First Offer became effective pursuant to this Lease (whether such rights are designated as a right of first offer, right of first refusal, expansion option or otherwise) of any tenant in the applicable ROFO Building or the Park with respect to all or any portion of such applicable Offering Space, and any successors or transferees thereof, (ii) right of Landlord to extend or renew any then current lease (or enter into a new lease with the same tenant even if no extension or renewal rights are contained in said then current lease) for all or any portion of such applicable Offering Space, and (iii) right of Landlord to relocate any existing tenant at the Park to such Offering Space in accordance with the terms and provisions of such tenant’s lease.

SUBJECT AND SUBORDINATE. This Sub-sublease is subject and subordinate to ------------------------ - the Prime Lease, a true and complete copy of which is attached hereto as EXHIBIT B.
