Subject of Performance. 1. The Issuer hereby undertakes to ensure, at the Ordering Party’s request, the generating and issuance of UIs, specifically a) UIs at the unit packet level; b) UIs at the group packet level. 2. The Issuer guarantees to deliver to the Ordering Party UIs having 21 characters (without time stamp) and undertakes that the UIs will contain only those data elements that are specified in the Regulation or in Article 8 (1) a), b) and c) for UIs at the unit packet level, or in Article 11 (1) a), b) and c) for UIs at the group packet level. 3. The Issuer undertakes to ensure the operation of technical support and assistance for applicants for UIs in the form of a phone contact centre and provide consultation services as regards the operation of the System and its potential updates or failures (hereinafter referred to as “HelpDesk”). The scope and level of HelpDesk are specified in Article VII (3) hereof and in the Operating Rules.

Subject of Performance. 1. The purpose of this Contract is the proper and timely delivery of the goods under the condition of subsequent complete delivery of the goods in the type, quantity, technical parameters and quality (hereinafter referred to as the “goods”) in accordance with the specification, which is attached as Annex No. 1 to this Contract and No. 2 to this Contract. 2. The Seller undertakes to hand over to the Buyer, under the conditions agreed in this Contract, the subject of purchase specified in this Contract and to transfer the ownership right to the Buyer at the moment of handing over the subject of purchase. The subject of performance under this Contract includes: a) the goods shall be delivered including all accessories necessary for their operation, according to Annexes No. 1 to this Contract; b) transport covered with insurance (risks, responsibility, etc.) related to delivery and transport and the payment of other fees related to transport, if any. Transport and related costs are subject to the Incoterms Delivered at Place (DAP) terms and conditions; c) delivery of manuals for operation in printed and data form on a data medium in the English language; d) the prescribed documents (i.e. data sheets) and certificates, and the delivery note; e) training of the Buyer’s personnel in the operation of the goods; f) free warranty servicing. The Buyer requires that the goods meet the quality requirements according to the agreed terms and that they be accompanied by documents that will sufficiently prove their origin and other parameters according to the applicable standards, law regulations, technical conditions and quality documents according to Czech and European ČSN and EN standards. 4. The costs associated with the delivery of the goods, in particular transport and packaging, including any insurance associated with delivery and transport and including any other fees associated with removal, shall be borne by the Seller. Subject of Performance. The Parties have agreed on the conclusion of this purchase contract (hereinafter also referred to as the “Contract”), the subject of which is the supply of 1 unit of videoculography device/eye-tracker + MRI-compatible pupillometer for the Clinics of Neurology of the First Faculty of Medicine, Xxxxxxx University and General University Hospital in Prague (hereinafter referred to as the “Product” or the “Subject of Performance”). In performing this Contract, the Seller undertakes to fully comply with the specifications of the small-scale public contract No. DBID 5947 designated “Videoculography device/eye-tracker + MRI-compatible pupillometer” (hereinafter referred to as the “Public Contract”) and at the same time the specifications of the tender No.”TO BE FILLED IN BY THE SUPPLIER” dated ”TO BE FILLED IN BY THE SUPPLIER” (hereinafter referred to as the “Tender”), which they delivered to the Buyer in this Public Contract procurement procedure. As part of the performance of the Public Contract, the Seller undertakes to deliver and hand over to the Buyer the subject of purchase, i.e. the Product meeting the specifications detailed in Appendix 1 hereto and in the Seller’s Tender, and to transfer ownership of the Product to the Buyer. The substantive details of the Tender, i.e. the technical specification of the Product offered by the Seller, form an integral part of the Contract as Appendix 1 designated “Required Technical Specification of the Subject of Performance” (hereinafter also referred to as “Appendix 1”). The Seller’s obligation hereunder includes delivery of the Product to the place of performance; demonstration of the Product; installation of the Product at the place of performance; commissioning and successful testing; training of operators and delivery of all relevant documentation to the Product - in particular the documents needed for takeover and use of the product by the Buyer, including the operating instructions, user manual, warranty card. The Seller confirms that, as an expert in the given field of business, they are capable of implementing the Subject of Performance in accordance with this Contract and the Appendix thereof, for the total purchase price specified in Article II, paragraph 1 of the Contract, and that they are aware of the fact that the Buyer has an unequivocal interest in implementation of the Subject of Performance at the agreed time, for the agreed purchase price and in the quality as set in this Contract. The subject of the contract are services from the field of relocation and immigration in the context of the change of residence of employees of the Principal ("Service Recipient"), included are among other things, visa application, housing search, accompaniment to authorities, daycare and school search as well as assistance with administrative matters. Furthermore, recruitment services, in particular for nursing staff and other professionals in the healthcare sector. Startcon may use independent third parties or its own employees to fulfill the contract. Startcon does not provide legal or tax advice, nor does it provide services that require a license, such as brokerage or activities in accordance with the Legal Services Act (“Rechtsdienstleistungsgesetz”). Contracts for the services offered are concluded exclusively on the basis of these General Terms and Conditions in the version valid at the time of conclusion of the contract. Any general terms and conditions of the client that deviate from Startcon 's General Terms and Conditions shall not apply unless Startcon consents to them in writing.
