Subject to Paragraph 6. 2, the Buyer shall promptly provide to the Seller Representative and to any Expert and to their respective agents and advisers, and each of the Sellers shall promptly provide to the Buyer and to any Expert and to their respective agents and advisers, all information and access (on reasonable notice and during normal business hours) to all personnel, books and records in its or their possession or under its or their control which is reasonably required for the preparation or review of the Draft Completion Accounts or the determination of the Completion Accounts.
Subject to Paragraph 6. 4 herein, Licensee will notify The Regents of each sublicense granted hereunder and provide The Regents with a summary of the major non-financial terms of each sublicense. Licensee will carry out and guarantee the collection and payment from sublicensees of all royalties due The Regents as set forth in Paragraph 4.1 herein. Licensee will require sublicensees to provide it with progress and royalty reports in accordance with the provisions herein, and Licensee will collect and deliver to The Regents all such reports due from sublicensees.
Subject to Paragraph 6. 1.4, the upstream Party shall be entitled to dispute the accuracy of any Validation Report or estimated reading received pursuant to paragraphs 3.4, 5.2 and 5.3 respectively by giving notice to the downstream Party not later than 14 days after receipt of the same. 6.1.2 The Parties shall, as soon as reasonably practicable after the date of the upstream Party's notice in accordance with paragraph 6.1.1 and in any event within 30 days from the date of such notice, consult together in good faith and use their reasonable endeavours to settle the dispute. 6.1.3
Subject to Paragraph 6. 2.1, information about fees used in presenting sales materials and quotations to GEHA's customers and prospective customers regarding AMN Services and MTS Services.
Subject to Paragraph 6. 4(a) of the Lease, Tenant or any of Tenant's Employees shall not at any time bring or keep within the Premises or the Building any flammable, combustible or explosive fluid, chemical substance, or material. Electric spaceheaters shall not be used at any time by Tenant.
