Sublicense Consideration Clause Samples

The Sublicense Consideration clause defines how payments or other benefits received from sublicensing rights are handled between the parties. Typically, this clause specifies whether and how the original licensor is entitled to a share of any revenue or value the licensee obtains by granting sublicenses to third parties. For example, it may require the licensee to pay a percentage of sublicense fees or royalties to the licensor. The core function of this clause is to ensure that the licensor receives fair compensation when the licensee further commercializes the licensed rights through sublicensing, thereby aligning incentives and clarifying financial obligations.
