Subordinate to Prime Lease. This Sublease is subject and subordinate in all instances and under all circumstances to the Prime Lease. Except as may be inconsistent with the terms hereof, all the terms, covenants and conditions in the Prime Lease contained shall be applicable to this Sublease with the same force and affect as if Sublessor were the "Landlord" under the Prime Lease and Sublessee were the "Tenant" thereunder; and in case of any breach hereof by Sublessee, Sublessor shall have all the rights against Sublessee as would be available to Prime Landlord against Sublessor as "Tenant" under the Prime Lease.
Subordinate to Prime Lease. This Sublease is subject and subordinate to the Prime Lease. Sublessor shall perform all obligations under the Prime Lease applicable to the Subleased Premises and shall defend, indemnify, and hold Sublessee harmless from any such obligations. If Sublessee takes any action which is prohibited by the Prime Lease, Sublessor shall so notify Sublessee of such fact, including evidence of the applicable provision of the Prime Lease, and Sublessee shall, as soon as reasonably possible, discontinue any such action.
Subordinate to Prime Lease. This Sublease and all of its terms, covenants, representations, warranties, agreements and conditions are in all respects subject and subordinate to the Prime Lease, which Prime Lease (in redacted form) is attached hereto as Exhibit A and incorporated herein. Subtenant acknowledges notice and full knowledge of all of the terms, covenants and conditions of the Prime Lease. In the event of any inconsistency between the provisions of this Sublease and the Prime Lease, Subtenant agrees that it shall be bound by the (i) any specific terms of this Sublease which override the Prime Lease as incorporated herein, or (ii) the terms of the Prime Lease for any matter which is not specified by this Sublease.
Subordinate to Prime Lease. This Sublease is subject and subordinate to the Prime Lease. It is the intent of Subtenant and Sublandlord to incorporate the Prime Lease into this Sublease by reference except as otherwise specifically provided herein. Notwithstanding the foregoing sentence and without limiting Subtenant’s obligations under Section 7 of this Sublease, the provisions of Sections 2 and 3 of the Prime Lease are inapplicable to Subtenant, and Subtenant shall not be obligated to pay Base Rent or Operating Expenses to Prime Landlord pursuant to the Prime Lease (as such terms are defined therein); provided, however, Subtenant shall pay all other sums payable under Prime Lease to the extent such sums are applicable to the Sublease Premises or Subtenant’s use of any portion of the Building, including, without limitation any costs for after-hours utilities or services requested by Subtenant.
Subordinate to Prime Lease. This Sublease is and shall be subject and subordinate to the Prime Lease, and to the matters to which the Prime Lease is or shall be subject and subordinate. A copy of the Prime Lease has been delivered to and examined by Subtenant. The terms, covenants and conditions set forth in the Prime Lease are incorporated herein by reference, except Sections 37 and 38.10 and except to the extent that they are inapplicable or otherwise modified by the provisions of this Sublease, and Sublessor and Subtenant agree to be bound by all of the provisions of the Prime Lease applicable to the Premises, except that Subtenant shall be obligated to pay the rent provided in this Sublease, and not the rent provided in the Prime Lease. Subtenant shall not in any event have any rights in respect of the Premises greater than Sublessor's rights under the Prime Lease. Subtenant shall not do or permit to be done any act or thing which may constitute a breach or violation of any term, covenant or condition of the Prime Lease by the tenant thereunder, whether or not such act or thing is permitted under the provisions of this Sublease. Nothing contained in this Sublease shall be construed to create privity of estate or of contract between Subtenant and Landlord.
Subordinate to Prime Lease. This Sublease and all of its terms, covenants, representations, warranties, agreements and conditions are in all respects subject and subordinate to the Prime Lease, which Prime Lease has been submitted to and examined by Subtenant. Subtenant acknowledges notice and full knowledge of all of the terms, covenants and conditions of the Prime Lease. Except as otherwise provided in Section 10, in the event of any inconsistency between the provisions of this Sublease and the Prime Lease, Subtenant agrees that it shall be bound by the stricter provision. A true copy of the Prime Lease is attached hereto as EXHIBIT E. Capitalized terms defined in the Prime Lease and not otherwise defined herein shall have the meanings as in the Prime Lease. Sublandlord shall not amend, modify or supplement the Prime Lease in any way which would materially reduce Subtenant's rights or the services due under the Prime Lease, or materially increase Subtenant's obligations or liabilities without obtaining Subtenant's prior written consent , which consent shall not be unreasonably withheld, conditioned or delayed. In the event Sublandlord requests in writing such consent from Subtenant and Subtenant fails to respond within five (5) business days after receipt of written request, Subtenant shall be deemed to have consented to any such agreement.
Subordinate to Prime Lease. (a) This Sublease is subject and subordinate to (a) the Prime Lease and the terms thereof and (b) the matters to which the Prime Lease is or shall be subject and subordinate. A true and complete copy of the Prime Lease has been delivered to and examined by Subtenant.
(b) Pursuant to the terms of Sections 12.5 of the Prime Lease, in the event that Prime Landlord succeeds to the interests of Sublandlord under this Sublease by reason of termination of the Prime Lease or otherwise, then (i) subject to the provisions of Section 3 of the Recognition Agreement (as defined in the Prime Lease), Subtenant shall be bound to Prime Landlord and Prime Landlord shall be bound to Subtenant under all of the then-executory terms, covenants and conditions of the Prime Lease for the balance of the term thereof remaining, with the same force and effect as if Subtenant was the Tenant under the Prime Lease, and (ii) subject to the terms of Section 15(b) below, Subtenant shall attorn to Prime Landlord as its landlord, and, upon request, shall execute and deliver the Recognition Agreement (as defined in the Prime Lease) to confirm such attornment and recognition. The use of the term Prime Landlord in this paragraph shall be deemed to include any Prime Landlord designee. Subtenant hereby waives all rights under any present or future law to elect, by reason of the termination of the Prime Lease, to terminate this Sublease or surrender possession of the Premises.
Subordinate to Prime Lease. This Sublease is expressly made subject and subordinate to all of the terms, covenants, conditions, provisions and agreements contained in the Prime Lease and to any and all amendments, modifications, revisions, supplements or additions now or hereafter made thereto. The restrictions, limitations and conditions imposed upon Sublandlord by the terms of the Prime Lease are imposed upon Subtenant with the same force and effect as if specifically set forth herein at length, and Subtenant assumes and agrees to perform all of the obligations of Sublandlord under the Prime Lease, except as otherwise expressly provided herein or to the extent inconsistent with, or inapplicable to any of the provisions of this Sublease. A redacted copy of the Prime Lease is annexed hereto as Exhibit A and made a part hereof. Subtenant covenants and agrees that Subtenant will not use the Subleased Premises or any portion thereof, or permit the Subleased Premises, or any portion thereof, to be used in such manner as to be inconsistent with any of the obligations of Sublandlord to Prime Landlord under the Prime Lease, nor will Subtenant at any time do anything or omit to do anything or permit anything to be done which shall or may violate the Prime Lease, or result in any violation by Sublandlord of any of its obligations under the Prime Lease. The violation by Subtenant of any provisions of this Section 3 shall be deemed a material default by Subtenant under the terms, covenants, conditions, provisions and agreements of this Sublease, and in such event, Sublandlord shall have and be entitled to the same rights and remedies under and with respect to this Sublease as if such default were with respect to Fixed Rent reserved hereunder.
Subordinate to Prime Lease. This Sublease shall be subject and subordinate to the Prime Lease. Subtenant shall not undertake any action that will cause Sublandlord to be in default under the Prime Lease or to cause the termination thereof.
Subordinate to Prime Lease. This Sublease is subject and subordinate to (a) the Prime Lease and the terms thereof and (b) the matters to which the Prime Lease is or shall be subject and subordinate. A true and complete copy of the Prime Lease has been delivered to and examined by Subtenant.
