Subscriber (Licensee) Compliance. In addition to collection of Subscription Payments, the PatentBook Administrator shall have sole authority, consistent with its obligation to use commercially reasonable efforts, to assure that each Subscriber is materially complying with the terms and conditions of the applicable PatentBook Subscriber Agreement. Such efforts may include an accounting of the Subscription Payment records of a Subscriber and such other contract compliance procedures as the PatentBook Administrator in its discretion reasonably deems necessary or appropriate in the circumstances.
