SUBSCRIBER REPORTS. (a) The Operator shall maintain at its own expense a subscriber management system (“SMS”) which should be fully integrated with the CAS. The Operator shall provide to the Broadcaster complete and accurate opening and closing subscriber monthly reports for the Subscribed Channels and the Package containing the Subscribed Channels within seven (7) days from the end of each month in such format as is set forth in Annexure C attached hereto or in such format as may be specified by the Broadcaster from time to time along with such other information as the Broadcaster may require for determining the Monthly Average Subscriber Base and the Monthly Subscription Fees.
(b) Each Subscriber Reports shall be system generated only through SMS and CAS and the same should be in a pre- defined read only format such as a suitable PDF format which cannot be manually edited and shall specify all information required to calculate the Monthly Average Subscriber Base (including but not limited to the number of Subscribers for each Subscribed Channel and each Package in which a Subscribed Channel is included) and the Monthly Subscription Fees payable to the Broadcaster, and shall be signed and attested by an officer of the Operator of a rank not less than Head of Department/Chief Financial Officer who shall certify that all information in the Report is true and correct. Any difference between the SMS and CAS reports shall have to be reconciled to the satisfaction of the Broadcaster. Such provisioning of Subscriber Report shall constitute material breach of obligation on the part of the Operator.
(c) Operator shall also include in its Subscriber Report comprehensive details of all incidents of piracy and signal theft involving the Operator’s IPTV Service, the names of perpetrators involved in such incidents. The Operator shall provide such information promptly to the Broadcaster and co-operate with the Broadcaster to take such action as per the Applicable Law. The obligation of Operator to provide to the Broadcaster the Subscriber Reports shall survive termination of this Agreement until the Broadcaster receives the Subscriber Reports for each relevant month for which any Monthly Subscription Fees is payable.
(d) Operator shall supply to the Broadcaster within 90 days after the end of each financial year during the Term, a statement attested by an officer of the Operator of a rank not less than Head of Department/Chief Financial Officer certifying as to the completeness and accura...
SUBSCRIBER REPORTS. Within 30 days following the end of each calendar month commencing August 2005 through the Closing, Seller shall provide Buyer with a written report setting forth the following information with respect to each Specified Business as of the end of such calendar month: (a) the number of Basic Subscribers served by such Specified Business, (b) the number of Basic Subscribers in such Specified Business whose rate of service is subject to any discount or promotion (or rebates or similar programs) as of the subscriber cut-off date for such calendar month and (c) the discounts or promotions (or rebates or similar programs) offered by such Specified Business during such calendar month, and the geographic areas in which each such discount or promotion (or rebate or similar program) is offered. Seller shall, in consultation with Buyer commencing as promptly as practicable following the date hereof, develop and, no later than 90 days prior to the Closing, implement, an accounting system reasonably acceptable to Buyer, (i) which would reasonably be expected to accurately track the number of Eligible Basic Subscribers (in accordance with the definition thereof) and (ii) the results of which are traceable to Seller’s billing system and capable of being verified, using commercially reasonable efforts, as part of the computation of and resolution of disputes regarding the Subscriber Adjustment Amount pursuant to Section 2.6 (such accounting system, the “Subscriber Accounting System”).
SUBSCRIBER REPORTS. The obligation of the DPO to provide to the broadcaster the Subscriber Reports shall survive the expiry or sooner termination of the Agreement and continue until the broadcaster receives the complete Subscriber Reports for each relevant month for which any broadcaster’s share of the MRP is payable by the DPO.
SUBSCRIBER REPORTS. 7.1 The Operator shall maintain, at its own cost, SMS which shall be fully integrated with the CAS. The Operator warrants that any activation or de-activation of a Subscriber's Set Top Box shall be processed simultaneously through both CAS and SMS.
7.2 The Operator shall provide to SPN Distribution complete and accurate opening and closing number of Subscribers of the Channels in the Subscriber Reports and the tier and/or package in which the Channels are included within seven (7) days from the end of each month in the format provided by SPN Distribution enclosed herewith as Schedule D together with such other information as SPN Distribution may require for determining the Monthly Average Subscriber Base and the Monthly License Fee.
7.3 The Subscriber Reports provided by the Operator to SPN Distribution in accordance with Clause 7.1 shall be system generated only through SMS and must be in a ‘pre-defined read only format’ such as a suitable PDF format which cannot be manually edited and attested and shall specify all information required to calculate the Monthly Average Subscriber Level (including but not limited to the number of Subscribers for each of the Channel and each package in which a Channel is included) and the Monthly License Fees payable to SPN Distribution.
7.4 The Subscriber Reports shall be signed and attested by an authorized officer of the Operator of a rank not less than Head of Department/Chief Financial Officer who shall certify that all information in the Subscriber Report is true and correct. The Operator acknowledges that submission of the Subscriber Report in accordance with the provisions hereof is material to SPN Distribution.
7.5 The Operator shall also include in its Subscriber Report comprehensive details of all incidents of Piracy and signal theft involving the Platform, the names of perpetrators involved in such Piracy incidents and any actions, including but not limited to, the filing of police reports and lawsuits filed against such perpetrators between the time period of submitting two (2)
SUBSCRIBER REPORTS. The obligation of the Operator to provide to SPN Distribution the Subscriber Reports shall survive the expiry or sooner termination of the Agreement and continue until SPN Distribution receives the complete Subscriber Reports for each relevant month for which any Monthly License Fee is payable.
SUBSCRIBER REPORTS. See Section 6.05.
SUBSCRIBER REPORTS. If Customer requests that CSG provide Customer with a tape containing information regarding Customer’s Subscribers and related banking information and payment data, then Customer shall pay CSG’s then current rates for such tape.
SUBSCRIBER REPORTS. (a) Affiliate shall maintain at its own expense a SMS which should be fully integrated with the CAS.
(b) For each calendar month of the Term, or part thereof, the Affiliate shall mandatorily provide to the Broadcaster the duly complete and accurate Subscriber Report for each headend/installation address or earth station (as the case may be) and each State/Union Territory, in such format as is set forth in Annexure E attached to this Agreement, within seven (7) days from the end of such calendar month (“Subscriber Report Due Date”).
(c) If any Subscriber has opted for more than one connection/STB of the Affiliate’s Permitted Digital Distribution Platform, then all such additional connections/STBs must feature in the Subscriber Report. Each such Subscriber Report shall be signed and attested by an officer of Affiliate of a rank not less than Head of Department/Chief Financial Officer who shall certify that all information in the Subscriber Report is true and correct.
(d) Affiliate shall maintain throughout the Term and for twelve (12) months thereafter sufficient records to enable the Broadcaster, to verify and ascertain (i) the veracity of the Subscriber Reports supplied by Affiliate pursuant to this Clause and (ii) Affiliate’s compliance with its anti‐piracy obligations as set out in this Agreement.
SUBSCRIBER REPORTS. The Parties hereby mutually agree to amend clause 3.2 of Part II of the SLA pertaining to Subscriber Reports. The Parties agree to replace existing sub-clause b) of clause 3.2 of Part II of the SLA by the revised sub-clause b) provided below
SUBSCRIBER REPORTS as soon as available and in any event within 45 days after the end of each Fiscal Quarter, and within 100 days after the end of each Fiscal Year, ending after the Second Restatement Effective Date, a detailed report substantially in the form of Exhibit VI annexed hereto;
