Subscriber’s Obligations. 6.1 The Subscriber agrees that it shall: 6.1.1 immediately notify Faircom on becoming aware of any unauthorised use of all or any of the Services; 6.1.2 promptly reporting any incident or fault in the Services to Faircom; 6.1.3 ensure that it has all necessary consents, permissions, waivers, and licenses to make use of the Services; 6.1.4 be entirely liable for all activities conducted and charges incurred under its passwords and usernames whether authorised by it or not and the Subscriber acknowledges that Faircom shall not be liable for any loss of confidentiality or for any damages arising from the Subscriber's inability to comply with these Conditions; 6.1.5 comply with any security policy notified to it from time to time by Faircom and, in particular, ensure that all passwords and usernames provided to it by Faircom are at all times kept confidential, used properly and not disclosed to unauthorised people. If the Subscriber has any reason to believe that any password or username has become known to someone not authorised to use it or is being or is likely to be used in an unauthorised way or of any other breach of security then the Subscriber will change all such passwords and inform Faircom immediately; 6.1.6 provide to Faircom accurate and up to date contact information, including full legal name, mailing address, telephone number, and e-mail address, and ensure that all such contact information which it provides to Faircom are at all times true, current, accurate and complete. The Subscriber will promptly notify Faircom of any change to such details and acknowledges that Faircom will not be liable for any loss suffered or incurred by the Subscriber as a result of its failure to notify such changes to Faircom; and 6.1.7 promptly provide to Faircom and/or its consultants, employees and agents such information and assistance as they may reasonably require in order to be able to carry out the Services and any other obligations under the Agreement and will appoint a representative who is fully empowered and authorised to provide same; 6.2 The Subscriber agrees that it shall not: 6.2.1 use the Services or allow them to be used for any unlawful purpose or for the publication, linking to, issue or display of any unlawful material (including any pirated software or any material which is obscene, pornographic, threatening, malicious, harmful, abusive, defamatory or which breaches the rights including Intellectual Property Rights of any third party or which is or encourages criminal acts or contains any virus, worm, trojan horse or other harmful code); 6.2.2 use the Services or allow them to be used for the publication, linking to, issue or display of any material which in the absolute discretion of Faircom may harm Faircom or any of its associated companies or Subscribers or bring Faircom into disrepute; 6.2.3 use the Services and/or Subscriber System or allow them to be used to send spam; 6.2.4 do anything which may be dangerous or a nuisance or inconvenience or to disturb, threaten or abuse any Faircom personnel or other Faircom Subscribers.

Subscriber’s Obligations. 6.1 The Subscriber will be responsible for installation, costs, operations and maintenance of a communications link and equipment, software and systems necessary to access online the Licensed Material at the GSW Web Site via Subscriber’s Secure Site. This responsibility includes the Subscriber’s Administrator maintaining Subscriber’s list of valid IP Addresses for access control as maintained at the GSW Web Site.
6.2 Subscriber will be responsible for communication and any other costs incurred by any Authorized User connecting to the GSW Web Site through Subscriber’s IP Address as set forth in Schedule A, and as may be changed from time to time by Subscriber’s written notice to Agent.
6.3 Subscriber will use reasonable efforts to ensure that only Authorized Users are permitted access to the Licensed Material. Subscriber will be responsible for the issuance, confidentiality and security of the identification password(s) that may be issued by Subscriber to Authorized Users, and will give prompt notice to GSW and to Agent of any known or suspected breach of confidentiality or security with respect thereto. Subscriber agrees that it shall:allowing access to the Licensed Material to persons who are not Authorized Users constitutes a material breach of this License Agreement if the Subscriber knew or reasonably should have known that such person was not an Authorized User.
6.1.1 6.4 Subscriber will use its best reasonable efforts to ensure that Authorized Users are notified of the importance of respecting the intellectual property rights in the Licensed Material and of the sanctions that may be imposed or claims that may be made for failing to do so, and that Authorized Users are notified of and comply with the terms and conditions of this License Agreement and any and all user guidelines or restrictions provided by Agent or GSW from time to time. Except as provided for in Sub-section 10.8, nothing in this License Agreement will make the Subscriber liable for breach of the terms of the License Agreement by any Authorized User provided that the Subscriber did not cause, knowingly assist, or condone the continuation of such breach after becoming aware of an actual breach having occurred. The Subscriber will, immediately notify Faircom on becoming aware of any unauthorised unauthorized use or other breach, inform GSW and the Agent and take reasonable steps, including appropriate disciplinary action as consistent with local policies, both to ensure that such activity ceases and to prevent any recurrence.
6.5 Subscriber will designate the following persons to be available to Agent on a routine and expedited basis during normal business hours when necessary:
6.5.1 a System Administrator, for the purpose of resolving technical questions and matters, and
6.5.2 a Subscription Administrator, for purposes of resolving questions and matters related to this License Agreement, including but not limited to Fees and payments.
6.6 Subscriber will, in consideration for the rights granted under this License Agreement, pay the Fee in US dollars for its subscription access to the Licensed Material in accordance with Section 1 within 30 days of receipt of Agent’s invoice for each Subscription Period including the initial term and, if applicable, each subsequent renewal term. In the event that Subscriber fails to make prompt payment, Agent reserves the right to deny access to the Licensed Material until such time as Subscriber’s account is made current. Subscriber will be responsible for the payment of all taxes, or any of the Services;other related fees incurred in connection with this License Agreement.
6.1.2 promptly reporting any incident or fault in the Services 6.7 The Subscriber to Faircom;
6.1.3 ensure that it has all necessary consents, permissions, waivers, and licenses GSW Licensed Material agrees to make use of the Services;
6.1.4 be entirely liable for all activities conducted and charges incurred under its passwords and usernames whether authorised by it or not and the Subscriber acknowledges that Faircom shall not be liable for any loss of confidentiality or for any damages arising from the Subscriber's inability maintain a subscription to comply with these Conditions;
6.1.5 comply with any security policy notified to it from time to time by Faircom and, in particular, ensure that all passwords and usernames provided to it by Faircom are GeoRef at all times kept confidential, used properly and not disclosed to unauthorised people. If during the Subscriber has any reason to believe that any password or username has become known to someone not authorised to use it or is being or is likely to be used in an unauthorised way or term of any other breach of security then the Subscriber will change all such passwords and inform Faircom immediately;
6.1.6 provide to Faircom accurate and up to date contact information, including full legal name, mailing address, telephone number, and e-mail address, and ensure that all such contact information which it provides to Faircom are at all times true, current, accurate and completethis License Agreement. The Subscriber will promptly notify Faircom of any change to such details and acknowledges that Faircom will not be liable for any loss suffered or incurred by the Subscriber as a result of its failure to notify such changes to Faircom; and
6.1.7 promptly provide to Faircom and/or its consultants, employees and agents such information and assistance as they may reasonably require in order to be able to carry out the Services and any other obligations under the Agreement and will appoint a representative who is fully empowered and authorised to provide same;
6.2 The Subscriber agrees that it shall notmust either:
6.2.1 use 6.7.1 subscribe to GeoRef at a surcharge incorporated into this License Agreement, or
6.7.2 certify to Agent that a current GeoRef subscription is being maintained as provided for in Schedule B. Subscriber may obtain and maintain said subscription to GeoRef from any distributor authorized by AGI, or from AGI directly, and said subscription will be subject to the Services or allow them terms and conditions of a separate agreement between Subscriber and such party. In the event that a subscription to GeoRef held separately from this License Agreement lapses, notice must be used provided to GSW within 30 days and the appropriate surcharge for any unlawful purpose or for the publication, linking to, issue or display of any unlawful material (including any pirated software or any material which is obscene, pornographic, threatening, malicious, harmful, abusive, defamatory or which breaches the rights including Intellectual Property Rights of any third party or which is or encourages criminal acts or contains any virus, worm, trojan horse or other harmful code);
6.2.2 use the Services or allow them GeoRef access through GSW will be invoiced to be used for the publication, linking to, issue or display of any material which in the absolute discretion of Faircom may harm Faircom or any of its associated companies or Subscribers or bring Faircom into disrepute;
6.2.3 use the Services and/or Subscriber System or allow them to be used to send spam;
6.2.4 do anything which may be dangerous or a nuisance or inconvenience or to disturb, threaten or abuse any Faircom personnel or other Faircom SubscribersSubscriber.

6.1.7 6.1.7. promptly provide to Faircom and/or its consultants, employees and agents such information and assistance as they may reasonably require in order to be able to carry out the Services and any other obligations under the Agreement and will appoint a representative who is fully empowered and authorised to provide same;.
6.2 6.2. The Subscriber agrees that it shall not:
6.2.1 6.2.1. use the Services or allow them to be used for any unlawful purpose or for the publication, linking to, issue or display of any unlawful material (including any pirated software or any material which is obscene, pornographic, threatening, malicious, harmful, abusive, defamatory or which breaches the rights including Intellectual Property Rights of any third party or which is or encourages criminal acts or contains any virus, worm, trojan horse or other harmful code);
6.2.2 6.2.2. use the Services or allow them to be used for the publication, linking to, issue or display of any material which in the absolute discretion of Faircom may harm Faircom or any of its associated companies or Subscribers or bring Faircom into disrepute;

6.2.4 6.2.4. do anything which may be dangerous or a nuisance or inconvenience or to disturb, threaten or abuse any Faircom personnel or other Faircom Subscribers.

Subscriber’s Obligations. 6.1 3.1 In relation to the Authorised Users, the Subscriber undertakes that:
(a) the maximum number of Authorised Users that the Subscriber allows to access and use RevMan Web shall not exceed the number of Authorised Users set out in the Order Form;
(b) they will not allow any User Licence to be used by more than one individual Authorised User, unless the User Licence has been reassigned in its entirety to another individual Authorised User in which case the prior Authorised User shall no longer have any right to access or use that User Licence;
(c) they shall require each Authorised User to create a Cochrane Account, accept the latest version of the Terms of Use and register to use RevMan Web, which is necessary to enable the Authorised User to access RevMan Web; and
(d) if they are an Institutional Subscriber, they will provide Cochrane with the email address of each Authorised User and/or such domain name, IP address or other details that Cochrane requires in order to identify the Authorised Users and be able to grant them access to RevMan Web.
3.2 The Subscriber agrees that it shallacknowledges that:
6.1.1 immediately notify Faircom (a) if the Subscriber breaches clause 3.1(a) and/or clause 3.1(b), Cochrane shall be entitled to increase any Subscription Fee due proportionate to the actual number of users the Subscriber has permitted to use RevMan Web;
(b) if an Authorised User has their Cochrane Account suspended or closed due to breaching the Terms of Use, no refund of any Subscription Fee, in whole or in part, will be payable to the Subscriber;
(c) Cochrane may delete the Subscriber’s and/or Authorised Users’ data from RevMan Web at or after the end of the Subscription Period and the Subscriber and/or Authorised Users should therefore download data stored within RevMan Web that they wish to retain prior to the end of the Subscription Period;
(d) RevMan Web system administrators will be able to access and edit data held within RevMan Web for the purposes of operating RevMan Web; and
(e) It is the responsibility of the Subscriber and/or its Authorised Users to obtain all hardware, software and other equipment and any telecommunication services required to access RevMan Web, and Cochrane is not responsible for any charges that the Subscriber may incur in doing so.
3.3 The Subscriber shall not (and shall not permit its Authorised Users to) access, store, distribute or transmit anything during the course of using RevMan Web that:
(a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
(b) facilitates illegal activity;
(c) depicts sexually explicit images;
(d) promotes unlawful violence;
(e) is discriminatory based on age, race, sex, gender reassignment, religion or belief, sexual orientation, disability or any other protected characteristic; or
(f) is otherwise illegal or causes damage or injury to any person or property;
3.4 The Subscriber shall not (and shall not permit its Authorised Users to), except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties and except to the extent expressly permitted under these Terms:
(a) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of RevMan Web in any form or media or by any means;
(b) attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of RevMan Web;
(c) access all or any part of RevMan Web in order to build a product or service which competes with RevMan Web;
(d) license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make RevMan Web available to any third party except the Authorised Users;
(e) attempt to obtain, or assist third parties in obtaining, access to RevMan Web, other than as provided under this clause;
(f) introduce or permit the introduction of any Malware into Cochrane's network and information systems; or
(g) label anything created using RevMan Web as a ‘Cochrane Review’ unless it is accepted by Cochrane for publication as a Cochrane Review.
3.5 The Subscriber shall use all reasonable endeavours to prevent any unauthorised access to, or use of, RevMan Web and, in the event of becoming aware of any such unauthorised use of all access or any of the Services;
6.1.2 promptly reporting any incident or fault in the Services to Faircom;
6.1.3 ensure that it has all necessary consentsuse, permissions, waivers, and licenses to make use of the Services;
6.1.4 be entirely liable for all activities conducted and charges incurred under its passwords and usernames whether authorised by it or not and the Subscriber acknowledges that Faircom shall not be liable for any loss of confidentiality or for any damages arising from the Subscriber's inability to comply with these Conditions;
6.1.5 comply with any security policy notified to it from time to time by Faircom and, in particular, ensure that all passwords and usernames provided to it by Faircom are at all times kept confidential, used properly and not disclosed to unauthorised people. If the Subscriber has any reason to believe that any password or username has become known to someone not authorised to use it or is being or is likely to be used in an unauthorised way or of any other breach of security then the Subscriber will change all such passwords and inform Faircom immediately;
6.1.6 provide to Faircom accurate and up to date contact information, including full legal name, mailing address, telephone number, and e-mail address, and ensure that all such contact information which it provides to Faircom are at all times true, current, accurate and complete. 6.2 The Subscriber agrees that it shall not:
6.2.1 use the Services or allow them to be used for any unlawful purpose or for the publication, linking to, issue or display of any unlawful material (including any pirated software or any material which is obscene, pornographic, threatening, malicious, harmful, abusive, defamatory or which breaches the rights including Intellectual Property Rights of any third party or which is or encourages criminal acts or contains any virus, worm, trojan horse or other harmful code);

Subscriber’s Obligations. 6.1 The a. Subscriber represents and warrants that it is now and agrees and covenants that it will remain in compliance with all laws, rules, and regulations relating to Subscriber's obligations in conjunction with this Agreement, including without limitation, provision of information to end-users regarding such Services and provision methods for the caller to use alternative carriers as set forth herein.
b. Subscriber is solely responsible for ensuring that its pay phones are correctly programmed and labeled.
c. Subscriber shall provide Companies, in a form and media mutually acceptable to Companies. all information and data required by Companies to provide Services for each location. All pay phones submitted by Subscriber are subject to approval and acceptance by Companies.
d. During the term of this Agreement, Subscriber agrees to provide to the Companies: i) at least 40,000 interstate calls per month (the "Monthly Interstate Commitment"; and ii) at least 2,400,000 calls (including interstate calls) during the term of this Agreement (the "Term Commitment"). In the event that it shall:
6.1.1 immediately notify Faircom on becoming aware Subscriber does not satisfy the Monthly Interstate Commitment for any month of any unauthorised use of all or any this Agreement, then Subscriber shall be deemed to have committed a "Monthly Commitment Breach". In the event that Subscriber does not satisfy the Term Commitment by the expiration of the Services;
6.1.2 promptly reporting any incident or fault in Initial Term, then this Agreement shall be automatically extended for a period that will end at the Services to Faircom;
6.1.3 ensure earlier of: i) that it has all necessary consents, permissions, waivers, and licenses to make use date which is six (6) months after the expiration of the Services;Initial Term; and ii) that date on which the Term Commitment has been satisfied, (such period sometimes hereinafter the "Extension Term"). If at the expiration of the Extension Term, Subscriber has not satisfied the Term Commitment then Subscriber shall be deemed to have committed a "Term Commitment Breach", PROVIDED HOWEVER THAT IF SUBSCRIBER SHALL HAVE TERMINATED THIS AGREEMENT PURSUANT TO SECTION 4.7 AND THE EFFECTIVE DATE OF SUCH TERMINATION IS PRIOR TO THE EXPIRATION OF EITHER THE INITIAL TERM OR THE EXTENSION TERM, THEN NO TERM COMMITMENT BREACH SHALL BE DEEMED TO HAVE OCCURED. In the event this Agreement is terminated pursuant to Section 4.7, then Subscriber shall have no obligation to satisfy any Monthly Interstate Commitment that would, but for such termination, arise after the effective date of such termination.
6.1.4 be entirely liable e. If, with respect to any one or more months during the term of this Agreement, Subscriber is deemed to have committed a Monthly Commitment Breach, then for all activities conducted and charges incurred under its passwords and usernames whether authorised each such month for which a Monthly Commitment Breach occurs, Subscriber shall pay to the Companies, within thirty (30) days of invoice, an amount equal to the product that results by it or not multiplying (x) the difference between 40,000 and the actual number of interstate calls provided by Subscriber acknowledges that Faircom shall not be liable to the Companies during such month and (y)
f. If, during the term of this Agreement, a Monthly Commitment Breach occurs for any loss three (3) consecutive months, then each of confidentiality or for any damages arising from the Subscriber's inability percentage rates set forth in Schedule 1 to comply with these Conditions;
6.1.5 comply with any security policy notified to it from time to time Attachment C shall be immediately decreased by Faircom and, in particular, ensure that all passwords and usernames provided to it by Faircom are at all times kept confidential, used properly and not disclosed to unauthorised people. If the Subscriber has any reason to believe that any password or username has become known to someone not authorised to use it or is being or is likely to be used in an unauthorised way or of any other breach of security then the Subscriber will change all such passwords and inform Faircom immediately;
6.1.6 provide to Faircom accurate and up to date contact information, including full legal name, mailing address, telephone number, and e-mail address, and ensure that all such contact information which it provides to Faircom are at all times true, current, accurate and complete. The Subscriber will promptly notify Faircom of any change to such details and acknowledges that Faircom will not be liable for any loss suffered or incurred by the Subscriber as a result of its failure to notify such changes to Faircom; and
6.1.7 promptly provide to Faircom and/or its consultants, employees and agents such information and assistance as they may reasonably require in order to be able to carry out the Services and any other obligations under the Agreement and will appoint a representative who is fully empowered and authorised to provide same;
6.2 The Subscriber agrees that it shall not:
6.2.1 use the Services or allow them to be used for any unlawful purpose or five (5) percentage points for the publication, linking to, issue or display remainder of any unlawful material (including any pirated software or any material which is obscene, pornographic, threatening, malicious, harmful, abusive, defamatory or which breaches the rights including Intellectual Property Rights term of any third party or which is or encourages criminal acts or contains any virus, worm, trojan horse or other harmful code);
6.2.2 use the Services or allow them to be used for the publication, linking to, issue or display of any material which in the absolute discretion of Faircom may harm Faircom or any of its associated companies or Subscribers or bring Faircom into disrepute;
6.2.3 use the Services and/or Subscriber System or allow them to be used to send spam;
6.2.4 do anything which may be dangerous or a nuisance or inconvenience or to disturb, threaten or abuse any Faircom personnel or other Faircom Subscribersthis Agreement.

6.2 6.1.8. promptly return Faircom’s free-to use Router to Faircom, in good condition and working order, when required in accordance with the terms of this Agreement.
6.2. The Subscriber agrees that it shall not:
6.2.1 6.2.1. use the Services or allow them to be used for any unlawful purpose or for the publication, linking to, issue or display of any unlawful material (including any pirated software or any material which is obscene, pornographic, threatening, malicious, harmful, abusive, defamatory or which breaches the rights including Intellectual Property Rights of any third party or which is or encourages criminal acts or contains any virus, worm, trojan horse or other harmful code);
