SUBSCRIPTION FEES AND CHARGES. The Customer hereby agrees to pay the subscription fees and charges to its account in accordance with the fees, charges, and payment terms in effect at the time a fee or charge is due and payable in accordance with the Agreement. C3 subscription fees and charges are exclusive of all taxes, levies, or duties imposed by taxing. Unless otherwise mutually agreed to in the applicable C3 Hub Order Form, invoices will be sent by C3 to the Customer’s most recent billing email on file in PDF format and must be paid within 30 days. If the Customer requires a purchase order number to be referred to in a C3 invoice, such PO must be provided to C3 prior to agreed invoicing date. C3 reserves the right to either terminate this Agreement in accordance with section 13 or charge 2 % of interest per month of late payment. The initial subscription fees and additional charges, if any, the payment terms, as well as the initial term will be as mutually agreed upon in the C3 Hub Order Form. Unless otherwise mutually agreed upon in the C3 Hub Order Form, payments must be made in advance of any access to the C3 Hub and for the complete term. All payment obligations are non-cancelable, and all amounts paid are non- refundable, except in case of termination of this Agreement for material breach as provided for in section 13 - Termination. If a Customer exceeds the maximum number of included Transactions in an applicable C3 Hub Order Form before the end of the term, C3 will inform and invoice the Customer accordingly. The renewal fees and /or minimum subscription fees for subsequent term, if any, will then be reasonably increased by C3 to reflect the actual use of the C3 Hub by the Customer.

SUBSCRIPTION FEES AND CHARGES. 9.3.1 The Company shall determine from time to time in their sole and absolute discretion, the amount of the Annual Subscription, as well as any guest, card, bag, storage, range, trail, locker, green and other subscription fees and/or charges to be paid by Golf Club Members. 9.3.2 Annual Subscriptions shall be due and payable annually, in advance, on or before 1 April. 9.3.3 All Annual Subscriptions, fees, and charges that the Golf Club Member is liable to pay shall be charged to the Club Member Account of the Golf Club Member. 9.3.4 All Annual Subscriptions, fees and charges charged to the Club Member Account are due and payable on the Account Payment Date. 9.3.5 Interest at a rate of 2% (Two Percent) per month shall accrue to any unpaid, outstanding balance of a Club Member Account, after expiry of the Account Payment Date. 9.3.6 Any payment made by a Golf Club Member towards a Club Member Account after the Account Payment Date shall first be applied to accrued interest and only thereafter to the Annual Subscription, fees, and charges due. 9.3.7 All additional Annual Subscriptions, fees, and charges due in respect of, or incurred by, a Golf Club Members’ Family Member(s) or Designated Person(s), or Family Member(s) of a Designated Person(s) shall be charged to the Golf Club Member’s Club Member Account and the Golf Club Member shall be liable for all such Annual Subscriptions, fees, and charges.
SUBSCRIPTION FEES AND CHARGES. The date You enroll for Services will become Your Anniversary Date (“Anniversary Date”) for all future billing cycles. Elauwit will xxxx Your credit card immediately upon enrollment for Services and Equipment that is to be billed directly to You and on each Anniversary date on a monthly basis until Services and Equipment rental are terminated. You understand and agree that DISH NETWORKS reserves the right to change DISH NETWORKS Programming and rates at any time and without notice, and Elauwit has no control over DISH NETWORKS Programming and rates.
SUBSCRIPTION FEES AND CHARGES. The Subscription is a monthly subscription which will continue until terminated by the Subscriber or SalesNOW. Subscription Fees are payable monthly in advance in accordance with the rates established by SalesNOW and in effect at the time a fee or charge becomes chargeable. SalesNOW reserves the right to modify its Subscription Fees and other charges and to introduce new charges at any time, upon at least 30 days prior notice. All taxes, levies, or duties imposed by taxing authorities are in addition to Subscription Fees and shall be paid by Subscriber. Charges will be in Canadian currency in Canada, and in US currency in the United States of America and elsewhere.

  • Subscription Fees The Subscription Fee for Smart Configure, Price, Quote will remain fixed during the Subscription Term unless you: (i) exceed the Scope specified in the Order, (ii) give written notice for additional quantities of a Standard Sandbox and/or a Performance Sandbox, (iii) upgrade to a higher Edition package, (iv) subscribe to additional features or products, or (v) unless otherwise agreed to in the Order. Once increased as detailed above, your Subscription Fee will not decrease, even if there is a subsequent reduction in the actual Scope. You can learn more about how your fees may be otherwise adjusted in the 'Fees Adjustments' section below.

  • ADS Fees and Charges The Company, the Holders, the Beneficial Owners, persons depositing Shares or withdrawing Deposited Securities in connection with the issuance and cancellation of ADSs, and persons receiving ADSs upon issuance or whose ADSs are being cancelled shall be required to pay the Depositary’s fees and related charges identified as payable by them respectively in the Fee Schedule attached hereto as Exhibit B. All ADS fees and charges so payable may be deducted from distributions or must be remitted to the Depositary, or its designee, and may, at any time and from time to time, be changed by agreement between the Depositary and the Company, but, in the case of ADS fees and charges payable by Holders and Beneficial Owners, only in the manner contemplated in Section 6.1. The Depositary shall provide, without charge, a copy of its latest ADS fee schedule to anyone upon request. ADS fees and charges for (i) the issuance of ADSs and (ii) the cancellation of ADSs will be payable by the person for whom the ADSs are so issued by the Depositary (in the case of ADS issuances) and by the person for whom ADSs are being cancelled (in the case of ADS cancellations). In the case of ADSs issued by the Depositary into DTC or presented to the Depositary via DTC, the ADS issuance and cancellation fees and charges will be payable by the DTC Participant(s) receiving the ADSs from the Depositary or the DTC Participant(s) holding the ADSs being cancelled, as the case may be, on behalf of the Beneficial Owner(s) and will be charged by the DTC Participant(s) to the account(s) of the applicable Beneficial Owner(s) in accordance with the procedures and practices of the DTC Participant(s) as in effect at the time. ADS fees and charges in respect of distributions and the ADS service fee are payable by Holders as of the applicable ADS Record Date established by the Depositary. In the case of distributions of cash, the amount of the applicable ADS fees and charges is deducted from the funds being distributed. In the case of (i) distributions other than cash and (ii) the ADS service fee, the applicable Holders as of the ADS Record Date established by the Depositary will be invoiced for the amount of the ADS fees and charges and such ADS fees may be deducted from distributions made to Holders. For ADSs held through DTC, the ADS fees and charges for distributions other than cash and the ADS service fee may be deducted from distributions made through DTC, and may be charged to the DTC Participants in accordance with the procedures and practices prescribed by DTC from time to time and the DTC Participants in turn charge the amount of such ADS fees and charges to the Beneficial Owners for whom they hold ADSs. In the case of (i) registration of ADS transfers, the ADS transfer fee will be payable by the ADS Holder whose ADSs are being transferred or by the person to whom the ADSs are transferred, and (ii) conversion of ADSs of one series for ADSs of another series, the ADS conversion fee will be payable by the Holder whose ADSs are converted or by the person to whom the converted ADSs are delivered. The Depositary may reimburse the Company for certain expenses incurred by the Company in respect of the ADR program established pursuant to the Deposit Agreement, by making available a portion of the ADS fees charged in respect of the ADR program or otherwise, upon such terms and conditions as the Company and the Depositary agree from time to time. The Company shall pay to the Depositary such fees and charges, and reimburse the Depositary for such out-of-pocket expenses, as the Depositary and the Company may agree from time to time. Responsibility for payment of such fees, charges and reimbursements may from time to time be changed by agreement between the Company and the Depositary. Unless otherwise agreed, the Depositary shall present its statement for such fees, charges and reimbursements to the Company once every three months. The charges and expenses of the Custodian are for the sole account of the Depositary. The obligations of Holders and Beneficial Owners to pay ADS fees and charges shall survive the termination of the Deposit Agreement. As to any Depositary, upon the resignation or removal of such Depositary as described in Section 5.4, the right to collect ADS fees and charges shall extend for those ADS fees and charges incurred prior to the effectiveness of such resignation or removal.

Failure to comply with the payment of the Transaction Fees or reporting of transactions will constitute grounds for declaring the Vendor in default and subject the Vendor to exclusion from business with the State of Florida.

  • Collection Fees If collection fees are assessed or attorney’s fees are expended by the University in the process of obtaining unpaid housing charges, the student will be responsible for the payment of those fees in addition to the unpaid housing charges.
