Subscription Licenses Sample Clauses

Subscription Licenses. For licenses purchased on a subscription basis, Maintenance and Support is included in the purchase, except as noted in Section 6.1.

Subscription Licenses. Subject to the provisions of Section 3.5(c) below, Licensee may increase the number of subscription licenses that the Software is configured to support by paying an additional subscription license fee for each additional Authorized User of the Software. The amount of the additional subscription license fee will be as stated in the invoice generated by Perforce and delivered to Licensee.

Subscription Licenses. (a) Subscriber may, upon ▇▇▇▇▇▇▇’▇ approval, purchase Subscriptions to license Eligible Products in advance of Use (a “Subscription License”). A Subscription License entitles Subscriber to license rights in a Product for Production Use, in Object Code form and within a Country. To be eligible to participate, Subscriber must be current on all outstanding invoices for amounts owed to Bentley. Some Subscription Licenses require participation in SELECT Open Access. (b) Subscriber recognizes that the Products licensed under a Subscription License are provided to Subscriber for use only for the applicable Subscription Term or any renewal term. In no event will a Subscription License continue beyond the expiration or earlier termination of the SELECT Agreement under which it is granted. Subscriber recognizes that Subscription Licenses may be delivered to Subscriber with embedded Time Clocks. Subscriber agrees that Time Clocks are not considered a defect of such Subscription Licenses and releases Bentley from any and all claims, however characterized, arising from or related to Time Clocks or their operation. Subscriber may not remove or evade Time Clocks. (c) In the event of any inconsistency between this Section 6.01 of Exhibit A and any other Section or Exhibit of this Agreement, or between this Section 6.01 of Exhibit A and the terms and conditions in the license agreement provided with any Product that is the subject of a Subscription License, this Section 6.01 of Exhibit A shall control with respect to Subscription Licenses. (d) If a Subscription is designated as automatically renewing by Bentley, the Subscription Term (and each successive term) shall automatically renew at its expiration for a successive term of equal length unless either party gives notice of its election not to renew the Subscription Term at least thirty (30) days prior to the expiration of the then current term.

Subscription Licenses. Upon expiration of a Subscription Term, unless you have provided prior written notice of your intent to terminate the Subscription License and have complied with all obligations in connection with such termination, your License to the Product will automatically renew for successive Subscription Terms at the then-current Subscription License fees for the Product and you authorize us (without notice) to collect the then-applicable fee and any taxes for the renewal Subscription Term, using the credit card or billing credentials that you provided with respect to your initial purchase. All payments are non-refundable, even if you or your Licensed Developers stop using the Product and/or stop using or accessing support and Updates. The fees and features applicable to support and Updates may change over time. You must maintain an active Subscription License to continue using the Product. You agree to keep your credit card, billing, and contact information up-to-date at all times via Your Account. You may change your auto renewal preference at any time within your ▇▇▇.▇▇▇▇▇▇▇.▇▇▇ account or by contacting us directly. We may switch your auto renewal preference to "off" at any time we determine or suspect that your credit card, billing, and/or contact information is out of date, inaccurate, or fraudulent. We may disable or discontinue the auto renewal program at any time for any reason without providing advance notice to you.

Subscription Licenses. In lieu of a perpetual license, Licensee may purchase an annual subscription license as specified in the Order (“Subscription License”). All Subscription Licenses include Maintenance at no additional charge. Licensee’s Subscription License will begin on the date the license key is issued for the Subscription License and will automatically renew for an additional annual term (or such other period as specified in the Order) unless and until Licensee terminates the Subscription License by providing RedSeal at least thirty (30) days written notice of Licensee’s intent to terminate such Subscription License.

Subscription Licenses. 2.3.1 Subscription License/s entitle the Customer to utilise the Software in accordance with clause 2.3.3 below for the duration of the Term. Subscription Licenses Ordered by the Customer shall automatically renew at the end of the relevant subscription license Term unless terminated in accordance with clause 5.3 below. 2.3.2 Standard Maintenance is provided to the Customer in line with the Maintenance and Support Document subject to full and advance payment of all subscription license fees.

Subscription Licenses. In the case of Subscription Licenses, so long as you are current on your Subscription Fees, Acumatica will provide you with Updates at no additional charge. In the event you do not maintain a Supported Version, Acumatica may charge you a premium upon a thirty (30) days’ notice.

Subscription Licenses. For Subscription Licenses, the fees for the licensed rights to use the Software as well as the applicable Fees for Support Services shall be included in the single Fee for the applicable Subscription Term as set forth on the relevant Order Form. All such Fees must be paid annually in advance.
