Subscription Licenses. (a) Subscriber may, upon Xxxxxxx’x approval, purchase Subscriptions to license Eligible Products in advance of Use (a “Subscription License”). A Subscription License entitles Subscriber to license rights in a Product for Production Use, in Object Code form and within a Country. To be eligible to participate, Subscriber must be current on all outstanding invoices for amounts owed to Bentley. Some Subscription Licenses require participation in SELECT Open Access.
Subscription Licenses. For licenses purchased on a subscription basis, Maintenance and Support is included in the purchase, except as noted in Section 6.1.
Subscription Licenses. Subject to the provisions of Section 3.5(c) below, Licensee may increase the number of subscription licenses that the Software is configured to support by paying an additional subscription license fee for each additional Authorized User of the Software. The amount of the additional subscription license fee will be as stated in the invoice generated by Perforce and delivered to Licensee.
Subscription Licenses. In lieu of a perpetual license, Licensee may purchase an annual subscription license as specified in the Order (“Subscription License”). All Subscription Licenses include Maintenance at no additional charge. Licensee’s Subscription License will begin on the date the license key is issued for the Subscription License and will automatically renew for an additional annual term (or such other period as specified in the Order) unless and until Licensee terminates the Subscription License by providing RedSeal at least thirty (30) days written notice of Licensee’s intent to terminate such Subscription License.
Subscription Licenses. Subscription licenses are also subject to then-current terms contained in the applicable Subscription License Terms found at xxxx://xxxxxxx.xxxxx.xxx/LicenseInfo or a successor site and incorporated herein by this reference.
Subscription Licenses. 4.5.1 Additional Subscription Software Licenses may be added at any time and the price will be pro-rated to the end of the current paid-up period, whereafter they will auto renew annually together with all other Subscription licenses held by the Customer, unless terminated in accordance with clause 5.3. A customer is not entitled to add licenses beyond the maximums for the scheme/tier that the Customer is on without upgrading to a new scheme/tier, nor is a Customer allowed to add any additional Licenses during the three month cancellation notice period.
Subscription Licenses. For Subscription Licenses, the fees for the licensed rights to use the Software as well as the applicable Fees for Support Services shall be included in the single Fee for the applicable Subscription Term as set forth on the relevant Order Form. All such Fees must be paid annually in advance.
Subscription Licenses. If the Software is licensed as a Subscription License, Customer’s license for the Software (and the associated Maintenance License) shall expire at the end of the term as designated on the License Certificate.
Subscription Licenses. The Parties’ mutual intent is that licenses for Products sold in exercise of the licenses and resale rights of each Party and its Affiliates under the OEM Agreement and Reseller Agreement will be subscription licenses (i.e., a license ACTIVE/96105181.2 [***] INDICATES MATERIAL THAT HAS BEEN OMITTED AND FOR WHICH CONFIDENTIAL TREATMENT HAS BEEN REQUESTED. ALL SUCH OMITTED MATERIAL HAS BEEN FILED WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 24b-2 PROMULGATED UNDER THE SECURITIES EXCHANGE ACT OF 1934, AS AMENDED agreement that includes both a software license and related support over a stated term). Perpetual licenses may be sold only on an exception basis with the approval of the other Party. In the case of sales of perpetual licenses of PTC Products by RA or its Affiliates, such sales will result in New Perpetual Equalization Credit (as defined on Exhibit E) toward the ACV commitments described in Exhibit E.
Subscription Licenses. Licensee may use Software licensed on a subscription basis for the applicable Subscription Period. Subscription license fees include Support and Maintenance for the duration of the Subscription Period. For multi-year Subscription Periods, Licensee must provide, within the Grace Period, a written certification of its compliance with the applicable License Level (including usage of Affiliates and Contractors) for the previous year. If Licensee’s usage of the Software exceeded the License Level, Licensee must either (i) upgrade Licensee’s license by paying to Flexera Software a Supplemental Fee; or (ii) discontinue use of the Software. If Licensee fails to certify its usage, fails to pay any applicable Supplemental Fee, fails to discontinue use of the Software if not upgrading its license, or intentionally misrepresents its usage, the subscription license will expire and automatically terminate thirty (30) days after the end of the Grace Period. Licensee may renew subscription licenses at Flexera Software’s then-current license fees for additional subscription periods by providing written notice of renewal together with a written certification of its level of usage of the Software during the Subscription Period to Flexera Software at least thirty (30) days prior to the end of the then-current Subscription Period. If Licensee’s usage of the Software exceeded the applicable License Level, the license renewal shall be subject to a Supplemental Fee based on Licensee’s usage. If Licensee notifies Flexera Software that it wishes to discontinue use of the Software, does not provide written notice to Flexera Software of renewal, fails to certify its usage or intentionally misrepresents its usage, the license will expire and will automatically terminate at the end of the then-current Subscription Period.
