Summary of Scheme. If this Scheme becomes Effective:
(a) all of the Scheme Shares (together with all rights and entitlements attaching to the Scheme Shares as at the Implementation Date) will be transferred to Vocus and M2 will become a subsidiary of Vocus;
(b) in consideration of the transfer of the Scheme Shares, Vocus will provide or procure the provision of the Scheme Consideration to Scheme Shareholders in accordance with the terms of this Scheme;
(c) M2 will enter the name of Vocus in the M2 Register as the holder of all the Scheme Shares;
(d) it will bind M2 and all Scheme Shareholders, including those who do not attend the Scheme Meeting, those who do not vote at that meeting and those who vote against this Scheme at that meeting; and
(e) it will override the constitution of M2, to the extent of any inconsistency.
Summary of Scheme. For the majority of affected employees the scheme provides for the calculation of a fixed "personally protected sum" which will be paid each pay period in addition to earnings calculated in accordance with normal terms and conditions of employment, including those applying under Section Two of this Agreement (hereinafter referred to as “future earnings”). The protected sum will continue to be paid until such time as it is reduced or offset by future pay increases as described below. Where it is not possible to calculate a fixed protected sum because existing and/or future earnings vary unpredictably, actual earnings will be compared to existing earnings from time to time and where necessary a payment will be made to ensure that the “no loss of pay” principle is met.
Summary of Scheme. This service will require the pharmacist to supervise the consumption of methadone or buprenorphine at the point of dispensing in the pharmacy, ensuring that the dose has been administered to the client.
Summary of Scheme. If the Scheme becomes Effective:
(a) Ebro will subscribe for and SunRice will issue to Ebro, the Implementation Shares in accordance with the terms of this Scheme;
(b) all of the Scheme Shares (together with all rights and entitlements attaching to the Scheme Shares) will be transferred to Ebro and SunRice will become a subsidiary of Ebro;
(c) in consideration of the transfer of the Scheme Shares, Ebro will provide or procure the provision of the Scheme Consideration to Scheme Shareholders in accordance with the terms of this Scheme;
(d) SunRice will enter the name of Ebro in the Register as the holder of all the Scheme Shares;
(e) the Scheme will bind SunRice and all Scheme Shareholders, including those who do not attend a Scheme Meeting, those who do not vote at a Scheme Meeting and those who vote against this Scheme at a Scheme Meeting; and
(f) the Scheme will override the constitution of SunRice to the extent of any inconsistency.
Summary of Scheme. If this Scheme becomes Effective:
(a) all of the Scheme Shares (together with all rights and entitlements attaching to the Scheme Shares) will be transferred to US Holdco and Piedmont will become a subsidiary of US Holdco on the Implementation Date;
(b) in consideration of the transfer to US Holdco of each Scheme Share held by a Scheme Participant, US Holdco will, on the Implementation Date, provide to each Scheme Participant the Scheme Consideration in accordance with the terms of the Scheme Implementation Deed, this Scheme and the Deed Poll;
(c) Piedmont will enter the name of US Holdco in the Piedmont Share Register as the holder of all the Scheme Shares;
(d) it will bind Piedmont and all Scheme Participants, including those who do not attend the Scheme Meeting, those who do not vote at the Scheme Meeting and those who vote against this Scheme at the Scheme Meeting; and
(e) it will override the constitution of Piedmont, to the extent of any inconsistency.
Summary of Scheme. Essex County Council, Suffolk County Council, Tendring District Council, Babergh District Council, Suffolk Coastal District Council, Felixstowe Town Council, Harwich Town Council and Harwich Harbour Ferry Services will work together to provide a foot ferry service during the summer season of 2023 defined in the timetable shown in 3.1 or as subsequently jointly agreed by the partners to the agreement.
Summary of Scheme. This service is commissioned by NHS East Riding of Yorkshire (“the PCT”) on behalf of the East Riding of Yorkshire Drug Action Team (“the DAT”) This service will require the pharmacist or trained member of staff under the supervision of a pharmacist to supervise the consumption of methadone at the point of dispensing in the pharmacy, ensuring that the dose has been administered to the patient. The service will be provided by the pharmacy according to a written Standard Operating Procedure. Pharmacies will offer a user-friendly, non-judgmental, client-centred and confidential service. The pharmacy will provide support and advice to the patient, and liaise with primary care or specialist centres where appropriate. The service will be monitored by the PCT with the support of the DAT. The DAT will manage the budget for the scheme and the PCT will make the payments to the Contractor against the invoices.
Summary of Scheme. If this Scheme becomes Effective:
(a) all of the Scheme Shares (together with all rights and entitlements attaching to the Scheme Shares) will be transferred to Red Light and Creso will become a subsidiary of Red Light on the Implementation Date;
(b) in consideration of the transfer to Red Light of each Scheme Share held by a Scheme Participant, Red Light will, on the Implementation Date, provide to each Scheme Participant the Scheme Consideration in accordance with the terms of the Scheme Implementation Deed, this Scheme and the Deed Poll;
(c) Xxxxx will enter the name of Red Light in the Creso Share Register as the holder of all the Scheme Shares;
(d) it will bind Creso and all Scheme Participants, including those who do not attend the Scheme Meeting, those who do not vote at that meeting and those who vote against this Scheme at that meeting; and
(e) it will override the constitution of Creso, to the extent of any inconsistency.
Summary of Scheme. This service is commissioned by NHS Hull (“the PCT”) on behalf of the Hull Drug Action Team (“the DAT”) This service will require the pharmacist or trained member of staff under the supervision of a pharmacist to supervise the consumption of methadone at the point of dispensing in the pharmacy, ensuring that the dose has been administered to the patient. The service will be provided by the pharmacy according to a written Standard Operating Procedure. Pharmacies will offer a user-friendly, non-judgmental, client-centred and confidential service. The pharmacy will provide support and advice to the patient, and liaise with primary care or specialist centres where appropriate. The service will be monitored by the PCT with the support of the DAT. The DAT will manage the budget for the scheme and the PCT will make the payments to the Contractor against the invoices. The pharmacy should ensure that they are fully compliant with Information Governance in relation to patient identifiable data. The pharmacy contractor should ensure that the staff who currently (or may in the future) complete claim forms to be fully aware of the necessity to follow the correct procedures with regards to patient data protection.
Summary of Scheme. If this Scheme becomes Effective:
(a) all of the Scheme Shares (together with all rights and entitlements attaching to the Scheme Shares) will be transferred to URI and Anatolia will become a subsidiary of URI;
(b) in consideration of the transfer of the Scheme Shares, URI will provide or procure the provision of the Scheme Consideration to Scheme Shareholders in accordance with the terms of this Scheme;
(c) Anatolia will enter the name of URI in the Anatolia Register as the holder of all the Scheme Shares; and
(d) it will bind Anatolia and all Scheme Shareholders, including those who do not attend the Scheme Meeting, those who do not vote at that meeting and those who vote against this Scheme at that meeting.
