Supplier Personnel Information. Upon the delivery of a notice of intent to terminate the applicable Schedule or a determination that the Schedule Term will not be renewed, with respect to the then current Supplier Personnel who are providing Critical Services (each an “Affected Supplier Personnel”). Supplier will (i) not terminate, reassign or otherwise remove from providing the Services or Termination Assistance Services any Affected Supplier Personnel; and (ii) to the extent not prohibited by applicable Law, provide JPMC and its designees full access to the Affected Supplier Personnel to the extent such access does not adversely impact Supplier’s delivery of the Services or Termination Assistance Services to JPMC.”

Supplier Personnel Information. 8.1 At least six (6) months before the expiry of this Agreement or any individual affected Local Services Agreement, or within twenty-one (21) days following service of notice of Termination or Part Termination, the Supplier shall, subject to any applicable legislation governing the use of personal data, within twenty-one (21) days of HSBC's or relevant HSBC Group Member’s request for the same, provide HSBC for itself, any HSBC Group Member or for any Successor Supplier, in respect of the then employees of the Supplier wholly or mainly engaged by the Supplier in the provision of the Services or such part of the Services subject to Part Termination (the Core Personnel), with the details set out in paragraph 3.1 in Part 1 of this Schedule. 8.2 From the date which is six (6) months before the expiry of this Agreement or any individual affected Local Services Agreement, or at any time following service of notice of Termination or Part Termination, the Supplier shall not and shall procure that the Supplier Affiliates shall not, without the prior written consent of HSBC such consent not to be unreasonably withheld or delayed: (a) increase the total number of employees who are Core Personnel; (b) make or propose any changes to the terms and conditions of employment of Core Personnel; (c) increase the proportion of working time spent on the Services by any Supplier or Supplier Affiliate employees (save for fulfilling orders previously requested by HSBC or if relevant any HSBC Group Member). 8.3 Where the Supplier has provided information pursuant to paragraph 8.1 of this Part 4 (the Core Personnel Information), the Supplier shall: INTERNAL (a) inform HSBC of any material change to the same; (b) use Reasonable Endeavours to clarify any matter on which clarification is reasonably requested by HSBC; and (c) use Reasonable Endeavours to co-operate with any other reasonable requests made by HSBC concerning the Core Personnel Information as soon as practicable and will use Reasonable Endeavours to do so within fourteen (14) days of any such change, discovery of new information, or receipt of such request. 8.4 HSBC agrees that any Core Personnel Information provided to it or to any potential Successor Supplier pursuant to this paragraph 8 shall be held by HSBC and any potential Successor Supplier in confidence, and that it shall use Reasonable Endeavours to: (a) restrict the disclosure of such Core Personnel Information to such employees of HSBC, any other HSBC Group Mem...
Supplier Personnel Information. (a) Upon the delivery of a notice of intent to terminate the applicable Schedule or a determination that the Schedule Term will not be renewed, with respect to the then current Supplier Personnel who are providing Critical Services (each an “Affected Supplier Personnel”). Supplier will (i) not terminate, reassign or otherwise remove from providing the Services or Termination Assistance Services any Affected Supplier Personnel except for a compelling business reason determined in good faith; and (ii) to the extent not prohibited by applicable Law, provide JPMC and its designees reasonable access to the Affected Supplier Personnel to the extent such access does not adversely impact Supplier’s delivery of the Services or Termination Assistance Services to JPMC.
Supplier Personnel Information. Promptly following the execution of the Agreement, Supplier shall provide the Rio Tinto Representative with a detailed organization chart containing details of the positions and reporting relationships within Supplier’s organization in relation to supervisory Personnel associated with the provision of the Supply. During the Term, Supplier shall promptly notify the Rio Tinto Representative of any changes to the positions and reporting relationships outlined in the organization chart and provide updated organization charts. Supplier shall at all times keep an updated list of its Personnel undertaking work at the Site.
Supplier Personnel Information. (i) Supplier shall, within ten (10) Business Days following either Triple-S’s request made during the Disengagement Assistance Period or a Disengagement Event, and subject to any applicable Law governing the use, disclosure or processing of personal data, provide Triple-S with information and copies of records concerning Supplier Personnel (such information collectively, the “Supplier Personnel Information”). If requested by Triple-S, Supplier Personnel Information shall be provided in electronic format (including in Microsoft Excel format). Supplier Personnel Information shall include a current organizational chart that identifies all Supplier Personnel performing the Affected Services (“Affected Supplier Personnel”), and summarizes their organizational relationship among one another (e.g., solid-line versus dotted-line reporting from one person to another), and which specifically distinguishes the Affected Supplier Personnel from other Supplier Personnel. For the Affected Supplier Personnel, such chart shall include roles, responsibilities, level of effort (i.e., dedicated to Triple-S or % of time dedicated to Triple-S) and authority of such personnel. (ii) With respect to Supplier Personnel who are eligible to be hired by Triple-S pursuant to Section 17.1(e) (Disengagement Assistance) of the General Terms and Conditions, as and to the extent reasonably requested by Triple-S, Supplier shall provide a list of the Supplier Personnel performing the Affected Services (“Affected Supplier Personnel”) by individual, and the following information (both on an aggregated basis and by individual person, each broken down by function): (A) name; (B) position and job title; (C) job responsibilities; and (D) whether such person is a heritage Triple-S employee, heritage Supplier employee, or independent contractor personnel.

  • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Supplying Information Each Seller shall deliver or provide access to such records, documents, information and data to the applicable Purchaser as such Purchaser may reasonably request in order to properly and efficiently perform its obligations hereunder; provided, however, that the Sellers shall not be required to deliver or provide access to any records, documents, information or data that (a) relates to a part of the business of the Seller Group that is not being serviced by the Purchasers pursuant to this Agreement, (b) in the Sellers’ reasonable determination could violate applicable Law, or could result in the loss or waiver of any attorney-client, work product or similar legal privilege or (c) in the Sellers’ reasonable determination could violate any contractual obligation of the Seller Group with respect to confidentiality; provided, however, the Sellers and the Purchasers shall cooperate in good faith to put in place appropriate substitute disclosure arrangements, including, in the case of clause (a), by separating or redacting the portion of the information that relates to a part of the business of the Seller Group that is not being serviced by the Purchasers pursuant to this Agreement and, in the case of clauses (b) and (c), by using commercially reasonable efforts to obtain the consent of such third party to such access.

  • Supplier Personnel The Customer and Supplier agree and acknowledge that in the event of the Supplier ceasing to provide the Services or part of them for any reason, Call Off Schedule 10 (Staff Transfer) shall apply. The Supplier shall not and shall procure that any relevant Sub-Contractor shall not take any step (expressly or implicitly and directly or indirectly by itself or through any other person) without the prior written consent of the Customer to dissuade or discourage any employees engaged in the provision of the Services from transferring their employment to the Customer and/or the Replacement Supplier and/or Replacement Sub-Contractor. During the Termination Assistance Period, the Supplier shall and shall procure that any relevant Sub-Contractor shall: give the Customer and/or the Replacement Supplier and/or Replacement Sub-Contractor reasonable access to the Supplier's personnel and/or their consultation representatives to present the case for transferring their employment to the Customer and/or the Replacement Supplier and/or to discuss or consult on any measures envisaged by the Customer, Replacement Supplier and/or Replacement Sub-Contractor in respect of persons expected to be Transferring Supplier Employees; co-operate with the Customer and the Replacement Supplier to ensure an effective consultation process and smooth transfer in respect of Transferring Supplier Employees in line with good employee relations and the effective continuity of the Services. The Supplier shall immediately notify the Customer or, at the direction of the Customer, the Replacement Supplier of any period of notice given by the Supplier or received from any person referred to in the Staffing Information, regardless of when such notice takes effect. The Supplier shall not for a period of twelve (12) months from the date of transfer re-employ or re-engage or entice any employees, suppliers or Sub-Contractors whose employment or engagement is transferred to the Customer and/or the Replacement Supplier except that this paragraph 10.5 shall not apply where an offer is made pursuant to an express right to make such offer under Call Off Schedule 10.1 (Staff Transfer) in respect of a Transferring Supplier Employee not identified in the Supplier's Final Supplier Personnel List.
