Suppliers and Subcontractors. (a) Set forth in Exhibit 24 is a schedule of Qualified Major Subcontractors who, notwithstanding anything to the contrary herein, Contractor shall be entitled to engage in furtherance of Contractor's obligations under this Agreement without the consent of Owner. Contractor shall notify Owner of any proposed additional Major Subcontractors or replacements thereof with whom Contractor anticipates engaging. Owner shall have the right to review and approve such engagement, such approval not to be unreasonably withheld or delayed. Contractor shall update and amend Exhibit 24 by notice to Owner from time to time as necessary to reflect approved additions or changes thereto.
(b) No Subcontractor or purchase order issued by such Subcontractor shall bind or purport to bind Owner, but each purchase order, agreement or subcontract with a Supplier or a Major Subcontractor shall provide that the Supplier or Major Subcontractor, as applicable, expressly agrees, upon Owner's request if this Agreement is terminated, to the assignment of such purchase order, agreement or subcontract to Owner, at Owner's request, the Financing Parties or a successor EPC contractor to Contractor.
(c) The use by Contractor of any Subcontractor shall not (i) constitute any approval of the Work undertaken by any such Person, (ii) relieve Contractor of its duties, responsibilities, obligations or liabilities hereunder, (iii) relieve Contractor of its responsibility for the performance of any work rendered by any such Subcontractor or (iv) create any relationship between Owner, on the one hand, and any Subcontractor, on the other hand, or cause Owner to have any responsibility for the actions or payment of such Person. As between Owner and Contractor, Contractor shall be solely responsible for the acts, omissions or defaults of its Subcontractors and any other Persons for which Contractor or any such Subcontractor is responsible (with the acts, omissions and defaults of its Subcontractors being attributable to it).
(d) In no event shall any act or omission by any Subcontractor constitute a Force Majeure Event except to the extent caused by an event or circumstance that itself constituted a Force Majeure Event.
(e) Until the Facility Substantial Completion Date, Contractor shall furnish Owner with (i) reports received from the Subcontractors or Contractor relating to recall notices, defect notices or other similar product communications and (ii) such information with respect to the Major Subcontra...
Suppliers and Subcontractors. Any and all suppliers of any goods or services used in connection with the supply, manufacture, packaging, transport or handling of the Product, in whatever form and including any component or ingredient thereof, are and shall at all times during the Term hereof be in compliance with all laws, rules, regulations, orders and similar requirements, including, without limitation, all Applicable Laws, and possess all Applicable Permits, in each case required to manufacture, package, transport, handle or otherwise deal with of the Product or any component or ingredient thereof.
Suppliers and Subcontractors. Customer acknowledges and agrees that Polycom reserves the right to use suppliers and subcontractors including without limitation for processing, hosting and storage of Personal Data.

On this electronic bid submission, bidders for this Tender shall forward, via fax (000 000-0000), a statement indicating the name and location of all major suppliers and subcontractors. Major suppliers and subcontractors will be identified as those who perform, supply or contribute more than $50,000.00 of the project’s value. Faxes shall be received prior to Bid Letting (closing). Suppliers or subcontractors so named shall be acceptable to the Department. Failure to provide this information prior to the Tender Letting may result in rejection of the bid. In the event there are no suppliers or subcontractors that meet the requirements stated above, the Contractor shall submit the form stating as such. The successful bidder, upon award of the Contract, shall not change the supplier or subcontractors so named without the written approval from the Department. Suppliers and Subcontractors. Except as set forth in Schedule 4.22 of the Company Disclosure Schedule, during the last 12 months, none of the Acquired Companies has received any notices of termination or threats of termination from any of the five largest suppliers or ten largest subcontractors for the Acquired Companies, as a whole.
Suppliers and Subcontractors. (A) Notwithstanding anything in the Agreement to the contrary, Amazon will have no rights to approve any of Rivian’s Suppliers or Subcontractors other than as set forth in this Section 3.2 and Section 7 (Subcontractors) below. In the event that Rivian intends to change Skateboard battery cell Suppliers, (a) Rivian may engage and purchase Skateboard battery cells from any of the approved Suppliers set forth in Schedule 7 (or any Affiliate thereof) without Amazon’s prior consent, but (b) Rivian will not engage or purchase Skateboard battery cells from any new Skateboard battery cell Supplier that is not an approved Supplier set forth in Schedule 7 (or an Affiliate thereof) without Amazon’s prior consent (not to be unreasonably withheld, conditioned or delayed). With respect to the Component Parts listed on Schedule 7 for autonomous driving technology Level 1 through 3 autonomy, Rivian will provide Amazon with prior written notice of selection of or change to any Supplier and consider Amazon’s feedback in good faith.
(B) Rivian will not enter into any agreement with a Supplier that explicitly prohibits Amazon from entering into an agreement with such Supplier for the supply of Component Parts for the Top Hat or Custom Spare Parts or explicitly requires such Supplier to limit its sale of Component Parts for the Top Hat or Custom Spare Parts to Amazon.
(C) Rivian will not enable integration with any vendor for autonomous driving technology Level 4 or Level 5 autonomy with respect to Skateboards or Delivery Vehicles without Amazon’s prior written consent.
(D) For those Component Parts of the Skateboard identified in Section 2 of Schedule 17, Amazon will have the option, with [***] advance notice to Rivian, to purchase Skateboards without such Component Parts and source such Components Parts directly or direct Rivian to source such Component Parts.
Suppliers and Subcontractors. Customer acknowledges and agrees that Provider may procure products and services from, and subcontract the provision of the Services to, appropriate third party providers “Subcontractors”) as permitted under this Section 2(4). Notwithstanding the aforementioned, Provider shall at all times remain primarily liable to Customer for the acts or omissions of any Subcontractors as if it were providing the Services to Customer directly itself, subject to (i) any limitations of liability set out in this Agreement, and (ii) the terms of any written agreements entered into by Customer directly with Subcontractors in connection with such Services. Provider shall ensure that its contract with each Subcontractor, as a minimum, imposes confidentiality restrictions in all material respects equivalent to those set out in Section 11 and audit rights sufficient to enable audits to be carried out as set out in Section 12. As of the Effective Date, the Subcontractors listed in Schedule 5 shall be deemed to be approved by Customer. Provider shall not engage any further Subcontractors in the performance of the Services without obtaining the prior written approval of Customer (such approval not to be unreasonably withheld or delayed), save that approval shall not be required for any Subcontractors performing Services that: (i) are not dedicated to Customer, (ii) do not form a material part of the Services; and (iii) do not involve the personnel of such Subcontractors having access to Confidential Information. Provider acknowledges that the Customer uses (or will use in the future) third party suppliers to provide products and services ancillary to the Services. Accordingly, Provider will, where reasonably practicable and at no material cost, seek to integrate its performance of the Services with the services performed by such third party suppliers so that the Customer and its Affiliates receive the Services seamlessly and without disruption.
Suppliers and Subcontractors. Customer acknowledges and agrees that Provider may procure products and services from, and subcontract the provision of the Services to, duly qualified third party providers and subcontractors, provided that Provider shall remain wholly liable to Customer for the acts or omissions of the third party providers and subcontractors subject to any limitations of liability set out in this Agreement, unless Customer has entered into written agreements to the contrary with such third party providers or subcontractors in connection with the provision of such Services.

Only one (1) supplier/subcontractor shall be permitted for each material and/or service. Statements which contain multiple names for the same material and/or service will be rejected.
