Survival; Termination Clause Samples
The "Survival; Termination" clause defines which obligations and rights of the parties will continue to be enforceable even after the contract has ended or been terminated. Typically, this clause specifies that certain provisions—such as confidentiality, indemnification, or payment obligations—remain in effect beyond the contract’s expiration or termination date. Its core practical function is to ensure that important responsibilities and protections persist as needed, thereby preventing parties from evading key duties simply because the contract has concluded.
