SURVIVING BYLAWS. The Bylaws of both Buyer and the Company shall remain in full force and effect, unchanged.

The amended and restated bylaws of the Company in effect immediately prior to the REIT Effective Time shall be, from and after the REIT Effective Time, the bylaws of the Surviving Entity (the “Surviving Bylaws”) until duly changed or amended as provided therein or in accordance with applicable Law.
