SUSPENSION & TERMINATION FOR DEFAULT. Enterprise Services may suspend Contractor’s operations under this Master Contract immediately by written cure notice of any default. Suspension shall continue until the default is remedied to Enterprise Services’ reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice, Contractor remains in default, Enterprise Services may terminate Contractor’s rights under this Master Contract. All of Contractor’s obligations to Enterprise Services and Purchasers survive termination of Contractor’s rights under this Master Contract, until such obligations have been fulfilled.

Contractor may be required to submit a written cure plan within five (5) business days of Suspension notification. Suspension shall continue until the default is remedied to Enterprise Services’ reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice has completed all the actions within the timeframe identified in the written cure plan. All of Contractor’s obligations to Enterprise Services and Purchasers survive termination of Contractor’s rights under this Cooperative Purchasing Master Agreement, until such obligations have been fulfilled.

All of Contractor’s obligations to WSDOT survive termination of Contractor’s rights under this Contract, until such obligations have been fulfilled.

In the event the Master Contract is terminated or suspended under this Section, any ongoing obligations of Contractor and Purchaser to each other under their relevant Purchaser Order may be addressed in the relevant Purchase Order between those parties.

All of Contractor’s obligations to BVFF survive termination of Contractor’s rights under this Contract, until such obligations have been fulfilled.
