Syndication Agent; Documentation Agent. None of Lenders (or Affiliates of Lenders) identified on the facing page or signature pages of this Agreement as a “Syndication Agent” or “Documentation Agent” shall have any right, power, obligation, liability, responsibility or duty under this Agreement in such capacity. Without limiting the foregoing, none of Lenders (or Affiliates of Lenders) so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of Lenders (or Affiliates of Lenders) so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.
Syndication Agent; Documentation Agent. Notwithstanding any other provision of this Agreement or any of the other Credit Documents, the Syndication Agent and the Documentation Agent are named as such for recognition purposes only, and in their capacities as such shall have no powers, rights, duties, responsibilities or liabilities with respect to this Agreement and the other Credit Documents and the transactions contemplated hereby and thereby.

Syndication Agent; Documentation Agent. The Syndication Agent and the Documentation Agent have no duties or obligations under this Agreement. Neither the Syndication Agent nor the Documentation Agent shall have, by reason of this Agreement or the Notes, a fiduciary relationship in respect of any Bank or the holder of any Note, and nothing in this Agreement or the Notes, express or implied, is intended or shall be so construed to impose on either the Syndication Agent or the Documentation Agent any obligation in respect of this Agreement or the Notes.

Co-Arranger and ------------------------------------------------------- Co-Agent. -------- The Syndication Agent, Documentation Agent, Co-Arranger and Co-Agent, in their capacities as such, shall have no rights, powers, duties or obligations under this Agreement or any of the other Credit Documents.

The Co-Syndication Agents and the Co-Documentation Agents shall have no duties, obligations or liabilities in its capacity as a Co-Syndication Agent or Co-Documentation Agent, as applicable. The Lenders shall have no right to replace any such agent if any such agent is no longer a Lender, and the Co-Syndication Agents and the Co-Documentation Agents shall not have the right to assign its status as a Co-Syndication Agent or Co-Documentation Agent, as applicable, to any Person.

Each Lender hereby designates Wachovia Bank, National Association as Syndication Agent and agrees that the Syndication Agent shall have no duties or obligations under any Loan Documents to any Lender or any Loan Party. Each Lender hereby designates HSBC Bank USA as Documentation Agent and agrees that the Documentation Agent shall have no duties or obligations under any Loan Documents to any Lender or any Loan Party.
