Syndication Agent; Documentation Agent. Notwithstanding any other provision of this Agreement or any of the other Credit Documents, the Syndication Agent and the Documentation Agent are named as such for recognition purposes only, and in their capacities as such shall have no powers, rights, duties, responsibilities or liabilities with respect to this Agreement and the other Credit Documents and the transactions contemplated hereby and thereby.

Syndication Agent; Documentation Agent. Nothing in this Agreement shall impose on the Syndication Agent or the Documentation Agent, in each case in such capacity, any duties or obligations.

Syndication Agent; Documentation Agent. The Syndication Agent and the Documentation Agent have no duties or obligations under this Agreement. Neither the Syndication Agent nor the Documentation Agent shall have, by reason of this Agreement or the Notes, a fiduciary relationship in respect of any Bank or the holder of any Note, and nothing in this Agreement or the Notes, express or implied, is intended or shall be so construed to impose on either the Syndication Agent or the Documentation Agent any obligation in respect of this Agreement or the Notes.

Syndication Agent; Documentation Agent. Neither the Syndication Agent nor the Documentation Agent shall have any duties or responsibilities hereunder in its capacity as such.

Syndication Agent; Documentation Agent. 62 ARTICLE XI

Syndication Agent; Documentation Agent. Neither of the Banks identified on the facing page or signature pages of this Agreement as the "Syndication Agent" or "Documentation Agent" shall have any right, power, obligation, liability, responsibility or duty under this Agreement as such. Without limiting the foregoing, neither of the Banks so identified as the "Syndication Agent" or "Documentation Agent" shall have or be deemed to have any fiduciary relationship with any Bank.

Syndication Agent; Documentation Agent. The parties hereto acknowledge that each of the Syndication Agent and the Documentation Agent has been designated as such for purposes of convenience only and that neither the Syndication Agent nor the Documentation Agent shall have any duties or responsibilities, except those that may be expressly set forth in a separate written instrument signed by the Syndication Agent or Documentation Agent, as the case may be, or any fiduciary relationship with any Bank and no implied covenants, functions, responsibilities, duties, obligations or liabilities shall be read into this Agreement or otherwise exist against the Syndication Agent or the Documentation Agent, as the case may be.

Syndication Agent; Documentation Agent. Co-Agent. No Person holding the title of Syndication Agent, Documentation Agent, Co-Agent or any similar title shall have any rights, powers, duties or responsibilities in such capacity and no rights, powers, duties or responsibilities shall be read into this Agreement or any other Loan Document or otherwise exist on behalf of or against such entity, in its capacity as such.
