Systems Information. Siemens and its affiliates and their subcontractors may collect and derive information, statistics, and metrics regarding usage, operation, support, and maintenance of Offerings or from Customer Content (collectively, “Systems Information”), and may use Systems Information to support, maintain, monitor, operate, develop, and improve its products and services or enforce its rights, provided that any Systems Information derived from Customer Content is aggregated with other information so that the original Customer Content is not identifiable. Siemens may disclose Systems Information to a Siemens-authorized solution partner solely to the extent reasonably required for such partner to fulfill its support obligations to Customer. To determine unauthorized use of Software licenses, Siemens reserves the right to embed a reporting mechanism in Software.

Systems Information. SCHEDULE 5.16 sets forth a materially true and ------------------- accurate description of the following information relating to the Business as of the most recent monthly report generated by Seller in the ordinary course of business containing the information required to prepare such SCHEDULE (provided that such date is no earlier than two months prior to the date of this Agreement): (a) the approximate number of miles of plant included in the Assets; (b) the number of subscribers and EBS's served by the Systems for each Franchise; (c) the approximate number of single family homes and residential dwelling units passed by the Systems; (d) a description of basic and optional or tier services available from the Systems, the rates charged by Seller for each and the number of subscribers and subscriber equivalents receiving each optional or tier service; (e) the stations and signals carried by the Systems and the channel position of each such signal and station; and (f) the cities, towns, villages, townships, boroughs and counties served by the Systems.

Systems Information. During the term of the Agreement, Customer may provide to Tanium or the Service collects information including, but not limited to, performance and analytics information relating to Customer’s use of Tanium’s products and services, metadata relating to Customer’s networks and systems, device identifiers, network telemetry, endpoint telemetry, system configuration, and data generated through any of the foregoing (collectively, "Systems Information"). Customer agrees that Tanium may use Systems Information to provide the Service and Premium Services and to research, develop, and improve Tanium’s products and services, sales analytics, and, on an anonymized basis, for marketing purposes (the "Permitted Purpose"). To the extent Systems Information constitutes Customer’s Confidential Information, Systems Information will be held in confidence by Tanium in accordance with Section 10 (Confidentiality). For clarity, any data that is derived by Tanium from its use of the Systems Information for the Permitted Purpose, such that the Customer cannot be identified from the derived data, is not considered Customer’s Confidential Information. Customer, rather than Tanium, determines which types of data, including Personal Data (as defined in the Data Processing Addendum), exists on its systems or are processed by the Service. To the extent that Tanium obtains Personal Data in connection with providing the Service or the Premium Services, Tanium will process such Personal Data pursuant to the Data Processing Addendum found at xxxx://xxx.xxxxxx.xxx/dpa. Because Customer’s endpoint environment is unique in configurations and naming conventions, the Systems Information could potentially include Personal Data. To the extent any Systems Information includes Personal Data, Customer represents and warrants that it has made all necessary disclosures and has a lawful basis to share the Personal Data with Tanium for the Permitted Purpose. In addition, Tanium may process, use or disclose such Personal Data only: (i) in furtherance of its obligations pursuant to this Agreement; (ii) as required or permitted by law; (iii) as directed or instructed by Customer; or (iv) with prior informed consent of the data subject to whom the Personal Data pertains. As between Customer and Tanium, the foregoing states Tanium’s entire obligation with respect to Personal Data.
Systems Information. (a) As of June 1, 1996, the Systems include not less than 2,800 homes passed by energized cable (i.e., homes (including apartments and commercial ---- units) for which cable service may be provided solely by the installation of a drop line without addition of trunk or feeder cable), and not more than 135 miles of energized cable plant, of which not more than 60 miles are of underground construction. There are no pending rate complaints (as defined pursuant to FCC Legal Requirements) filed by subscribers or other users of the Systems with any Governmental Authority. (b) Schedule 5.11 sets forth with reasonable accuracy and ------------- completeness the following information as of June 30, 1996 with respect to each of the Systems and the Business: (i) a description of the Systems' physical plant and bandwith capacity; (ii) coordinates of locations, and System central point coordinates and radius for FCC purposes; (iii) inventory of plant materials; (iv) a summary of services, the number of subscribers to each, and the rate charged currently and for the prior three (3) years, a summary of bulk subscribers and revenues, and a calculation, without duplication, of EBU's, including, without limitation, the number of residential and bulk subscribers in each System and revenue thereof in each System; (v) a listing of communities served, for FCC purposes, by the Systems; (vi) for each headend, a list of video channels and frequencies used, content, and source (vii) installation charges; (viii) a description of Seller's past and current marketing programs and practices, including those which are expected to be continued or implemented prior to the Closing Date; (ix) Seller's 1994 annual statement of Customer Policies and Required Notices, and Notice of Protection of Subscriber Privacy; (x) a description of Seller's repair, manufacturing and equipment enhancement activities; and (xi) a list of free and courtesy connections.
Systems Information. SCHEDULES 4.8-A and 4.8-B set forth a materially true and accurate description, on a System-by-System basis, of the following information relating to each Party's Systems as of the date of this Agreement: (a) the approximate number of aerial and underground miles of plant included in such Party's Assets and served by each headend; (b) the approximate number of single family homes and residential multiple dwelling units passed by each such System; (c) the MHZ capacity and channel capacity of each headend; and (d) the number of subscribers served by each such System.
Systems Information. The aggregate superset of Entitlement and Install Base Information, Support Data, Customer Feedback, Telemetry Data, and Security Threat Data as defined herein.
