Telephone Indemnity. Borrower shall protect Lenders and Agent and hold them harmless from and not liable for any and all loss, damage, claim or expense (including, without limitation, reasonable attorneys’ fees and the allocated costs of any Lender’s in-house legal counsel) incurred by Agent or Lenders in connection with or in relation to any act or any failure to act upon telephone instructions received by Lenders or Agent from Borrower or any Person who has identified himself as an authorized officer of Borrower, whether or not the instructions are actually given by an authorized officer of Borrower.
