TENDER OFFER SOLICITATION FEES. The Advisor shall use its best efforts to recapture all available tender offer solicitation fees in connection with tenders of the securities of any Portfolio, and any similar payments, provided, however, that neither the Advisor, nor any affiliate of the Advisor shall be required to register as a broker-dealer for this purpose. The Advisor shall advise the Board of any fees or payments of whatever type that it may be possible for the Advisor or an affiliate of the Advisor to receive in connection with the purchase or sale of investment securities for any Portfolio.
