Term; Commencement Date; Expiration Date. The term of this Lease (“Lease Term” or “Term”) shall be approximately fifteen (15) years. The Lease Term shall begin on the date of this Lease (the “Commencement Date”) and shall end, unless sooner terminated or renewed (as hereafter provided), on the January 31, following the fifteenth (15th) anniversary of the Rent Commencement Date, unless the Rent Commencement Date is 2/1/2010 in which event the Lease shall terminate on January 31, 2025, (such date, the “Expiration Date”) unless extended by Tenant pursuant to the options set forth herein.
Term; Commencement Date; Expiration Date. The term of this Lease (the “Term”) shall commence at 12:01 a.m. on the date immediately following the day on which the Existing Lease expires pursuant to the Termination Agreement (the “Commencement Date”); provided that the Commencement Date shall not occur until such time as Netscape has delivered exclusive possession of all of the Buildings to Tenant as required under the Side Agreement. Unless sooner terminated as herein provided, this Lease shall expire on the Expiration Date. Tenant acknowledges that Netscape currently occupies portions of the Premises pursuant to the Existing Lease and that Netscape has agreed for Tenant’s benefit to deliver the Premises on a schedule set forth in the Side Agreement, with delivery of the entire Premises on or before December 31, 2003 (the “Scheduled Delivery Date”). This Lease shall not be void or voidable as a result of Netscape’s failure to vacate and/or surrender the Premises on or before the Scheduled Delivery Date, nor shall Landlord be liable to Tenant for any loss or damage resulting therefrom; provided, however, that if the Commencement Date does not occur on or before March 1, 2004, unless otherwise agreed by the parties in a signed writing, this Lease shall automatically terminate and be of no further force or effect.. Simultaneously with Netscape’s delivery of exclusive possession of the Premises to Tenant, the Tenant shall execute and deliver to Landlord a certificate certifying that Tenant has accepted delivery of the Premises and delivered the Letter of Credit (as defined below) to Landlord, in the form attached hereto as Exhibit “E” (the “Closing Certificate”), and Tenant’s execution and delivery of such Closing Certificate to Landlord shall be deemed Tenant’s representation that all conditions to the Commencement Date (other than the expiration of the term of the Existing Lease) have occurred. In addition, after the Commencement Date, Tenant shall execute a letter confirming the Commencement Date, in the form of Exhibit “F” (the “Commencement Date Memorandum”) within one (1) business day after receipt of same from the Landlord, provided that either party’s failure to request execution of, or to execute, the Commencement Date Memorandum shall not in any way alter the Commencement Date.

  • Term Commencement Date The date that the Premises are Ready For Occupancy (as defined in Exhibit D attached hereto), which Term Commencement Date is anticipated to be August 1, 2015. In the event Landlord fails to deliver the Premises to Tenant with the Tenant Improvements Substantially Complete on or before November 1, 2015 ("First Outside Date") as such First Outside Date shall be extended due to Force Majeure delays and Tenant Delays, Tenant will be entitled to one day of free Monthly Base Rent, to be applied after the Term Commencement Date, for each day after such First Outside Date that the Premises are not delivered to Tenant as required hereunder. In the event fails to deliver the Premises to Tenant with the Tenant Improvements Substantially Complete on or before December 1, 2015 ("Second Outside Date"), as such Second Outside Date shall be deemed extended due to Force Majeure delays and Tenant Delays, Tenant may terminate this Lease by delivery of written notice to Landlord no later than that date which is five (5) business days after such Second Outside Date, in which case Landlord will immediately refund all amounts paid by Tenant pursuant to this Lease and Tenant shall have no further obligations to Landlord pursuant to this Lease except for those obligations which expressly survive the expiration or sooner termination of this Lease.

  • COMMENCEMENT/EXPIRATION DATE This agreement is executed as of the date of the last signature and is effective through at which time it will expire. The expiration date is the final date for completion of all work activities under this agreement.

  • Amounts; Outside Expiration Date The Agent shall not have any obligation to cause to be issued any Letter of Credit or to provide Credit Support for any Letter of Credit at any time if: (1) the maximum undrawn amount of the requested Letter of Credit is greater than the Unused Letter of Credit Subfacility at such time; (2) the maximum undrawn amount of the requested Letter of Credit and all commissions, fees, and charges due from the Borrower in connection with the opening thereof exceed the Combined Availability at such time; (3) in the case of a standby Letter of Credit, the maximum undrawn amount of the requested standby Letter of Credit, together will all other standby Letters of Credit issued for the account of the Borrower, exceeds $20,000,000; or (4) such Letter of Credit has an expiration date later than 30 days prior to the Stated Termination Date or more than 12 months from the date of issuance for standby letters of credit and 180 days for documentary letters of credit. With respect to any Letter of Credit which contains any "evergreen" or automatic renewal provision, each Lender shall be deemed to have consented to any such extension or renewal unless any such Lender shall have provided to the Agent, written notice that it declines to consent to any such extension or renewal at least thirty days prior to the date on which the Letter of Credit Issuer is entitled to decline to extend or renew the Letter of Credit. If all of the requirements of this Section 2.3 are met and no Default or Event of Default has occurred and is continuing, no Lender shall decline to consent to any such extension or renewal.

  • Initial Term The initial term will begin on the date set forth in the Contract documents or on the date the Contract is signed by all Parties, whichever is later.

  • Rent Commencement Date The "Rent Commencement Date" shall be the date that Tenant first uses the Premises or any portion thereof for any purpose permitted under this lease. In the event this lease pertains to a building or building interior finish to be constructed, the "Rent Commencement Date" shall be the date upon which the buildings and other improvements erected and to be erected upon the premises shall have been substantially completed in accordance with the plans and specifications described on Exhibit "C" attached hereto and incorporated herein by reference, provided however, that if Landlord shall be delayed in such substantial completion as a result of: (i) Tenant's failure to agree to plans, specifications, and cost estimates, within a reasonable period of time; (ii) Tenant's request for materials, finishes or installations other than Landlord's standard; (iii) Tenant's changes in plans; the commencement date and the payment of rent hereunder shall be accelerated by the number of days of such delay, and provided further that if Landlord cannot substantially complete the premises as a result of any events (i) through (iii) above, Landlord may as its election complete so much of Landlord's work as may be practical under the circumstances and, by written notice to Tenant, establish the commencement date as the date of such partial completion, subject to any applicable accelerations due to delays resulting from events (i) through (iii) above. Taking possession by Tenant shall be deemed conclusively to establish that said buildings and other improvements have been completed in accordance with the plans and specifications and that the premises are in good and satisfactory condition, as of when possession was so taken. Tenant acknowledges that no representations as to the repair of the premises have been made by Landlord, unless such are expressly set forth in the lease. After such "Rent Commencement Date" Tenant shall, upon demand, execute and deliver to Landlord a letter of acceptance of delivery of the premises. In the event of any dispute as to substantial completion of work performed, execute or required to be performed by Landlord, the certificate of Landlord's architect or general contractor shall be conclusive.
