Term of Development Agreement. This Agreement shall commence on the date specified in Exhibit “B”. Unless terminated pursuant to Section 9.0 or 10.0 below, it shall expire upon the earlier of the date specified in Exhibit “B” or upon the opening of the last restaurant listed in the Development Schedule.
Term of Development Agreement. The term of this Development Agreement shall commence on the Effective Date and shall continue for a period of twenty (20) years, unless sooner terminated in accordance with the terms herein; provided, however, that in the event this Development Agreement, the Specific Plan and/or its EIR are challenged in court, or are subjected to referendum, the term shall commence on the date upon which the final judgment in the legal challenge is issued sustaining the legal validity of the Project Approvals and EIR or the date upon which the referendum vote is certified and the Project Approvals are effective (as applicable, the “Delayed Commencement Date”), and thereafter continue until the earlier of (a) the twentieth (20th) anniversary of the Delayed Commencement Date, or (b) December 31, 2035.
Term of Development Agreement. Unless sooner terminated as provided in this Amended Memorandum Agreement, the term of the Development Agreement shall run until the earlier of either (i) the Commencement Date; or (ii) June 11, 2004; provided however, that the Notes and Security Provisions shall continue until all amounts owing to LKAR with respect thereto have been paid in full.
Term of Development Agreement. The term of this Agreement shall begin on TODAY, and continue for a period of three (3) years, unless terminated earlier as set forth in this agreement. Designation of
Term of Development Agreement. Section 5.2 of the Development Agreement is amended to read as follows:
Term of Development Agreement. This Agreement shall be for a Term commencing on the Commencement Date and expiring on the Closing Date of the Project in its entirety (if Phased Development is not contemplated) or for the Closing Date of the Final Phase of the Project to be developed under this Agreement (if Phased Development is contemplated), as provided herein (the “Term”). The obligation to pay Development Fee(s) shall begin on the Commencement Date. All Leases executed pursuant to this Development Agreement shall be subject to the terms and conditions of this Agreement during the Term of this Agreement.
Term of Development Agreement. The Development Agreement shall become effective upon execution and delivery by both the Tribe and Developer. Unless sooner terminated as provided in this Development Agreement, and provided that the Management Agreement has not been terminated prior to the Commencement Date, the term of the Development Agreement shall run from its execution date until either (i) the first day upon which the Facility is open to the public to engage in Class III Gaming; or (ii) five (5) years from August 9, 2000, whichever, Developer, in its sole discretion, shall choose; provided however that: (a) the loan repayment, cost reimbursement, indemnity and related collateral provisions of this Development Agreement, (b) the Security Agreement, Dominion Account Agreement and the UCC Financing Statements, and (c) Sections 2.4(h), 2.9, 2.10, 2.11, 2.12, 2.13, 2.14, and 2.15, shall each survive and remain effective until terminated under Article 3 hereof and the loans and other amounts owing to Developer by the Tribe have been paid in full; and provided further that the Indemnity Agreement shall survive in accordance with its terms.
Term of Development Agreement. The Development Agreement portion of this Memorandum of Agreement shall become effective upon execution by both the Tribe and Developer. Unless sooner terminated as provided in this Memorandum of Agreement, the term of the Development Agreement shall run from its execution date until the earlier of either (i) the Commencement Date; or (ii) five (5) years after February 26, 1999. Term of Development Agreement. The term of the Development Agreement will expire on October 1, 2000. UXP and HSR agree to extend the term of the Development Agreement to October 1, 2001.
